3、w,therefore,thepartiesheretoagreeasfollows:1STATEMENTOFWORK?TheUniversityagreestouseitsbesteffortstoperformtheprojectasdescribedinAppendixAhereof2PRINCIPALINVESTIGATOR/PROJECTDIRECTOR?TheprojectwillbedirectedbyPI/PDName?If,foranyreason,sheisunabletocontinuetoserveasprincipalinvestigator/projectdirec

4、torandamutuallyacceptablesuccessorisnotavailable,Universityand/orSponsorshallhavetheoptiontoterminatesaidprograminaccordancewithClause15-TERMINATION3PERIODOFPERFORMANCE?TheprojectshallbeconductedduringtheperiodofStartDateandEndDateandwillbesubjecttorenewalonlybymutualagreementoftheparties4PROJECTCOS

5、TSANDPAYMENT?Inconsiderationoftheforegoing,SponsorwillpayUniversityforcostsincurredintheperformanceoftheproject,withoutanitemizedaccountingPaymentshallnotexceedthetotalestimatedcostofEnterAmount?Sponsorshallmakepaymentwithinthirty30daysofthereceiptofaninvoicefromUniversityorshallpay$uponthefullexecu

6、tionofthisagreementand$onoraboutdate5REPORTS?BriefprogressreportsoftheprojectwillbemadeperiodicallybyUniversitytoSponsorandafinalreportwillberenderedoncompletionoftheproject?DuringthetermofthisAgreement,representativesofUniversitywillconsultand/ormeetwithrepresentativesofSponsortodiscussprogressandr

7、esults,aswellasongoingplansoftheprojectandUniversitywillprovideprojectinformationtoSponsorasreasonablyrequested6FACILITIES?TheUniversitywillprovidetheutilitiesandoffice,laboratoryandfieldspaceneededfortheproject7PROPERTY?Allequipmentdetailedintheprojectbudgetandpurchasedfromthisfundshallbethepropert

8、yoftheUniversity8PUBLICITY?SponsorwillnotusethenameofUniversity,norofanymemberofUniversitysprojectstaff,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofanauthorizedrepresentativeofUniversity?UniversitywillnotusethenameofSponsor,noranyemployeeofSponsor,inanypublicity,advertisi

9、ng,ornewsreleasewithoutthepriorwrittenapprovalofSponsor9INSURANCE?Universityrepresentsthatithasadequateliabilityinsurance,suchprotectionbeingapplicabletoofficers,employees,andagentswhileactingwithinthescopeoftheiremploymentbyUniversity?TheUniversityhasnoliabilityinsurancepolicyassuchthatcanextendpro

10、tectiontoanyotherperson10BACKGROUNDINTELLECTUALPROPERTY?BackgroundIntellectualPropertymeanspropertyandthelegalrightthereinofeitherorbothpartiesdevelopedbeforeorindependentofthisAgreementincludinginventions,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyinformationembody

11、ingproprietarydatasuchastechnicaldataandcomputersoftwareBothpartiesagreetoprovidetheBackgroundIntellectualPropertynecessarytocompletetheobjectivesoftheproject?BothpartiesshallretainallrightstotheirrespectiveBackgroundIntellectualPropertyprovidedforthispurpose?Neitherpartyshallassumeanyrightsintheoth

12、erpartysBackgroundIntellectualPropertyprovidedforthisprojectotherthantherighttousesaidBackgroundIntellectualPropertytoachievetheobjectivesofthisproject11PROJECTINTELLECTUALPROPERTY?ProjectIntellectualPropertymeansthelegalrightsrelatingtoinventionsincludingSubjectInventionsasdefinedin37CFR401,patenta

13、pplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyotherlegallyprotectableinformation,includingcomputersoftware,firstmadeorgeneratedduringtheperformanceofthisAgreementOwnershipofProjectIntellectualPropertyshallvestinthepartywhosepersonnelconceivedthesubjectmatteranddiligentlypursu

14、edreducingthesubjectmattertopractice,andsuchpartymayperfectlegalprotectionthereininitsownnameandatitsownexpense?JointlymadeorgeneratedProjectIntellectualPropertyshallbejointlyownedbythePartiesunlessotherwiseagreedinwritingThePartiesagreetodisclosetoeachother,inwriting,eachandeveryInventionwhichmaybe

15、patentableorotherwiseprotectableundertheUnitedStatesPatentlawsinTitle35,UnitedStatesCodeThePartiesacknowledgethattheywilldiscloseInventionstoeachotherandtheawardingagencywithintwo2monthsaftertheirrespectiveinventorsfirstdisclosetheinventioninwritingtothepersonsresponsibleforpatentmattersofthedisclos

16、ingparty?AllwrittendisclosuresofsuchInventionsshallcontainsufficientdetailoftheinvention,identificationofanystatutorybars,andshallbemarkedconfidential,inaccordancewith35USC205SponsorshallreceivethefirstoptiontonegotiateforalicensetocommercializetheProjectIntellectualPropertyofUniversity,subjecttoany

17、rightsoftheGovernmenttherein?SponsorisherebygrantedanexclusiveoptiontonegotiatethetermsforalicensetoProjectIntellectualPropertyofUniversity,foraninitialoptionperiodofthree3monthsaftersuchinventionhasbeenreportedtoSponsor?ThetermsofsubsequentlicensingagreementsforUniversityownedand/orJointlyownedInte

18、llectualPropertywillbenegotiatedingoodfaithandbymutualagreementbythePartiestothisAgreement12CONFIDENTIALITY/PUBLICATIONS?DuringthetermofthisAgreement,andforaperiodoffive5yearsthereafter,eachpartywillmaintaininconfidenceallconfidentialBackgroundIntellectualPropertyandProjectIntellectualPropertyofapar

19、ty,aswellasallotherConfidentialInformationofapartydisclosedbythatpartytotheotherinconnectionwiththisProject?Neitherpartywilluse,discloseorgrantuseofsuchConfidentialInformationexceptasrequiredtoperformunderthisAgreement?EachpartywilluseatleastthesamestandardofcareasitusestoprotectitsownConfidentialIn

20、formationtoinsurethatstudents,interns,employees,agentsandconsultantsdonotdiscloseormakeanyunauthorizeduseofsuchConfidentialInformation?Anystudent,intern,employee,agentorconsultantofthereceivingpartymustbenotifiedoftherestrictionsontheuseofthedisclosingpartysConfidentialInformationandmustagreewiththo

21、serestrictionsbeforebeingallowedaccesstotheConfidentialInformation?EachpartywillpromptlynotifytheotherupondiscoveryofanyunauthorizeduseordisclosureoftheConfidentialInformationEitherpartymaypublishitsresultsfromthisproject?However,thepublishingpartywillprovidetheotherpartyathirty30dayperiodinwhichtor

22、eviewproposedpublications,identifyproprietaryorconfidentialinformation,andsubmitcomments?Thepublishingpartywillnotpublishorotherwisediscloseproprietaryorconfidentialinformationinaccordancewiththeproceduresdescribedinthisarticleandthepublishingpartywillgivefullconsiderationtoallcommentsbeforepublicat
