Thefollowingaregeneraltermsandconditionsgoverningadvertisingplacedontheonline（commercialorinternet）sitesasdescribedaboveinDesignationofsitesforBBB.com（Site）controlledbyAAA（WBOnline）.

1.WBOnlineisnotresponsibleforerrorsoromissionsinanyadvertisingmaterialsprovidedbytheadvertiseroritsagency.WBOnlineisnotresponsibleforanyappropriateadvertisingmaterialsdeliveredtoWBOnlinelessthat72hourspriortothestartdate.

2.AlladvertisementsareacceptedandmadeavailableWBOnlineontheSiteupontherepresentationbytheadvertiserandagencythattheyareauthorizedtomakeavailableontheSitetheentirecontentsandsubjectmatterthereof.InconsiderationoftheplacementofadvertisementsontheSiteandanylinkagetotheadvertiser’ssite,theadvertiserandagencywillindemnifyandsaveWBOnlineanditsaffiliatedandrelatedentitiesharmlessfromandagainstanyandalllossorexpensearisingoutoftheappearanceofsuchadvertisementsontheSite,orontheadvertiser’ssiteaslinkedthroughtheSite,includingwithoutlimitation,thoseresultingfromclaimsorsuitsfordefamation,violationofprivacyorpublicity,misrepresentationorcopyright,trademarkorpatentinfringement.Theadvertiser（BBB.com）hasnoobligationtoindemnifyWBOnlineunless,uponnoticebyadvertiserthatthereisapotentialproblemwiththeappearanceofanadvertisement,WBimmediatelyremovessuchadvertisementandceasestomakeitavailableandinsertsreplacementadprovidedbyadvertiser.TheadvertiserandagencyagreenottomakepromotionalormerchandisingreferencetoWBOnlineinanywayexceptwiththeexpresspermissionofWBOnlineforeachuse.ItisunderstoodandagreedthattheadvertiserandagencyarejointlyandseparatelyliableforthepaymentofinvoicesforadvertisingmadeavailableontheSitehereunder.

3.NeitherWBOnlinenoritsaffiliatedorrelatedentitiesshallbesubjecttoanyliabilitywhatsoeverforanyfailuretoprovidereferenceoraccesstoalloranypartoftheadvertisingduetosystemsfailuresorothertechnologicalfailuresofWBOnline.However,WBOnlineisstillobligatedtoprovidetheminimumSitevisits.

4.Noconditions,printedorotherwise,appearingoncontracts,insertionordersorinstructionswhichconflictwiththeprovisionsofthetermssetforthhereinwillbebindingonWBOnline.

5.Ordersforadvertisingshallbenon-cancelablepriortothefirstdateonwhichsuchadvertisingisscheduledtoappearwithintheSiteandthroughtheadvertisingperiodagreedtopursuanttotheinsertionorder.

6.WBOnlinereservestherighttorejectorcancelanyadvertisingand/orlinkagetoanadvertiser’ssiteforanyreasonswhichWBOnlinebelievesingoodfaitharedetrimentaltotheoperationofWBOnline.HoweverifWBOnlinedoessocancelanyadvertising,thenitmustrefundtoadvertiseranyfeesreceivedbyWBOnlineforSitevisitsthathavenotoccurredasofthedateofcancellation.

7.UnlessotherwisespecificallyagreedbyWBOnlineandtheadvertiser,nocashdiscounts,volumediscountsorotherdiscountedrateswillbeavailable.

8.InvoiceswillberenderedonoraboutthefirstdateonwhichtheadvertisingisscheduledtoappearontheSite.Paymentswillbeduewithin45daysfromthedateoftheinvoiceunlessotherwiseagreedontheinsertionorder.Atleast$,_________ofthemoniesduearepayableon_________,_________,_________（M,D,Y）.

9.Eitherpartyshallhavetherighttoterminatethisagreementupon90dayswrittennoticeintheeventeitherpartyisboughtbyoracquiresaninterestinorengagesinanytypeofjointventurewithacompetitoroftheother.Atthispoint,allvisitsdeliveredmaybeinvoicedat.08centspervisit.

10.At8monthsintotheagreementshouldAAAhavedeliveredfewerthan50%ofthescheduledvisits,BBB.comwillhavetheoptiontoreducethemonthlypaymentstonolowerthan$,_________\monthuntilAAA.isbackonschedule.

SponsorshipActivities,Promotions,AdvertisementsandHyperlinks

1.SponsorshipActivities

（a）AAAgrantsBBBexclusivesponsorshipoftheBrokeragecenterandtheMutualFundcenterontheArmchairSite（theSponsorshipAreas）.ThisexclusivesponsorshipgrantsBBBexclusiveadvertisingforbrokerageservicesforthetermofthisAgreementandexclusivemutualfundadvertisinginthefirstyearofthisAgreement.OthermutualfundadvertisingwillbepermittedinyeartwoandthreebutwillbelimitedtomutualfundfamiliesthatparticipateintheBBBMutualFundOneSourceoffering,andothermutualfundfamiliesasmutuallyagreeduponingoodfaithbytheparties.

（b）Duringthetermoftheexclusivesponsorship,AAAwillnotposthyperlinksontheArmchairSitetootherbrokerageormutualfundcompanies（excludingpermittedadvertising）norwillitpostcontentthatcontainsaratingorrankingofbrokeragecompanies.TheexclusivesponsorshipalsoprohibitsAAAfrombuildinganyco-developedcontentwith,orcontentlinkstobrokerageandmutualfundcompetitorsorcompetitor-brandedWebsitesfromtheArmchairSite,exceptasmutuallyagreeduponingoodfaithbytheparties.

（c）AAAwillprovideBBBwithaprominentpresenceontheArmchairSitehomepageinadditiontoprovidingBBBpresenceinbanneradvertisementsandcontentpages.

（d）Insponsoredorco-developedcontent,AAAwilluseitsbesteffortstoportrayBBBasaproviderofunbiasedinvestmentinformationthroughthird-partyresourcesand/oracademicinvestmentresearchdatadevelopedbyBBB.AAAwillalsopostinformationontheArmchairSiteandotherAAAWebsitesaboutBBB’sinvestoreducationevents,suchasBBBin-branchseminars.

（e）ThroughoutthetermofthisAgreement,useitsbesteffortsAAAwillprovidesurveyresearchresultsanddataonuseronlineinvestingbehaviorandpreferencesanduserfeedbackonBBBthroughcommunityuserinteractiononanaggregateand/oranonymousbasis.

（f）AAAwillprovideongoingconsultationtoBBBthroughoutthetermoftheAgreementoneffectivecommunitybuildingtoolsandactivities.

2.ContentLinks

AtBBB’srequest,AAAwillprovidelinksfromtheSponsorshipAreastocontentonBBB’sWebsite.ThelinkswillbeaccessedthroughArmchairSitepageslistingservicesavailableatBBB’sWebsiteincludingbriefdescriptionsofthoseservices.LinksdiscussedforthelaunchoftheBBBsponsorshipinclude,butarenotlimitedto,theRetirementPlanner,theCollegePlanner,theGuidetoUnderstandingMarketCycles,AssetAllocationStrategiesandselectedmutualfundcontentonMutualFundOneSourceOnlineincludingaBBBFundscontentlink.OthercontentlinksfromtheSponsorshipAreasmutuallyagreeduponbybothpartiesmaybedevelopedthroughoutthetermoftheAgreement.

3.ContentDevelopment,SharingandReview

（a）AAAandBBBagreetojointlydevelopnewcontenttoresideontheSponsorshipAreas.AAAwillassumewebdevelopmentresponsibilityforanynewlycreatedcontentassumm
