                                   General

1.DescriptionofWorks（sketch）

   Alltenderersshallhaveequalaccessforsupply of domestic labour

andmaterial.

   TheContractorshallmakehisownarrangementsfortheprocurement of

locallabour,materials,transportationandotherservices.

   TheEmployerwillassistContractorinlocating potential number of

suppliersforlocallabour,materials.TheEmployerwillalso assist thecontractor in making his own arrangement for supply of fuel  and

explosives.

2.SourceofFunds

   2.1ThePeople'sRepublicofChinahasappliedforaloan and credit

fromtheWorldBank（hereinafterreferredtoastheIFI）towardsthe costof____________Project,andintendstoapplyaportionoftheproceedsof theloanandcredittoeligiblepayments under the Contract for whichthesedocumentsareissued.PaymentbytheIFIwillbemade only at therequestoftheChineseGovernmentanduponapprovalbytheIFIandwillbesubjectinallrespectstothetermsandconditionsoftheLoanAgreement.

NopartyotherthanthePeople'sRepublicofChinashallderiveanyrights fromtheLoanAgreementorhaveanyclaimtotheloanproceeds.

   2.2PaymentfromtheproceedsoftheWorldBankLoanwill be limited

togoodsproducedin,andservices supplied from, Switzerland and the

membercountriesoftheWorldBankwhichhave commercial relations with

China.

   2.3AllcostsnotmetbytheIFILoanwillbe paid by the Employer

fromfundsallocatedbytheGovernmentofChina.

3.EligibilityandQualificationRequirements

   3.1Thistenderisopentoallpre-qualifiedtenderers from eligible

sourcecountriesasdefinedunderthe"GuidelinesforProcurement"of theworldBank.

   3.2Allgoodsandservicestobesuppliedunder this Contract shall

havetheiroriginineligiblesourcecountries,andallexpenditures madeundertheContractwillbelimitedtosuchgoodsandservices.

   3.3Theoriginofgoodsandservicesisdistinctfromthe nationality

ofthetenderer.

   3.4Tobe eligible for award of contract, tenderers shall have

providedevidencesatisfactorytotheEmployeroftheireligibility underclause3.1above,andoftheircapabilityand adequacy of resources toeffectivelycarry out the Contract. To this end, the Employer and

____________companymay,atanytimepriortoawardofcontract, requesttendererstoamplifyorupdatepreviouslysubmittedprequalificationdata.

AllTenderssubmittedshallincludethefollowinginformation:

   （a）copiesoforiginaldocumentsdefiningthe constitution or legal

status,placeofregistrationand principal place of business of the

company,firmorpartnershipor,ifajointventure,ofeachpartytheretoconstitutingthetenderer;

   （b）thequalificationsandexperienceofkey personnel proposed for

administrationandexecutionoftheContract,bothonandoffsite,intheformatprescribedinScheduleV;

   （c）majoritemsofconstructionalplantandequipmentproposedforuseincarryingouttheContractintheformatprescribedinScheduleIV;

   （d）alistofproposedsub-contractorsin the format prescribed in

ScheduleVI;

   （e）informationregardinganycurrentlitigationinwhichthetendererisinvolved;

   （f）thedetailsoftheconstructionmethodsproposed.

   3.5Forthepurposes of sub-clause 3.4, tenderers who have been

pre-qualifiedmayupdateandaugmenttheinformationsupplied with theirapplication for pre-qualification, and, in particular,  shall  give

particularsofworkinhandatthedateoftendering.

   3.6Tenderssubmittedbyajointventure of two or more firms as

partnersshallcomplywiththefollowingrequirements:

   （a）thetender,andin case of a successful tender the Form of

Agreement,shallbesignedsoastobelegallybindingonallpartners;

   （b）oneoftheJointVenturemembersshallbe nominated as sponsor;

andthisauthorisation shall be evidenced by submitting a power of

attorneysignedbylegallyauthorisedsignatoriesofall the members of

thejointventure;

   （c）thejointventuresponsorshallbeauthorisedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyandallmembers of thejointventureandtheentireexecutionoftheContract including paymentshallbedoneexclusivelywiththejointventuresponsor;

   （d）allmembersofthejoint venture shall be liable jointly and

severallyforthe execution of the Contract in accordance with the

Contractterms,andarelevantstatementtothiseffectshallbe includedintheauthorisationmentionedunder（b）aboveaswellasinthe Form ofTenderandtheFormofAgreement（incaseofasuccessfultender）;and

   （e）acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththetender.

   3.7Domestictenderersorcombinationsorjointventures of domestic

andforeigntenderersapplyingforeligibilityforthe application of a

_____%marginofpreferenceinthecomparisonoftheirtender with othertendersshallsupplyallinformationrequiredtosatisfythecriteria foreligibilityasdescribedinClause29oftheseInstructions.

4.CostofTendering

   Thetenderershallbearallcostsassociatedwiththepreparation and

submission of his tender and neither the Employer nor his  agent

___________Companywillinanywayberesponsible or liable for those

costs,regardlessoftheoutcomeofthetenderingprocess.

5.SiteVisit

   5.1ThetendererisadvisedtovisitandexaminetheSiteoftheWorksandthesurroundingsandtoobtainforhimselfonhisown responsibility,allinformationthat may be necessary for preparing the tender andenteringintoacontract.Thecostsofvisitingthesiteshallbe at thetenderer'sownexpense.

   5.2Arrangementsforavisitto site, including transportation and

accommodation.willbemadebytheEmployerorhisagent_________Companyandwillbeadvisedtotenderersatthepre-tender meeting, details ofwhicharegiveninClause16oftheseInstructionstoTenderers.,

   5.3Thetendererand any of his representatives will be granted

permissionbytheEmployerorhisagent___________companytoenter uponitspremisesandlands for the purpose of such inspection by prior

arrangement,butonlyupontheexpressconditionthatthetendererandhisrepresentatives,willreleaseandindemnify the Employer or his agent

___________Companyanditspersonnelfromandagainst all liability in

respectthereofandwillberesponsibleforpersonalinjury（whetherfatalorotherwise）,lossofordamagetopropertyandanyother loss, damage,costsandexpenseshowevercaused,which,butfor the exercise of suchpermission,wouldnothavearisen.
