ConsultingandConfidentialityAgreement顾问及保密协议-

1.ENGAGEMENT.TheCompanyherebyengagestheConsultantinanadvisorycapacityandtheConsultantherebyacceptssuchengagement,uponthetermsandconditionssetforthinthisAgreement.

2.TERM.ThetermofthisAgreementshallcommenceon_________,_________,_________（M/D/Y）andshallterminateon_________,_________,_________（M/D/Y）（theTerm）.

3.DUTIES.

a.Uponreasonablerequest,theConsultantshallprovidegeneraladviceandassistancetotheCompanyonavarietyofprojectsandactivitiesasdeterminedfromtimetotimebytheCompany’sChiefExecutiveOfficer,towhomtheConsultantshallreportandreceivehisdirectionandprojectpriorities.IntheeventtheCompanydecidestoimplementstrategiesormakebusinessdecisionsbasedonanyopinions,adviceorassistanceofConsultant,theCompanydoessoatitsownriskandwithoutanyrecourseagainsttheConsultantforanyopinions,adviceorassistancegiven.

b.DuringtheTerm,theConsultantshallreachreasonableagreementfromtime-to-timewiththeCompany’sCEOastotheamountoftimethatshallbeallocatedbyConsultantfortheCompany’sbenefit,itbeingtheintentionofthepartiesthatthisconsultingarrangementnotinterferewithConsultant’sabilitytoundertakeotherfulltimeemploymentorpursueotherfulltimebusinessopportunitiesnotinvolvingtheCompany,nortorestrictConsultant’sabilitytotravelorrelocatehispersonalresidence.

4.INDEPENDENTCONTRACTOR.

a.TherelationshipoftheConsultanttotheCompanyshallbethatofanindependentcontractor,andneitherthisAgreementnoranyconducthereundershallbedeemedtocreatearelationshipofemployer-employee,partnership,jointventureoranyothercommonenterprise.ConsultantshallberesponsibleforpaymentofalltaxesincludingFederal,StateandLocaltaxesarisingoutofConsultant’sactivitiesinaccordancewiththisAgreement.

b.TheConsultantshallhavenoauthoritytobindtheCompanyto,orassume,enterinto,oractonbehalfoftheCompanyfor,anyobligation,agreementoract.

5.FEESANDEXPENSES.

a.DuringtheTermofthisAgreement,ascompensationforallservicesrenderedbytheConsultant,theCompanyshallpaytoConsultantafeeequalto$_________,payableasfollows:

$_________inalumpsumdueuponexecutionofthisAgreement,and$_________permonthpayableonthe15thdayofeachmonthbeginning_________,_________,_________（M/D/Y）,andcontinuingeachmonththereafterthrough_________,_________,_________（M/D/Y）,tobepaidbyCompanychecktimelymailedtoConsultant’saddresssetforthinSection11hereoforsuchotheraddressasConsultantshallprovidetotheCompanyinawrittenchangeofaddresscommunication.

b.DuringthetermofthisAgreement,theCompanyshallreimburseConsultantforallbusinessexpensesreasonablyincurredbytheConsultantintheperformanceofserviceshereunderprovidedthatsuchbusinessexpenseswereapprovedinwritingbytheCompany.ConsultantwillsubmittotheCompanyawrittenaccountingorotheradequatedocumentaryevidenceofsuchexpensesnomorefrequentlythanmonthly.TheCompanyagreestoreimburseConsultantforsuchexpenseswithinfifteen（15）businessdaysofreceiptofeachsuchexpenseaccounting.

c.TheCompanyshallpaythehealthinsuranceandallotherhealthbenefits,includingAFLAC,underCOBRAfortheConsultantforan18-monthperiodbeginningin_________,_________（M/Y）.ThesehealthbenefitsshallceaseifandwhentheConsultantbecomescoveredunderotherinsurance.TheConsultantshallpromptlynotifytheCompanyofanynewinsurancecoverage.

d.TheCompanyshallreimburseConsultant’scellphonechargesduringthe12monthperiodbeginning_________,_________,_________（M/D/Y）,attherateof$_________permonth,andwillreimburseamountsinexcessof$_________permonthforexpensesonCompanybusiness.TheConsultantshallberequiredtosubmittotheCompanyforreimbursementasabusinessexpense,anycellphonechargesinexcessof$_________permonthwhichpertaintoconsultingservicesprovidedhereunder.

6.NON-COMPETITIONAGREEMENT.

a.NON-COMPETITIONWITHTHECOMPANY.Until_________,_________,_________（M/D/Y）,theConsultant,directlyorindirectly,inassociationwithorasastockholder,director,officer,consultant,employee,partner,jointventurer,memberorotherwiseoforthroughanyperson,firm,corporation,partnership,associationorotherentity,shallnotcompetewiththeCompanyoranyofitsAffiliatesinanylineofbusinesswhichisdirectlycompetitivewiththebusinessoftheCompanyoranyofitsAffiliatesinexistenceorplannedasofthedateofthisAgreement,withinanymetropolitanareaintheUnitedStates.TheCompany’scurrentbusiness（theProhibitedBusiness）isdefinedastheCompany’sbar,legalormedicalprintdirectoryprograms,currentattorneyreferralservicebusiness（AAA）orthesaleofspecialtylistingsforattorneysand/orserviceproviderstothelegalprofessionwheresuchlistingsarecontainedinprintdirectoriesreferredtoaboveorontheInternet;provided,however,theforegoingshallnotprohibittheConsultantfromowningupto5%ofthesecuritiesofanypublicly-tradedenterpriseprovidedtheConsultantisnotanexecutive,director,officer,consultanttosuchenterpriseorotherwisereimbursedforservicesrenderedtosuchenterprise.AffiliateshallhavethemeaningcontainedinRule405undertheSecuritiesActof1933.

b.SOLICITATIONOFCUSTOMERS.DuringtheperiodsinwhichtheprovisionsofSection6（a）shallbeineffect,theConsultant,directlyorindirectly,shallnotreferProhibitedBusinessfromanyCustomertoanyenterpriseorbusinessotherthantheCompanytoanyenterpriseorbusinessthatisindirectcompetitionwiththeCompany’sbar,legalormedicalprintdirectoryprograms,orattorneylistingsontheInternetorinprint,orattorneyreferralservicebusinessorreceivecommissionsbasedonsalesorotherwiserelatingtotheProhibitedBusinessfromanyCustomerthatisindirectcompetitionwiththeCompany’sbar,legalormedicalprintdirectoryprogramsorattorneyreferralservicebusiness,oranyenterpriseorbusinessotherthantheCompany.ForpurposesofthisAgreement,thetermCustomermeansanyperson,firm,corporation,partnership,associationorotherentitytowhichtheCompanyoranyofitsAffiliatessoldorprovidedgoodsorservicesduringthetwelve-monthperiodpriortothetimeatwhichanydeterminationisrequiredtobemadeastowhetheranysuchperson,firm,corporation,partnership,associationorotherentityisaCustomer,orwhoorwhichwasapproachedbyorwhoorwhichhasapproachedanemployeeoftheCompanyforthepurposeofsolicitingbusinessfromtheCompanyorthethirdparty,asthecasemaybe.

c.SOLICITATIONOFEMPLOYEES.DuringtheperiodsinwhichtheprovisionsofSection6（a）shallbeineffect,theConsultant,directlyorindirectlyincludingthroughanyAffiliateshallnotsolicit,hire,negotiatewith,orcontactanyemployeeoftheCompanyforthepurposeofhiringthemorcausingthemtoterminatetheiremploymentrelationshipwiththeCompany.However,iftheCompanyterminatesanemployee,orifanemployeeleavestheCompanyforaperiodofsixmonthsnotinrelationtoanysolicitationbytheConsultant,theConsultantmayhiresuchemployee.

d.NOPAYMENT.TheConsultantacknowledgesandagreesthatnoseparateoradditionalpaymentwillberequiredtobemadetohiminconsiderationofhisundertakingsinthisSection6.

7.CONFIDENTIALINFORMATION.DuringthetermofthisAgreement,theConfidentialInformationshallbeheldbytheConsultantinthestrictestconfidenceandshallnot,withoutthepriorwrittenconsentoftheCompany,bedisclosedtoanypersonotherthaninconnectionwithConsultant’sassignedprojectsandactivitieshereunder.

a.CONFIDENTIALINFORMATION.ConfidentialInformationincludes,butisnotlimitedto,tradesecretsasdefinedbythecommonlawandstatutein_________（Placename）oranyfuture_________（Placename）statute,processes,policies,procedures,techniques,designs,drawings,know-how,show-how,technicalinformation,specifications,computersoftwareandsourcecode,informationanddatarelatingtothedevelopment,research,testing,costs,marketingandusesoftheServices（asdefinedherein）,theCompany’sbudgetsandstrategicplans,andtheidentityandspecialneedsofCustomers,databases,data,alltechnologyrelatingtotheCompany’sbusinesses,systems,methodsofoperation,clientorCustomerlists,Customerinformation,solicitationleads,marketingandadvertisingmaterials,methodsandmanualsandforms,allofwhichpertaintotheactivitiesoroperationsoftheCompany,names,homeaddressesandalltelephonenumbersande-mailaddressesoftheCompany’sexecutives,formerexecutives,clientsandformerclients.Inaddition,ConfidentialInformationalsoincludesCustomersandtheidentityofandtelephonenumbers,e-mailaddressesandotheraddressesofexecutivesoragentsofCustomers（eachaContactPerson）whoarethepersonswithwhomtheCompany’sexecutivesandagentscommunicateintheordinarycourseofbusiness.ConfidentialInformationalsoincludes,withoutlimitation,ConfidentialInformationreceivedfromtheCompany’ssubsidiariesandAffiliates.ForpurposesofthisAgreement,thefollowingshallnotconstituteConfidentialInformation（i）informationwhichisorsubsequentlybecomesgenerallyavailabletothepublicthroughnoactoftheConsultant,（ii）informationsetforthinthewrittenrecordsoftheConsultantpriortodisclosuretotheConsultantbyoronbehalfoftheCom
