　　General1.DescriptionofWorks

　　Alltenderersshallhaveequalaccessforsupply　of　domestic　labourandmaterial.

　　TheContractorshallmakehisownarrangementsfortheprocurement　oflocallabour，materials，transportationandotherservices.

　　TheEmployerwillassistContractorinlocating　potential　number　ofsuppliersforlocallabour，materials.TheEmployerwillalso　assist　thecontractor　in　making　his　own　arrangement　for　supply　of　fuel　andexplosives.2.SourceofFunds

　　2.1ThePeople'sRepublicofChinahasappliedforaloan　and　creditfromtheWorldBank  towardsthe　costof____________Project，andintendstoapplyaportionoftheproceedsoftheloanandcredittoeligiblepayments　under　the　Contract　for　whichthesedocumentsareissued.PaymentbytheIFIwillbemade　only　at　therequestoftheChineseGovernmentanduponapprovalbytheIFIandwillbesubjectinallrespectstothetermsandconditionsoftheLoanAgreement.NopartyotherthanthePeople'sRepublicofChinashallderiveanyrightsfromtheLoanAgreementorhaveanyclaimtotheloanproceeds.

　　2.2PaymentfromtheproceedsoftheWorldBankLoanwill　be　limitedtogoodsproducedin，andservices　supplied　from，　Switzerland　and　themembercountriesoftheWorldBankwhichhave　commercial　relations　withChina.

　　2.3AllcostsnotmetbytheIFILoanwillbe　paid　by　the　EmployerfromfundsallocatedbytheGovernmentofChina.3.EligibilityandQualificationRequirements

　　3.1Thistenderisopentoallpre-qualifiedtenderers　from　eligiblesourcecountriesasdefinedunderthe“GuidelinesforProcurement”of　theworldBank.

　　3.2Allgoodsandservicestobesuppliedunder　this　Contract　shallhavetheiroriginineligiblesourcecountries，andallexpenditures　madeundertheContractwillbelimitedtosuchgoodsandservices.

　　3.3Theoriginofgoodsandservicesisdistinctfromthe　nationalityofthetenderer.

　　3.4Tobe　eligible　for　award　of　contract，　tenderers　shall　haveprovidedevidencesatisfactorytotheEmployeroftheireligibility　underclause3.1above，andoftheircapabilityand　adequacy　of　resources　toeffectivelycarry　out　the　Contract.　To　this　end，　the　Employer　and____________companymay，atanytimepriortoawardofcontract，　requesttendererstoamplifyorupdatepreviouslysubmittedprequalificationdata.AllTenderssubmittedsha

　　「正　　文」includethefollowinginformation：

　　copiesoforiginaldocumentsdefiningthe　constitution　or　legalstatus，placeofregistrationand　principal　place　of　business　of　thecompany，firmorpartnershipor，ifajointventure，ofeachpartytheretoconstitutingthetenderer；

　　thequalificationsandexperienceofkey　personnel　proposed　foradministrationandexecutionoftheContract，bothonandoffsite，intheformatprescribedinScheduleV；

　　majoritemsofconstructionalplantandequipmentproposedforuseincarryingouttheContractintheformatprescribedinScheduleIV；

　　alistofproposedsub-contractorsin　the　format　prescribed　inScheduleVI；

　　informationregardinganycurrentlitigationinwhichthetendererisinvolved；

　　thedetailsoftheconstructionmethodsproposed.

　　3.5Forthepurposes　of　sub-clause　3.4，　tenderers　who　have　beenpre-qualifiedmayupdateandaugmenttheinformationsupplied　with　theirapplication　for　pre-qualification，　and，　in　particular，　shall　giveparticularsofworkinhandatthedateoftendering.

　　3.6Tenderssubmittedbyajointventure　of　two　or　more　firms　aspartnersshallcomplywiththefollowingrequirements：

　　thetender，andin　case　of　a　successful　tender　the　Form　ofAgreement，shallbesignedsoastobelegallybindingonallpartners；

　　oneoftheJointVenturemembersshallbe　nominated　as　sponsor；andthisauthorisation　shall　be　evidenced　by　submitting　a　power　ofattorneysignedbylegallyauthorisedsignatoriesofall　the　members　ofthejointventure；

　　thejointventuresponsorshallbeauthorisedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyandallmembers　of　thejointventureandtheentireexecutionoftheContract　including　paymentshallbedoneexclusivelywiththejointventuresponsor；

　　allmembersofthejoint　venture　shall　be　liable　jointly　andseverallyforthe　execution　of　the　Contract　in　accordance　with　theContractterms，andarelevantstatementtothiseffectshallbe　includedintheauthorisationmentionedunder  aboveaswellasinthe　Form　ofTenderandtheFormofAgreement；and

　　acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththetender.

　　3.7Domestictenderersorcombinationsorjointventures　of　domesticandforeigntenderersapplyingforeligibilityforthe　application　of　a_____%marginofpreferenceinthecomparisonoftheirtender　with　othertendersshallsupplyallinformationrequiredtosatisfythecriteria　foreligibilityasdescribedinClause29oftheseInstructions.4.CostofTendering

　　5.1ThetendererisadvisedtovisitandexaminetheSiteoftheWorksandthesurroundingsandtoobtainforhimselfonhisown　responsibility，allinformationthat　may　be　necessary　for　preparing　the　tender　andenteringintoacontract.Thecostsofvisitingthesiteshallbe　at　thetenderer'sownexpense.

　　5.2Arrangementsforavisitto　site，　including　transportation　andaccommodation.willbemadebytheEmployerorhisagent_________Companyandwillbeadvisedtotenderersatthepre-tender　meeting，　details　ofwhicharegiveninClause16oftheseInstructionstoTenderers.，

　　5.3Thetendererand　any　of　his　representatives　will　be　grantedpermissionbytheEmployerorhisagent___________companytoenter　uponitspremisesandlands　for　the　purpose　of　such　inspection　by　priorarrangement，butonlyupontheexpressconditionthatthetendererandhisrepresentatives，willreleaseandindemnify　the　Employer　or　his　agent___________Companyanditspersonnelfromandagainst　all　liability　inrespectthereofandwillberesponsibleforpersonalinjury，lossofordamagetopropertyandanyother　loss，　damage，costsandexpenseshowevercaused，which，butfor　the　exercise　of　suchpermission，wouldnothavearisen.

　　6.2Tenderdocumentsshallincludeanyaddenda　issued　prior　to　theclosingdateoftendersinaccordancewithClause8　and　any　minutes　ofpre-tender　meetings　issued　in　accordance　with　Clause　16　of　theseInstructionstoTenderers.

　　6.3Furthercopiesofthedocumentsmaybepurchasedby　pre-qualifiedtenderersforanon-refundablefeeasfollows：

　　6.4Sub-contractors，manufacturers，suppliersandothers　who　requirecopiesofthedocumentsshallnotrequestthemdirectlyfrom_____________butshallobtainthemonlyfrompre-qualifiedtenderers.
