根据《中华人民共和国合同法》、《中华人民共和国城市房地产管理法》及其他有关法律、法规之规定,在平等、自愿、协商一致的基础上,甲、乙双方就下列厂房的租赁达成如下协议:
Inaccordancewiththe“ContractLawofthePeople’sRepublicofChina”,the“PropertyManagementLawofCityRealEstateofthePeople’sRepublicofChina”andotherrelevantlawsandregulations,PartyAandPartyB,onthebasisofequalityandmutualunderstandingandthroughfriendlynegotiation,havereachedthefollowingagreementontheleaseofthepremises:
第一条房屋的基本情况
Chapter1BasicInformationonthePremises
甲方厂房(以下简称“厂房”)座落于----,总建筑面积为-----平方米;该厂房平面图参见附件1。
PartyA’spremises(hereinafterreferredtoasthe“Premises”)arelocatedat---Road;totalbuilt-upareais----sqm.PleaserefertoAnnex1fortheplanofthePremises.
该厂房应已具备所有必要的硬件设施(包括水管道,电线及电话线)以供乙方使用。
ThePremisesshallbeequippedwithallthenecessaryhardwarefacilities(includingwaterpipes,powerlinesandphonelines)installedinsidethepremisetobeusedforPartyB.
甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。
PartyArepresentsandwarrantstoPartyBandNewCothatitisthesolelegalownerofthePremisesandthat,intheeventofamortgageoranyothersimilarguaranteesinconnectionwiththePremisestakingplace,PartyB’srightsandinterestspursuanttothisagreementshallnotbedamagedinanymannerwhatsoever.
第二条厂房的用途
Chapter2UseofthePremises
该厂房用途为工业厂房,乙方不得任意改变厂房用途。
ThePremisesshouldbeusedforindustrialpurpose.PartyBshouldnotchangetheuseofthePremisesatitsownwill.
第三条租赁期限
Chapter3LeasePeriod
租赁期限为---年,自新公司获得营业执照或项目批准证书之日起计算。
Thedurationoftheleaseperiodshallbe----years,startingfromthedayofissuanceofNewCompanybusinesslicenseorCertificateofApproval.
第四条租金

4.1该厂房第一到三年的租金为人民币12元/平方米/月,计人民币__________元/月,人民币__________元/季,人民币__________元/年。
之后,每三年商定的递增不得超过___%。

第五条付款方式

第六条保证金
Chapter6SecurityDeposit
本合同签订后的7个工作日内,乙方应当向甲方支付总额相当于3个月租金额的保证金,即人民币--------。
Within7workingdaysuponthesigningofthisContract,PartyBshallpaytoPartyAasumofthreemonths’rentalasthesecuritydeposit,thatisRMB------。
乙方向甲方缴纳的保证金应作为其履行本合同所规定义务的担保。
如果乙方的行为违反合同规定的义务或者导致对厂房的损害,甲方有权从保证金中扣除相应数量的金额作为补偿。
在合同终止日期后30天内,甲方在从保证金中扣除乙方违反任何合同义务应承担的的补偿、赔偿或违约金后应将保证金的余额无息返还给乙方。
ThesecuritydepositshallbetakenasthewarrantyforPartyB’sdueperformanceofitsobligationsunderthisContract.IfPartyBcarriesoutactivitiesthatareagainstitsobligationsorresultinanydamagetothePremises,PartyAisentitledtodeductcorrespondingamountofcompensationfromthedeposit.Within30daysfromtheexpirationoftheContract,PartyAshallreturnthebalanceofthesecuritydeposittoPartyBwithoutinterestaftermakingdeductionsfromthesecuritydepositforcompensationforanybreachofthecontractbyPartyB.
第七条维修养护责任
Chapter7MaintenanceResponsibilities
甲方向乙方和新公司陈述和保证厂房和用于建筑的材料应符合中国有关法律法规关于消防、安全和环保事宜的所有要求。
且该厂房已获得所有所需的政府强制性证书(包括,但不限于环保证书,防火证书及防雷证书)
PartyArepresentsandwarrantstoPartyBandNewCothatthePremisesandthematerialsusedfortheconstructionshallcomplywithalltherequirementsoftherelevantChineselawsandregulationsconcerningfire,safetyandenvironmentalissues.PartyAhasalsoobtainedalltherequiredmandatorycertificatesbythegovernment(including,butnotlimitedtoEnvironmentalProtectionCertificate,FireProtectionCertificateandThunderStrikePreventionCertificate)forthePremises.
租赁期间,甲方对厂房及其附属设施每隔半年检查一次,乙方予积极配合,正常的厂房维修费由乙方承担。
Duringtheleaseperiod,PartyAwilldoanoverallinspectiononthePremisesanditsfacilitiesonceevery6months.PartyBshouldprovidenecessarysupport.PartyBshouldberesponsibleforroutinemaintenanceofthePremises.
因乙方管理使用不善造成厂房及其相连设备损失的,则由乙方负责恢复原状,并承担赔偿经济损失的责任。
PartyBshouldberesponsibleforthereinstatementworksandcompensationfortheeconomiclossesforthedamageofthePremisesandlossofitsfacilitiesduetothemismanagementofPartyB.
在乙方正式接收厂房之前,甲乙双方应对厂房进行一次综合检查。
甲方应对厂房存在的瑕疵负责修复。
BeforetakingpossessionofthePremises,PartyAandPartyBshouldconductacomprehensiveinspection.PartyAshouldberesponsibleforrectifyinganydefectsofthePremises.
第八条关于装修和改变厂房结构的协议
Chapter8AgreementontheDecorationandStructural
乙方不得随意损坏厂房设施,如需改变厂房内部结构和装修或设置对厂房有影响的设备,需先征得甲方的书面同意,相关费用由乙方承担。
乙方将按照附于本合同的项目计划进行改建。
甲方在此同意此些改建。
PartyBshouldnotdamagethefacilitiesinthePremises.IfstructuralchangeisnecessaryintheprocessofdecorationortheinstallationoftheequipmentdoesdamagetothePremises,PartyBshouldgetthepriorwrittenapprovalfromPartyA.ThecostofsuchchangeshouldbebornebyPartyB.ThestructuralchangesthatPartyBwillcarryouttothePremisesareindicatedintheprojectattachedtothisContract.PartyAherebygivesitsconsenttosuchchanges.
第九条关于厂房租赁期间的有关费用
Chapter9RelatedFeesduringtheLeasePeriodofthePremises
在厂房租赁期间,有关厂房及租金收入之税务由甲方负担;以下费用及因延期付款而产生的罚金(如存在)应由乙方支付:
Duringtheleaseperiod,PartyAshouldberesponsibleforthetaxesleviedontherentalincome.PartyBshouldberesponsibleforthefollowingchargesandthepenalty,ifany,onoverduepayment:
1、水、电费;
Waterandelectricitybill
2、通讯费;
Telecommunicationcharges
第一十条租赁期满
Chapter10ExpiryoftheLeasePeriod
租赁期满后,本合同即终止,届时乙方须将出租方厂房中的所有设施恢复原貌完好退还甲方,除乙方按照本合同第八条的规定在甲方同意的情况下对厂房结构的改建。
如乙方要求继续租赁,则须提前三个月以书面形式向甲方提出申请,甲方在合同期满前二个月内书面答复乙方,如同意继续租赁,则双方应签定新的租赁合同。
如本租赁合同在租赁期满后终止,乙方必须按时搬出其全部所属物品,搬迁后30天内厂房里仍有余物,视为乙方放弃所有权,由甲方处理。
Uponexpiryoftheleaseperiod,thiscontractisterminated.PartyBshouldconductreinstatementworksandyieldupthePremisesandallofthelandlord’sinstallationsintheiroriginalstateexceptforthosestructuralchangesmadebyPartyBandapprovedbyPartyAasestablishedinChapter8.IfPartyBwishestoextendtheleaseperiod,itshouldsubmitawrittenapplicationtoPartyA3monthsbeforetheexpirydate.PartyAwillgivePartyBawrittenreply2monthsbeforetheexpirydate.Ifextensionoftheleaseperiodisagreed,anewleasecontractshouldbesigned.Iftheleasecontractisterminateduponexpiryoftheleaseperiod,PartyBshouldmoveoutallitsbelongingsintime.IfthereisstillpropertyremaininginsidethePremises30daysafterthemove,itisunderstoodthatPartyBhasforsakenitspropertyrightandPartyAhastherightofdisposal.
第一十一条因乙方责任终止合同的约定
Chapter11TerminationoftheContractduetoPartyB’sResponsibilities
乙方有下列情形之一的,甲方有权终止本合同并收回厂房,由此造成甲方损失,由乙方负责赔偿:
PartyAhastherighttoterminatethecontract,takebackthePremisesandaskforcompensationsfromPartyBifPartyBactsonanyofthefollowings:
1、擅自将承租的厂房向第三方转租的;
ToleasethePremisestothirdpartiesatitsownwill;
2、擅自将承租的厂房向第三方转让、转借或擅自调换使用的;
TotransferorlendthePremisestothethirdparties,orexchangethePremiseswiththe3rdpartyatitsownwill;
3、擅自拆改承租的厂房结构或改变承租厂房用途的;
TochangethestructureortheuseofthePremisesatitsownwill;
4、拖欠租金累计达叁个月;
Rentalpaymentisoverdueformorethan3months;
5、利用承租的厂房进行违法活动的;
ToengageinanyillegalactivitieswithinthePremises;
6、故意损坏承租厂房的;
TodamagethePremisesintentionally;
第十二条提前中止合同
Chapter12TerminationoftheContractbeforeExpiryDate
租赁期间,乙方提出终止合同,需提前6个月书面通知另一方,同时甲方没收乙方相当于三个月租金的保证金,经双方协商后签订终止协议,在终止协议签订前,本合同仍有效。
Duringtheleaseperiod,ifPartyBwishestoterminatethecontract,itshouldinformtheotherpartysixmonthsinadvance;thesecuritydepositinequivalenttothree-monthrentalshallbeconfiscated.Afternegotiation,aterminationagreementshouldbesigned.Thiscontractisstillvalidbeforetheterminationagreementissigned.
第十三条违约责任
Chapter13LiabilitiesforBreachofContract
租赁期间双方必须信守合同,任何一方违反本合同的规定,违约方应向另一方支付年租金的10%作为违约金。
乙方逾期交付租金,甲方需书面通知乙方。
如果此通知发出七天后,欠款还未支付,每逾期一日,甲方有权按月租金的0.1%向乙方加收滞纳金。
Duringtheleaseperiod,bothpartiesshouldabidebythisleasecontract.Ifthere’sanybreachofcontractfromoneparty,thispartyshouldpay10%ofthetotalyearlyrentaltotheotherpartyforcompensation.IfPartyBdelaysonrentalpayment,PartyAshallinformPartyBinwritten.Incaseoflatepaymentexceedingsevendaysaftersuchnotice,PartyAhastherighttochargepenaltyof0.1%ofthemonthlyrentalfromPartyBforeverydayaftertheduedateoftherentalpayment.
