1个完整的合同应当有违约责任条款，违约责任条款就有2个作用：

一、督促作用，通过违约责任的的警示作用，督促合同当事人全面履行合同；二、弥补损失作用，在一方违约情况下，可以通过追究对方的违约责任，弥补损失。

国际商务合同中违约一般不称违约金而是称损害赔偿。

违约金条款第一不要遗漏，第二要全面，第三幅度可以高,但不要太高，因为太高导致条款无效，等于让裁判庭自己决定。

一般的损害赔偿方法可表述如下：

（直接财产损失十可得利益损失十减损支付的费用）一（应该避免的损失十避免的成本或因违约损害而获取的收益十属于受害方自己过错造成的损失）=违约方应该支付的损害赔偿数额（≤受害方的实际损失）。

一、货物买卖合同中约定的违约金

例：

承包方应当为这种违约向发包方支付按每天%的比例计算的损失

除合同第21条不可抗力原因外，如卖方不能按合同规定的时间交货，买方应同意在卖方支付罚款的条件下延期交货。

但罚款不得超过迟交货物总价的____%。

如卖方延期交货超过合同规定＿＿天时，买方有权撤销合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。

买方有权对因此遭受的其它损失向卖方提出索赔。

乙方不按合同规定购买补偿商品或甲方不按合同规定提供商品时，均应按合同条款承担违约责任，赔偿由此造成的经济损失，并向对方支付该项货款总值的____%的罚款。

例：

　如果发生任何货物的迟延交付，则买方有权要求预定损害赔偿，每迟延一整周，其金额为该迟交货物价款的0．5%，或约定的其他比率，但以买方通知卖方交货迟延为前提。

买方在约定的交货日期后15天内照此通知卖方，则损害赔偿金应从约定的交货日或约定　　的交货期间的最后一天起算；如果买方在约定的交货日期后超过15天才通知卖方，则损害赔偿金应从通知日起算。

延迟交货的预定损害赔偿金不应超过迟交货物价款的5%，或其他可能约定的最高数额。

例：

除天灾人祸等不可抗力因素及因买方未尽本合同责任之情形以外，如卖方逾期完成以上任何一项义务，须从逾期第四天起按日支付该笔逾期款项0.1%的罚款，但该罚款不应超过本合同总价之3%。

InspectionCertificateissuedbySGSatdischargingwhichshouldbepresentedtothesellerwithin30daysaftercompletionofdischargingdate.Otherwiseanyclaimshallbedeemedtobewaived.ItsCertificateisfinalandmustshowclearlyactualweight（0.3%franchiseallowed）.Noquantityclaimwillbemadeforquantitydifferencenotexceeding0.3%ofB/Lweight.Ifshortageorsurplusisbeyondtheallowedfranchise,theexcessofthe0.3%franchiseofshortageorsurplusshallbesettledcommerciallybyremittancewithin30daysuponreceiptofclaim.Packingmaterialweightwillnotbecalculated.

SGS在卸货时颁布的检查证书须在完成卸货之日起30天内向卖方出示。

否则任何索赔将被视为无效。

证书必须是最终的而必须清楚地标明实际重量（0.3%的免赔是允许的）。

提单重量差别没有超过0.3%，则不提出索赔。

如果在免赔的基础上超出或是不足，超过了0.3%重量差，无论是超出还是不足都将在收到索赔之日起30天之内通过商业汇款的方式解决。

包装材料的重量不计在内。

例：

Subjectto0.3%franchiseagainstB/Lweight,BuyershallhavetherighttosendclaimconcerningtheQuantityandQualityofthematerialwithin30daysfromthedateofB/L.

按照提单重量0.3%的免赔质量，买方有权在提单之日起30天之内提出关於材料数量和质量的索赔要求。

例：

Shouldthesellerfailstoeffectontimeasstipulatedinthiscontractowingtocausesotherthanforcemajeureasprovidedinclauseforcemajeureofthiscontract,thesellershalllosthispbg,anditshallbeautomaticallytransferredtothebuyer’saccountbythebankingsystem.Inthiscasethebuyerhastherighttocancelthiscontractbutmayagreetogivetheselleragraceperiodoffive（5）daysfordelayedshipment.Penaltyshallbechargedattherateof0.3%oftotalL/Cvalueforeverydaytheshipmentsisdelayed.Thepenaltyshallbecalculatedfromthe1stdayafterthelatestdateofshipmentinthecontract/lc.Thetotalvalueofpenaltyshallnotexceed3%ofthetotalvalueofthecommodity.

如果出於本合同中所述不可抗力以外的原因，卖方没有按时依照本合同规定履行职责，卖方将失去其保证金，保证金由银行系统自动转到买方账下。

在此情况下，买方有权取消本合同，但是同意为预期的交付提供5天的优惠期。

罚金按照每逾期一天收取总提单价值的0.3%。

罚款自本合同或信用证规定的最迟日起之後的第一天算起。

总罚款不应超过商品总值的3%。

例：

IfeitherpartyofthisContractfailstoperformitsobligationasstatedinthiscontract,otherthanbyreasonofForceMajeureasperClause14,Theconcernpartyshallpay2%penaltytotheotherparty.thepenaltymustbepaidwithin30days.

若买卖双方任何一方未能履行合同条款,除因条款第十四条款所述的不可抗力事件外,违约方须向对方支付2%违约金.支付时间为判定为违约后30天内,

例：

迟交货和罚金：

如果卖方未能按合同规定及时交货（除了本合同15条款所言的不可抗力），买方同意在卖方付罚金的前提下迟交货。

罚金的金额不超过迟交货的合同货物部分的价值的5%，罚金按每7日0.5%计算，少于7日的增加天数按7日计。

如果卖方未能于合同规定的交货期之后的十周内发运，买方有权取消该合同，除此之外，卖方仍要将有关罚金不加拖延地付给买方。

ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause15ofthisContract.TheBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.ThePenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays.Odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspitethecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.

二、租房合同中约定的违约金

例：

甲方应按合同签订的出租日期将出租的房屋交乙方使用。

如甲方逾期不交房屋的，则每逾期一天应向乙方支付租金双倍的违约金。
