OTHERTERMS：
1.
异议：
品质异议须于货到目的口岸之日起30天内提出，数量异议须于货到目的口岸之日起15天内提出，但均须提供经卖方同意的公证行的检验证明。
如责任属于卖方者，卖方于收到异议20天内答复买方并提出处理意见。
1.Discrepancy：
Incaseofqualitydiscrepancy,claimshouldbelodgedby
theBuyerswithin30daysafterthearrivalofthegoodsattheportof
destination,whileforquantitydiscrepancy,claimshouldbelodgedbythe
Buyerswithin15daysafterthearrivalofthegoodsattheportofdestination.
Inallcases,claimsmustbeaccompaniedbySurveyReportsofRecognizedPublic
SurveyorsagreedtobytheSellers.Shouldtheresponsibilityofthesubject
underclaimbefoundtorestonthepartoftheSellers,theSellersshall,
within20daysafterreceiptoftheclaim,sendtheirreplytotheBuyers
togetherwithsuggestionforsettlement.
2.信用证内应明确规定卖方有权可多装或少装所注明的百分数，并按实际装运数量议付。
（信用证之金额按本售货合约金额增加相应的百分数。
）
2.ThecoveringLetterofCreditshallstipulatetheSellers’soptionof
shippingtheindicatedpercentagemoreorlessthanthequantityhereby
contractedandbenegotiatedfortheamountcoveringthevalueofquantity
actuallyshipped.（TheBuyersarerequestedtoestablishtheL/Cinamountwith
theindicatedpercentageoverthetotalvalueoftheorderasperthisSales
Contract.）
3.
信用证内容须严格符合本售货合约的规定，否则修改信用证的费用由买方负担，卖方并不负因修改信用证而延误装运的责任，并保留因此而发生的一切损失的索赔权。
3.ThecontentsofthecoveringLetterofCreditshallbeinstrict
conformitywiththestipulationsoftheSalesContract.Incaseofanyvariation
thereofnecessitatingamendmentoftheL/C,theBuyersshallbeartheexpenses
foreffectingtheamendment.TheSellersshallnotbeheldresponsiblefor
possibledelayofshipmentresultingfromawaitingtheamendmentoftheL/Cand
reservetherighttoclaimfromtheBuyersforthelossesresulting
therefrom.
4.
除经约定保险归买方投保者外，由卖方向中国的保险公司投保。
如买方需增加保险额及/或需加保其他险，可于装船前提出，经卖方同意后代为投保，其费用由买方负担。
4.ExceptincaseswheretheinsuranceiscoveredbytheBuyersas
arranged,insuranceistobecoveredbytheSellerswithaChineseinsurance
company.Ifinsuranceforadditionalamountand/orforotherinsurancetermsis
requiredbytheBuyers,priornoticetothiseffectmustreachtheSellers
beforeshipmentandissubjecttotheSellers’agreement,andtheextra
insurancepremiumshallbefortheBuyers’account.
5.
因人力不可抗拒事故使卖方不能在本售货合约规定期限内交货或不能交货，卖方不负责任，但是卖方必须立即以电报通知买方。
如果买方提出要求，卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的证明，证明事故的存在。
买方不能领到进口许可证，不能被认为系属人力不可抗拒范围。
5.TheSellersshallnotbeheldresponsibleiftheyfail,owingtoForce
Majeurecauseorcauses,tomakedeliverywithinthetimestipulatedinthis
SalesContractorcannotdeliverthegoods.However,theSellersshallinform
immediatelytheBuyersbycable.TheSellersshalldelivertotheBuyersby
registeredletter,ifitisrequestedbytheBuyers,acertificateissuedbythe
ChinaCouncilforthePromotionofInternationalTradeorbyanycompetent
authorities,attestingtheexistenceofthesaidcauseorcauses.TheBuyers’
failuretoobtaintherelativeImportLicenceisnottobetreatedasForce
Majeure.
6.
仲裁：
凡因执行本合约或有关本合约所发生的一切争执，双方应以友好方式协商解决;如果协商不能解决，应提交中国国际经济贸易仲裁委员会，根据该会的仲裁规则进行仲裁。
仲裁裁决是终局的，对双方都有约束力。
6.Arbitration：
AlldisputesarisinginconnectionwiththisSalesContract
ortheexecutionthereofshallbesettledbywayofamicablenegotiation.In
casenosettlementcanbereached,thecaseatissueshallthenbesubmittedfor
arbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission
inaccordancewiththeprovisionsofthesaidCommission.Theawardbythesaid
Commissionshallbedeemedasfinalandbindinguponbothparties.

订单确认之后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤销的即期信用证。
乙方开出信用证后，应立即通知甲方，以便甲方准备交货。

6.佣金
Commission
在本协议期满时，若乙方完成了第二款所规定的数额，甲方应按装运货物所收到的发票累计总金额付给乙方_________%的佣金。
UpontheexpirationoftheAgreementandPartyB’sfullfilmentofthetotal
turnovermentionedinArticle2，PartyAshallpaytoPartyB _________%
commissiononthebasisoftheaggregateamountoftheinvoicevalueagainstthe

7.市场情况报告
ReportsonMarketConditions
乙方每3个月向甲方提供一次有关当时市场情况和用户意见的详细报告。
同时，乙方应随时向甲方提供其他供应商的类似商品样品及其价格、销售情况和广告资料。
PartyBshallforwardonceeverythreemonthstopartyAdetailedreports
oncurrentmarketconditionsandofconsumers’comments.Meanwhile，PartyB
shall，fromtimetotime，sendtopartyAsamplesofsimilarcommoditiesoffered
byothersuppliers，togetherwiththeirprices，salesinformationand
advertisingmaterials.
8.宣传广告费用
Advertising&PublicityExpenses
在本协议有效期内，乙方在上述经销地区所作广告宣传的一切费用，由乙方自理。
乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。
PartyBshallbearallexpensesforadvertisingandpublicitywithinthe
aforementionedterritoryinthedurationofthisAgreementandsubmittoPartyA
allpatternsand/ordrawingsanddescriptionforpriorapproval.
9.协议有效期
ValidityofAgreement
本协议经双方签字后生效，有效期为_________天，自_________至_________。
若一方希望延长本协议，则须在本协议期满前1个月书面通知另一方，经双方协商决定。
若协议一方未履行协议条款，另一方有权终止协议。

10.仲裁
Arbitration
在履行协议过程中，如产生争议，双方应友好协商解决。
若通过友好协商达不成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。
该委员会的决定是终局的，对双方均具有约束力。
仲裁费用，除另有规定外，由败诉一方负担。
AlldisputesarisingfromtheexecutionofthisAgreementshallbesettled
throughfriendlyconsultations.Incasenosettlementcanbereached，
