10.3Bankingcharges

Dependinguponthemethodofpaymentselectedpursuanttoclause

10.1above,theBuyershallbearallbankingchargesincurredinthecountryof

10.4OverdueInterest

IftheBuyerfailstopayanyamountwhendue,theBuyershallbeliabletopaytotheSelleroverdueinterestonsuchunpaidamountfromtheduedateuntiltheactualdateofpaymentattherateof（）percentperannum,SuchoverdueinterestshallbepaidupondemandoftheSeller.

11.TermsofDelivery

11.1Packaging

Allgoodsshallbepackagedtopreventdamagefromdampness,rust,moisture,erosionandshock,andshallbesuitablefor

[]oceantransportation,

[]multiplecarriertransportation.

TheSellershallbeliableforanydamageandlossofthegoodsattributabletoinadequateorimproperpackaging.

Themeasurement,grossweight,netweightofeachpackageandanynecessarycautionssuchas“DonotStackUpsideDown“,“KeepAwayFromMoisture”,“HandleWithCare”shallbestenciledonthesurfaceofeachpackagewithfadelesspigment,whenevernecessary.

11.2TermsofShipment

11.2.1IfshipmentismadeunderthetermsorCFRorCIF,theSellershall,notlaterthan（）daysbeforethetimeofshipment,informtheBuyerbyTelex,FaxorCableofthename,nationality,ageandotherdetailsofthecarryingvesselaswellasthecontractnumberforeachshipment.TheshipmentshallnotbeeffectedwithouttheconfirmationfromtheBuyerwithrespecttotheacceptabilityofthevessel;providedthat,theBuyershallnotunreasonablywithholdsuchconfirmation.TheBuyershallconfirmthevesselwithin[]3,[]5,workingdays,otherwisethevesselshallberegardedasconfirmed.

11.2.2（Thisparagraphshallbe[]maintainedor[]deleted.）

UponwrittenrequestoftheBuyerandifandtotheextentthatsuchinformationisavailable,theSellershallalsoinformtheBuyerbyTelex,FaxorCable,notlaterthan（）daysbeforethetimeoftheestimatedtotalamount,thepackagenumbers,theestimatedtotalweightandvolume,andtheestimateddateofarrivalofthevesselattheportofshipment.

11.2.3IfshipmentismadeunderthetermofFOB,thebuyershallbookshippingspaceinaccordancewiththetimeofshipmentstipulatedinthisContract,theSellershall,atleast（）daysbeforethedateofshipmentstipulatedinthisContract,advisetheBuyerbytelex,faxorcableofthecontractnumber,thenameofthecommodity,thequantity,thetotalamount,packagenumbers,thetotalweightandvolumeandthedatewhenthegoodsshouldbereadyforshipmentattheportofshipment.TheBuyershall,atleast（）daysbeforetheestimateddateorarrivalofthevesselattheportofshipment,notifytheSellerofthenameofthevessel,theestimateddateofladingandthecontractnumberfortheSellertoeffectshipment.Incasethecarryingvesselorthedateofarrivalhastobechanged,theBuyeroritsshippingagentshalladvisetheSellerintimetomakenecessaryarrangement.Shouldthevesselfailtoarriveattheportofshipmentwithin（）daysafterthearrivaldateadvisedbytheBuyer,theBuyershallbearallactualexpenses,including,thestorageexpensesandinterestcharges,calculatedformthe（）daythereafter.

TheSellershallbeliableforanydeadfreightordemurrage,shouldtheyfailtohavethequantityofthegoodsreadyforloadingintimeasstipulated,ifthecarryingvesselhasarrivedattheportofshipmentasadvised.

11.2.4IfshipmentismadeunderthetermsofFOBCFRofCIF,theSellershall,immediatelyuponthecompletionoftheloadingofthegoods,providetheBuyerandtheconsigneeappointedbytheBuyer,withnoticeofshipmentbytelex,faxorcable.Thenoticeshallincludethecontractnumber,nameofthecommodity,quantity,netandgrossweight,measurements,invoicedvalue,billsofladingnumber,sailingdateandtheestimateddateofladingnumber,sailingdateandtheestimateddateofarrivalattheportofunloading.

Ifthegoodstobeshippedincludeanyflammable,hazardousordangerousmaterials,thesellershallindicateonthesurfaceofeach
