RESEARCHAGREEMENT

theresearchfoundationofstateuniversityofnewyorkandsponsorr.f.account#____________________

madebyandbetweentheresearchfoundationofstateuniversityofnewyork,anonprofit,educationalcorporationorganizedandexistingunderthelawsofthestateofnewyork,withitsprincipalofficeslocatedat35statestreet,albany,newyork12207（mailingaddress:

postofficebox9,albany,newyork122010009）,hereinafterreferredtoasthe“foundation,”actingonbehalfofthestateuniversityofnewyorkat______________,hereinafterreferredtoas“university,”and________________,acorporationorganizedandexistingunderthelawsofthestateof__________________,withitsprincipalofficelocatedat_______________________,hereinafterreferredtoas“sponsor.”

witnesseth:

whereas,sponsorandfoundationhaveamutualinterestinpromotingresearchrelatedto_______________,hereinafterreferredtoasthe“field;”and

hasdevelopedexpertiserelatingtothefield;and

now,thereforeinconsiderationofthepremisesandthemutualcovenantshereinaftercontained,thepartiesagreeasfollows:

1.scopeofwork

thefoundationagreestouseitsbesteffortstoconductandcarryouttheprojectdescribedinthescopeofwork,exhibita,whichisattachedtoandmadeanintegralpartofthisresearchagreement.

2.reports

duringthetermofthisresearchagreement,foundationshallprovidewrittenreportstosponsorasspecifiedinexhibita.

pensation

a）inconsiderationofresearchservicestobeperformedpursuanttothisresearchagreement,sponsorshallmakefixedpaymentsinthetotalamountoffeedollars.?

infullandcompleteconsiderationoffoundation’sperformanceunderthisagreement,thesponsorshallreimbursefoundationforallowablecostsincurredinaccordancewiththetermsofthisagreement,upto______________________dollars,whichshallbespentinaccordancewiththebudgetsetforthinexhibita,attachedhereto.?

reimbursementshallbemadetofoundationuponsubmissionofinvoicestosponsorasprovidedbelow.foundationwillsubmit[monthly;quarterly]aninvoiceorvoucherofcostsincurredbythefoundationintheperformanceofthisagreementandclaimedtoconstituteallowablecosts.?

promptlyafterreceiptofeachinvoiceorvoucher,sponsorshallmakepaymentthereon.

aninterestpenaltyof1.5%permonthwillbeaddedtothetotalinvoiceamountofpaymentifnotreceivedwithinforty-five（45）daysoftheinvoicedate.

4.term

thisagreementshallbeeffectiveon____________________andshallcontinuethrough____________________unlessterminatedsoonerorextendedashereinafterprovided.

5.termination

eithersponsororfoundationmayterminatethisresearchagreementatanytimebygivingthirty（30）dayswrittennoticeofterminationtotheothercontractingparty.intheeventoftermination,sponsorshallreimbursefoundationforcontractualcommitmentsandfinancialobligationsincurredbyfoundationinperformanceofthisresearchagreementpriortosuchtermination,ifsuchfinancialobligationsorcontractualcommitmentscannotbecanceledbythefoundation.

itisunderstoodandagreed,however,intheeventthatfoundationhasevidencethatsponsorisindefaultuponanyofitsobligationshereunder,foundationshallbeentitledtoeithersuspendthecontractuntilanacceptableremedyisestablished,ortoterminatetheagreement.?

suchterminationshallbeeffectiveimmediatelyuponreceiptofofficialwrittennotificationfromfoundation.?

foundationshallalsobeentitledtopursueanyrightsorremedieswhichfoundationmayhaveagainstsponsorbyreasonofsuchdefault,andfoundationmaywithholdanypaymentstosponsorforthepurposeofsetoffuntilsuchtimeastheexactamountofdamagesmaybedetermined.

6.changeinprojectdirector

ifforanyreasonthefoundationprojectdirectorisunabletofulfilltheresponsibilitiesrequiredtocarryoutthisresearchagreement,thepartiesshallnegotiateingoodfaiththecontinuanceofthisresearchproject.?

however,ifanotherprincipalinvestigatorsatisfactorytosponsorcannotbeagreedupon,sponsormayterminatethisresearchagreement.?

intheeventofterminationbysponsor,foundationshallbereimbursedforallcostsitincursinconnectionwiththisresearchagreementwhicharisefromcommitmentsmadebyfoundationpriortoreceiptofnoticeoftermination,providedthecommitmentscannotbeterminatedbythefoundation.

7.proprietaryinformation

itisunderstoodthatinthecourseofcarryingoutthisresearchagreement,sponsorandfoundationmaywishtoshareproprietaryinformation.thepartiesagreetousetheirbesteffortstopreventdisclosureofinformationwhichisclearlymarkedasproprietarytoanyoneotherthanthoseindividualswhohaveaneedtoknowthisinformationforpurposesofcarryingouttheirobligationsinconnectionwiththisresearchagreement.

8.publications

thefoundationprojectdirectorand/orfoundation’sprojectstaffshallhavetherighttopublishtheresultsofanyresearchconductedunderthisresearchagreement.?

9.inventionsandlicenses

a）?

foundationshallholdtitletoallinventions（includingknowhow）whicharediscoveredduringtheconductofworkunderthisresearchagreementutilizingfoundationorstateuniversityofnewyorkfacilities.?

saidinventionsarehereinafterreferredtoas“foundationinventions.”

b）?

nolicenseorotherrightsinfoundationinventionsaregiventoorreceivedbysponsorexceptasspecificallyprovidedforherein.

c）?

foundationherebygrantstosponsora___dayoptiontoacquireanexclusivelicensetofoundationinventions.the___dayperiodoftheoptionshallcommenceonthedateofdisclosureoffoundationinventionstosponsorbyfoundation.?

shouldsponsorexerciseitsoptionunderthisparagraph,thepartiesshallnegotiateamutuallyacceptablelicenseagreement.

d）?

sponsoragreestoreimbursefoundationforalldirectcostsofpatentingnewtechnologydevelopedunderthisresearchagreementifsponsoracquiresrightsinsaidtechnology.

e）?

ifbothsponsorfacilitiesandfoundationand/orstateuniversityofnewyorkfacilitiesareusedincarryingoutworkwhichleadstoaninventionunderthisresearchagreement,thesponsorandfoundationshallholdjointtitletosaidinvention.?

sponsorshallbeentitledtoexercisetheoptionandlicensingrightssetforthabovewithrespecttofoundation’sinterestinsaidjointinventions.

f）?

inventionsmadeusingsponsorfacilitiesexclusivelyshallbelongtosponsor.?

10.assignment

a）?

neitherpartymayassignorotherwisetransferthisresearchagreementandtherightsacquiredhereunderwithoutthewrittenconsentoftheotherparty;thisconsentshallnotbeunreasonablywithheld.?

however,sponsormayassignortransferitsinterestinthisresearchagreementaslongassuchassignmentortransferisaccompaniedbyasaleorothertransferofsponsor’sentirebusinessorotherbusinesstowhichthisresearchagreementrelates.apartydesiringtoassignortransferthisresearchagreementshallgivetheotherpartythirty（30）dayspriornoticeofsuchassignmentortransfer.?

ifnoreasonableobjectionsareraised,thentheassignmentortransfershallbedeemedtohavebeenapproved.?

however,anassignmentortransfershallnotbedeemedtobeapprovedunlessthepartytowhichthisagreementisassignedagreesinwritingtobeboundbythetermsandconditionsofthisresearchagreement.

thisagreementshallaccruetothebenefitofandbebindinguponthesuccessors,assigns,heirs,andpersonalrepresentativesofthepartieshereto.

11.notice

allnotices,demands,andothercommunicationshereunder,exceptexchangesoftechnicalinformation,shallbedeliveredpersonallytothepartytowhichitisaddressed,ormailedtosuchpartybyregisteredorcertifiedmail,returnreceiptrequested,withpostagethereonfullyprepaid.saidnoticesshallbedeliveredtothefollowingaddresses,unlessnoticeofchangeofaddressisprovidedinwritingtotheotherparty:

12.bindingeffect

thisagreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsorassigns.

13.governinglaw

thisresearchagreementshallbeconstrued,governed,interpreted,andappliedinaccordancewiththelawsofthestateofnewyork,u.s.a.,exceptthatquestionsaffectingtheconstructionandeffectofanypatentshallbedeterminedbythelawofthecountryinwhichthepatentwasgranted.

14.modifications

thisagreementmaybechanged,amended,modifiedorextendedonlybyawritingdulyexecutedbytherespective
