根据《中华人民共和国合同法》及有关规定为明确出租方与承租方的权利义务关系经双方协商一致签订本合同
inaccordancewith“contractlawofprc.”andotherrelatedregulations,inordertodefiniterightsanddutiesofthelessorandthelessee,partyaandpartybagreetosignthisofficeleaseagreementafternegotiation.
第一条办公室座落、间数、面积、面积计算

甲方向乙方提供甲方货运站内楼no.房间使用面积
平方米作为其在货运站的操作办公用房
partyashallprovidepartybwithroom(s)ofno.withtheutilityareaof
squaremetersaspartyb’soperationofficeinpactl.
第二条办公室配套设施及服务
article2:
auxiliaryequipmentandservice
甲方将以办公室的目前自然状况交与乙方并提供以下货运站内办公室配套设施的使用及服务:
partyashallhandovertheroom(s)atthepresentnaturalconditiontopartyb,andprovidethefacilitiesuseandservicesinpactlasfollows:
1.公共照明
illuminationpowersupply
2.自来水(饮用水除外)
runningwater(notincludingdrinkingwater)
3.空调设备
airconditionequipment
4.公共卫生间
publictoilets
5.公共区域清洁
cleaninginpublicarea
乙方同意按其办公室内独立的电表读数和上海市物价局规定的电费价格支付每月的用电费用
partybagreestopayelectricityfeemonthlyaccordingtotheelectricitypriceregulatedbyshanghaipricingbureauandthereadingsofseparateammeterforitsoffice.
第三条租赁期限

leaseterm
1.租赁期共年零月出租方从年月日起将出租办公室交付承租方使用至年月日收回
leasetermis(years)(months).partyashallhandovertheroomstopartybonandtakethembackon.
2.任何一方终止合同或变更合同内容均需提前60天书面通知对方,否则本合同被视为自动延续
eachpartyhastofurnishtheotherpartyatleast60dayswithpriorwrittennoticeforterminationorchangeinthisagreement,otherwisethisagreementshallbedeemedtoextendautomatically.
第四条权利和义务
article4:
rightsduties
1.租赁期内乙方应遵守《上海市民用机场地区管理条例》及有关货运区的运行、安全等管理条例;
duringthetermofthiscontract,partybshouldplywiththebylaw<>,theadministrativerulesandregulationsregardingtocargoterminaloperationsecurity.
2.乙方对其租赁办公室区域内所有财产实施管理并对其安全负责甲方对该区域内属于乙方的财产的损坏、灭失等不承担责任除非该损失是由于甲方的疏忽或故意行为造成的
partybshouldholdtheresponsibilityformanagementandsecurityofallitspropertiesintheofficeleasedbypartyb.partyashallnotbeliableforanylossofanddamagetothepropertiesthatbelongtopartyb,unlesssuchlossordamagesarecausedduetonegligenceorwillfulmisconductofpartya.
3.乙方有下列情形之一的甲方可以终止合同、收回办公室:
ifanyofthesituationsmentionedbelowoccurs,partyahastherighttoterminatetheagreementandtaketheofficeback.
(1)乙方擅自将所租赁办公室转租、转让或转借的;
partybrents,orsellsorlendstheofficetothirdpartywithoutpartya’spermission.
(2)乙方利用承租办公室进行非法活动损害公共利益的;
partybusestherentingofficeforillegalactivitiesandharmsthepublicbenefits.
(3)乙方拖欠租金累计达3个月的;
partybdelayspaymentfor3months.
(4)乙方有本合同第六条所涉及的甲方所不允许的行为的
partybhasactivitiesthatpartyadoesnotpermitasinarticle6.
4.合同期满后如甲方仍继续出租办公室的乙方享有优先权如乙方无故逾期不搬迁由此给甲方造成的一切损失由乙方承担
partybwillhaveprioritytoleaseifpartyacontinuestorentouttheofficewhenthiscontractexpires.ifpartybdelaystomoveoutattheendofleasetermwithoutacceptablereasons,partybwillbearalllosscausedtopartya.
第五条租金、物业管理费、电费以及交纳期限
article5:
rent,propertymanagementfee,electricityfeeandpayment
1.租金:
每平方米220.00元/月总计元/月
therentshallbecny220.00persquaremeterpermonthbasedonutilityareawiththetotalrentofcny.
2.物业管理费:
每平方米5.00元/月总计元/月甲方有权根据市场物价指数每年上调该物业管理费不大于15%
propertymanagementfeeiscny5.00persquaremeterpermonth,totallycny.partyahastherightbasedonthepricingindextoincreasewithcertainamount(notsurpass15%).
3.租金及物业管理费的交纳期限:
乙方同意租金按季度于每季度的第一个月的10日前提前交付于甲方指定帐户内
paymentofrentandpropertymanagement:
partybagreestotransactthepaymenttobankaccountappointedbypartyabefore10thofthefirstmonthforeachquarter.
4.电费的交纳期限:
甲乙双方商定除非另有约定在每月的最后一天共同核定电表读数然后由甲方向乙方发出付款通知书乙方在收到该通知后的7个工作日内将该月的电费交付于甲方指定帐户内
paymentofelectricityfee:
unlessotherwisemutuallyagreedbytheparties,partyaandpartybtogetherconfirmthereadingofammeteronthelastdayofeachcalendarmonth,thenpartyaissuepartybapaymentstatement.partybwillpaytheelectricityfeetothebankaccountappointedbypartyawithin7workingdaysuponthereceiptofthestatement.

第六条办公室的装修及使用
1.乙方如对办公室进行装修时不得擅自改变办公室结构和原有风格并在装修前向甲方提交办公室装修方案(内容包括:
设计图、所使用的装修材料、装修中使用的设备等)在获得甲方的书面同意后装修方可进行,但甲方不得无理拒绝签发同意书
partybshallnotchangethestructureandoriginalstyleoftheofficeduringdecorationwithoutpartya’swrittenconsent.partybisrequiredpriordecorationtorendertopartyaastatementdetailingtheofficedecorationscheme,includingdesigndrawing,decorationmaterials,listofequipmenttobeusedandsoon.onlywithwrittenconsentfrompartya,whichshallnotbeundulywithheld,canthedecorationbecarriedout.
2.乙方如对办公室进行装修时不得擅自改变办公室内的电源、通讯等线路和空调、喷淋等各种管路的原有走向如确因使用电脑或其它办公设备而需增加电源插座时应在装修方案中列明获允许后方可施工施工完毕后由甲方查验如有损坏除负责修复外还应对造成的后果承担全部责任
partybshallnotchangethepowersupplyandmunicationlines,pipelinesforairconditionerandsprinklerwithoutpermissionofpartyaduringdecoration.however,ifsomeadditionalpoweroutletsforputersandotherofficeequipmentwillreallybeinstalled,theyshouldbelistedintheofficedecorationscheme,andonlywithpartya’spermissioncanthedecorationbecarriedout,whichmustbecheckedbypartyaafterthepletionofthedecoration.ifanydamageoccurstothosefacilities,partybshouldrepairthefacilitiesatitsowncostandberesponsibleforanyconsequenceofthesedamages.
3.鉴于办公室和地坪承载负荷限制乙方如对办公室进行装修时不得使用花岗石、大理石等重质材料作为地面装饰
consideringthebearingcapacityofthefloor,partybshallnotuseanyheavymaterials,suchasgraniteandmarble,todecoratethefloor.
4.为保持整个货运站建筑和装饰的统一性乙方在进行办公室装修时不得擅自变换办公室原有的门、窗及其外部颜色
inordertokeeptheunityofthearchitectureanddecorationofthewholecargoterminal,partybshallnotchangethedoors,windowsandtheirexteriorcolorwithoutpermissionfrompartyaduringdecoration.
5.鉴于甲方已为乙方提供了空调设备乙方在进行办公室装修时或办公室使用过程中不得再安装任何形式的空调设备或取暖装置乙方同意在办公室租用期间不使用单体耗电量超过300瓦的电气设备每个接电插座用电容量不超过10安培以确保货运站的用电安全
sincepartyahasprovidedairconditionequipmentstopartyb,partybshallnotinstallanyotherairconditionerorheatingdevicewhendecorationorindurationoftheofficeleased.toensuretheelectricalsafetyofthecargoterminal,partybagreesnottouseelectricapplianceswithpowerconsumptionsurpassing300winsingle,andcapacityofeachelectricityoutletisnolargerthan10a.
6.乙方同意不论何种原因致使乙方中止本合同乙方在迁离货运站时不得对原属于甲方所有的固定设备或装置造成损坏并负责将所租用办公室恢复至租赁前原样,但办公室的正常损耗除外
partybagreesthat,whenpartybterminatestheagreement,nomatterwhateverreasonwillbe,partybshallnotdamagethefixedfacilitiesorequipmentownedbypartyaandbeliabletorestoretheofficeleasedtoitsoriginalshapeandstate,normalwearandtearaccepted,whenwithdrawingfromthecargoterminal.
第七条违约责任
article7:
responsibilityofagreementviolation
1.甲方未按前述合同条款的规定和按时向乙方交付合乎要求的办公室或有其他违约事项的负责赔偿违约金为租赁期全部租金的10%
partyashallpay10%(tenpercent)oftheannualtotalrentaspensationtopartybintheeventpartyafailstohandovertheleaseofficetopartybatduetimespecifiedinarticleshereoforhasotherperformancethatviolatestheagreement.
2.承租方逾期交付租金或有其他违约事项的应支付违约金为租赁期全部租金的10%
partybshallpay10%(tenpercent)oftheannualtotalrentaspensationtopartyaintheeventpartybdelayspaymentofrentorhasotherperformancethatviolatestheagreement.
第八条免责条件
article8:
liabilityfreecondition
办公室如因不可抗力的原因导致毁损和造成承租方损失的双方互不承担责任
partyaandpartybshallnotberesponsibleforeachothers’lossesarisingfromthedamagetotheofficeleasedand/orpropertyownedbypartybcausedbyforcemajeure.
第九条争议的解决方式
article9:
settlementofdispute
本合同在履行中如发生争议双方应协商解决;协商不成时任何一方均可依据中华人民共和国仲裁法向上海市仲裁委员会提请仲裁仲裁结果将为最终结果对双方均有约束力
anydisputeoccurringinthetermofthisagreementshouldbesettledthroughnegotiation.ifitcannotbesettledafternegotiation,eitherpartycan,inpliancewiththearbitrationlawofprc,applyforarbitrationinshanghaiarbitrationmittee.thearbitrationawardshallbefinalandbindingonbothparties.
第十条本合同未尽事宜一律按《中华人民共和国合同法》的有关规定经合同双方共同协商作出补充规定补充规定与本合同具有同等效力
article10:
anymattersnotstipulatedinthisagreementshallbesettledintheaddendumaftermutualnegotiationbetweenpartyaandpartybaspertherelevantregulationsinthe“contractlawofprc”.theaddendumandtheagreementshallbeequallyauthentic.
第十一条本合同正本采用中英文两种文字混合一式2份出租方、承租方各执1份两种文字具有同等法律效力两种文字如有不符以中文文本为准经双方签字后正式生效
article11:
thisagreementisexecutedin2(two)originals(mixtureofenglishandchinese),1(one)foreachparty.thetwolanguageshavethesamelegaleffects,andchineseversionwillprevailifanyconflictsexistingbetweentwolanguagecontents.thisagreementshallbeeeffectiveonthedateofexecution.
