TheJointVentureModelAgreementwaspreparedessentiallytobeusedfortheassociationbetweentwoormoreConsultants,when:

--theassociationifformarkingand/orperformingtheServicesrequiredforaspecificproject,ratherthatforamorepermanenttypeofarrangement;
and

Itisrecommended,butnotessentialtothewordingoftheJointVenture（Consortium）ModelAgreement,thatFIDIC’snewClient/ConsultantModelServicesAgreement（thewhitebook）willbethebasisoftheAgreementforProfessionalServiceswiththeClient.

Notwithstandingtheabove,itisexpectedthattheJointVenture（Consortium）ModelAgreementmayoperatesuccessfully,eitherasisormodifiedslightly,whenoneormoreoftheaboveconditionsdonotapply.

OnepurposeofaModelAgreementsuchasthisistostimulatetheawarenessofthemembersastowhatshouldbeintheAgreementtomitigatetherisksandavoiddisputes.ThesubjectofinsuringtheProfessionalLiabilityofaJointVenture（Consortium）oroftheMemberstoitisobviouslyparticularlyproblematical.Accordingly,inmanycases,themoreeasilydefinedliabilitiesanddirectcontrolaffordedbeaSub-consultancyAgreementwillbelessriskyand,therefore,preferable.

Certainissuesdeservedetailedattentionattheproposalstage,toavoidtheveryrealpossibilityofwinningtheprojectonlytofindthatoneMembercannotmeetitsshareofcontractualobligations;
inparticular,thematterofinsurancesandguaranteeswarrantsearlyattention.

TwoprovisionsoftheModelAgreementareintendedtooperatewhethertheJointVenture（Consortium）isbetweentwoormorefirmsbut,tofacilitatedrafting,theModelAgreementiswordedasiftherewillbeonlytwo.Thewordingmustbeadjustedifmorethantwofirmswillparticipate.

OneobjectiveofthisModelAgreementisthepromotionoftheTeamApproach,accordingtoFIDIC’sgoalofoptimizingtransferoftechnologybyexposinglocalconsultantstoallfacetsoftheProject,includingprojectmanagementandcoordination.ForthisreasonthisModelAgreementconcentratesonfulfillmentofobligationsratherthanassignmentofdifferentpartsoftheServicestotheMenbers.

1.1.7TheJointVentureAgreement,hereafterreferredtoas“thisAgreement”,comprisesthedocumentandentitledConditionsandTermstogetherwithSchedule1to4attachedtheretoandsuchotherdocumentsasmaybespecifiedinSchedule1toformpartofthisAgreement;

1.2.2TheheadinginthisAgreementshallnotbetakenintoconsiderationinitsinterpretation.

1.2.3Unlessotherwisestated,allreferencestoclausesarereferencestoclausesnumberedintheConditionsandTermsofthisAgreementandnottothoseinanyotherdocumentattachedorincorporatedbythem.
除非另作说明，所有相关条款都是在这个协议条件编号的相关条款，而不是附着或合并在任何其他文件中的。
TheMembersherebyestablishajointventurebeinganunincorporatedassociationunderthenameof（nameofJV）orsuchothernameastheMembersshallunanimouslyagreefromtimetotime（hereinaftercalledthe“JointVenture”）forthepurposesof:
--preparingandsubmittingtheProposaltotheClient;
--providinganyfurtherinformationtheClientmayrequireornegotiatingwiththeClientonanymattersrequiringnegotiationinconnectionwiththeProposal;
--enteringintotheServicesAgreementwiththeClient,iftheProposalisaccepted;
--performingalltheServicestobeundertakenfortheProjectbytheJVundertheServicesAgreement.
