AGENCYAGREEMENT

Issue01

Between

ACompany(ShortasA)add:

***–hereinafterreferredtoasthe"Principal"–

and

BCompany,(ShortasB)add:

***hereinafterreferredtoasthe"Agent/Distributor"

Nowtherefore,inconsiderationofthepremisesandthemutualagreementsandcovenantshereincontained,thepartiesheretoherebycovenantandagreeasfollows:

1.Agent/DistributorsPosition

AsofFebruary1st2017theAgent/Distributor,asindependentarearepresentative,shallassumethesoleagencyforthePrincipalinthefollowingterritory:

(Sichuan,Chongqing,Shanghai,Jiangsu,Zhejiang,Yunnan–allproductsandservicesprovidedbyA)(hereinafterreferredtoastheterritory)

ThePrincipalmaynotenterintodealingswiththeclientsinthisTerritoryitself.ForthedurationoftheAgreementthePrincipalundertakestorefrainfromanybusinessdealingswithanyclientsorpotentialclientsintheTerritorywithoutthepriorconsentoftheAgent/Distributor.

FromtimetotimetheAgent/Distributorsbusinessdealingsmaytakethembeyondtheagreedterritories;thiswillbeagreedonacasebycasebasispriortothistakingplace.

ClientsorpotentialclientswhichdirectlycontactthePrincipalshallberedirectedtotheAgent/Distributor.WrittenrequestsaswellasallothercorrespondenceshallbeforwardedtotheAgent/Distributorimmediately.

TheAgent/Distributorisentitledtoengagesupportstafforsub-agentstoassistitinitsactivitieswithoutthiscausingthePrincipaltobecontractuallyobliged.TheAgent/DistributorshallensurethatanysuchassistantpersonnelobservetheobligationssetoutinthisAgreement.TheAgent/Distributorisliableforthedefaultofhissupportstafforsub-agentstothesameextentasitisliableforactualfault.

TheAgent/Distributorsobjective/targetistodevelopsubstantialnewbusinessfortheagreedproducts.

FromtimetotimetheAgent/DistributormayneedtoobtaintheassistanceofSubAgents/Distributors;thisisacceptablesubjecttoagreementwiththeprinciple.

OnsomeoccasionsChinesecustomersmayplaceordersdirectwiththeAgent/Distributorhavingusedtheprinciplesprices.WherethisoccurtheAgent/Distributorwillbetreatedasacustomer.

2.Agent/DistributorsAuthority

TheAgent/DistributorshallnegotiatesalescontractsforthePrincipal.TheAgent/DistributorisnotauthorisedtorepresentthePrincipalcontractuallyortocollectclientpaymentstherefore.

TheAgent/DistributormayonlycarryoutindependentbusinesstransactionswiththepriorconsentofthePrincipal.

3.Subject

TheAgent/DistributorshallcarryoutitsactivitieswithrespecttoallproductssoldbythePrincipal,includinganyfutureproducts,aswellastoallotherservicesofferedbythePrincipal.

4.DutiesoftheAgent/Distributor

TheAgentshallprotecttheinterestsofthePrincipal,keepitinformedasnecessaryandcarryoutitsactivitieswiththeprudenceofaresponsiblebusinessperson.TheAgent/Distributorshallobservethemarket,makeenquiriesastosalespossibilitiesandpromotethePrincipal'sproducts.TheyshallobserveanydirectionsandguidelineswhichmaybeapplicableissuedbythePrincipal.InissuinginstructionstotheAgent/DistributorthePrincipalwillrespecttheAgent/Distributorsindependentstatus.

Inparticular,itistheAgent/Distributorsduty,a)todevelopnewbusinesscontactsandconsulttheclientsregularly.InthisrespecttheAgent/DistributorshallobservethePrincipal'sstandardswithregardtotheintensityofcustomercareandthefrequencyofvisits.b)toobservethecommercialandlegalrelationshipoftheclients,immediatelyinformthePrincipalofanychangesinthelegalrelationshipormanagementoftheclientsaswellasanydoubtswithregardtocredit-worthiness,andtoassistthePrincipalinanyinvestigationregardingabilitytopay.WithrespecttoeachnewclienttheAgent/Distributorshallitselfcarryoutacreditcheck.c)tosaAuardthePrincipal'sclientdatabasehandedoveroncommencementofthisAgreementandtokeepituptodate.d)nottoexploitordisclosetothirdpartiesanytradesecretsconfidedtoitorknowntoitthroughitsactivities.ThisshallalsobeapplicableafterterminationofthisAgreement.e)toobservethePrincipal'sgeneraltermsofbusinessand/ordeliveryaswellaspricelistsinsofarasthePrincipalhasnot,inindividualcases,consentedtospecialconditionsinwriting.

TheAgent/DistributorshallregularlyreporttothePrincipal,assetoutbelow,withregardtoclientcontacts,effortswithrespecttotheagency,marketconditionsandotherinformationofimportancetothePrincipal.TheAgent/distributorshallusetheformsprovidedbythePrincipalforthispurposewhererequiredtodoso.ThePrincipalisentitledtostipulatethetype,contentandfrequencyofsuchreportsandfurthermoremayrequestsuchinformationfromtheAgentatanytime.

-Salesforecastinformation

TheAgent/DistributorshallinformthePrincipalofeverybusinessdealingwithoutdelaybysubmittingtheorderformsignedbytheclientandshallcontinuetokeepthePrincipalup-to-datewithdevelopmentsbyforwardingcopiesofcorrespondence.

AttherequestofthePrincipaltheAgent/DistributorisobligedtoattendspecialisttradefairsatwhichthePrincipalisrepresentedaswellastoattendworkingconferences.

OnterminationofthisAgreementtheAgent/DistributorshallimmediatelyreturnalldocumentsandmaterialsinitspossessionwhichbelongtothePrincipal,inparticularclientfiles,correspondencewiththeclients,EDPclientdataandobjectsthattheAgent/DistributorreceivedfromthirdpartiesforthePrincipalinthecourseofitsactivities.

5.DutiesofthePrincipal

ThePrincipalshallprovidetheAgentwiththefollowingmaterialsnecessarytocarryoutitsactivities:

-documentsregardingthePrincipal'sdeliveryandserviceprogrammes

-productdescriptions,manualsetc,

-advertisinganddemonstrationmaterial,

-pricelists"ations

-orderformswiththetermsandconditionsofbusiness.

AllmaterialshallremainthepropertyofthePrincipalandthePrincipalmayrequirethereturnofsuchmaterialinsofarasithasnotbeenusedappropriately.Oncontinuationofthecontractualrelationshipthismayberequestedonlyinreturnformoreup-to-datematerial.

ThePrincipalshallsupporttheAgent/Distributortoitsbestabilitiesincarryingoutitsactivitiesandshallalwayssupplyitwiththerequiredinformationanddata.

Requiredinformationincludesdetailsregardingintendedandenforcedchangestoprice,deliveryorserviceprogrammesaswellasplannedco-operationandmergerswithothercompanies.

ThePrincipalisobligedtoprocesstheclientrequestforquotationandordersforwardedtoitbytheAgent/Distributorquicklyandtoconfirmtheorderwithoutdelay.IfthePrincipalisconcernedaboutacceptinganorderfromaclientitshallinformtheAgent/DistributorofthisimmediatelyandprovidetheAgent/Distributorwithanopportunitytocomment.ThePrincipalshallinformtheAgent/DistributorwithoutdelayoftheacceptanceorrefusalofanybusinessdealingarrangedbytheAgent/Distributor

ThePrincipalshallinformtheAgent/DistributorinanappropriatemannerofanynegotiationsorplannedorconcludeddealingswithclientsorpotentialclientswithintheAgent/DistributorsTerritory,whicharosewithouttheAgent/Distributorsinvolvement,andthePrincipalmustturntheclientorpotentialclientovertotheAgent/Distributor.

IfthePrincipalintendsinthefuturetoconductbusinessdealingstoanextentwhichisconsiderablylessthancanbeexpected,orifitassumesthatdevelopments(e.g.inthemarketorthefinancialsituationofthePrincipaletc)shallforcethistohappen,itshallinformtheAgent/Distributorhereofimmediately.

TheAgent/DistributorshallbeinformedthreemonthsaheadofanyintendedsaleofthePrincipal'scompany.

6.CompetitionBan

DuringthetermofthisAgreementtheAgent/Distributormaynotenterintodirectorindirectcompetitiononitsownorforanother'saccounttothedisadvantageofthePrincipal,normayitpreparesuchcompetitiveactivities,withoutthePrincipal'swrittenconsent.TheAgent/Distributormaynot,itselforthroughthirdpartycompetingfirmsthatmanufactureormarketthesameorsimilarproducts,represent,itselforthroughathirdpartydirectlyorindirectlyparticipatein,orotherwisebenefitsuchfirms.ThisisalsoapplicabletothemanagingdirectorandshareholdersoftheAgent/DistributoriftheAgent/Distributorisacompany.WhereapplicabletheAgent/Distributormustensurethatthiscompetitionbanisobservedbythesepeoplebyconcludingcorrespondingagreements.

7.Remuneration

TheAgent/Distributorshallreceivecommission,%tobeagreedonaorderbyorderbasisforbusinessdealingsdevelopedbytheAgent/DistributorduringthetermofthisAgreementwithclientsintheAgent'/DistributorsTerritory,payableuponpaidinvoicesreceivedbytheprinciplefromcustomersandclients.

Commissionispayableonnewordersonlylistedintheappendices,commissionisnotpayableonexistingcontracts.

Thecommissionshallbecalculatedfrompaidinvoices,withoutvalueaddedtax,minuscertainancillarycosts(transportation,customs,packagingetc.),quantityvolumediscountsanddiscountsforlong-standingclients.

CommissionwillbeworkedoutbytheprincipleonamonthlybasisandpaidtotheAgent/Distributor14working
