PublisherLicenseAgreement出版许可协议-

ThefollowingguidelinesapplywheneverLicenseeplacesacopyofanyLicensedTrademarkontheSoftwareTitle,orrelatedcollateralmaterials.

LicenseemayusetheLicensedTrademarkssolelyontheretailbox,documentation,andArtMarketingMaterialsfortheSoftwareTitle,andinnoothermanner.

Licensee’sname,logo,ortrademarkmustappearonanymaterialswheretheLicensedTrademarksareused,andmustbelargerandmoreprominentthantheLicensedTrademarks.

TheLicensedTrademarksmaynotbeusedinanymannerthatexpressesormightimplyAAA’saffiliation,sponsorship,endorsement,certification,orapproval,otherthanascontemplatedbythisAgreement.

TheLicensedTrademarksmaynotbeincludedinanynon-AAAtradename,businessname,domainname,productorservicename,logo,tradedress,design,slogan,orothertrademark.

LicenseemayusetheLicensedTrademarksonlyasprovidedbyAAAelectronicallyorinhardcopyform.Exceptforsizesubjecttotherestrictionsherein,theLicensedTrademarksmaynotbealteredinanymanner,includingproportions,colors,elements,etc.,oranimated,morphed,orotherwisedistortedinperspectiveordimensionalappearance.

TheLicensedTrademarksmaynotbecombinedwithanyothersymbols,includingwords,logos,icons,graphics,photos,slogans,numbers,orotherdesignelements.

TheLicensedTrademarks（includingbutnotlimitedtoAAA’slogos,logotypes,tradedress,andotherelementsofproductpackagingandwebsites）maynotbeimitated.

TheLicensedTrademarksmaynotbeusedasadesignfeatureinanymaterials.

TheLicensedTrademarksmuststandalone.AminimumamountofemptyspacemustsurroundtheLicensedTrademarksseparatingitfromanyotherobject,suchastype,photography,borders,edges,andsoon.TherequiredareasofemptyspacearoundtheLicensedTrademarksmustbe1/2x,wherexequalstheheightoftheLicensedTrademarks.

EachuseoftheLicensedTrademarksmustincludethenotice:

XboxisatrademarkofAAACorporationintheUnitedStatesand/orothercountriesandisusedunderlicensefromAAA.

ADDITIONALGUIDELINESFORPROPERUSEOFTHEXBOXWORDMARK:

Usethetrademarksymbol（（TM））attheupperrightcornerorbaselineimmediatelyfollowingthenameXbox.Thissymbolshouldbeusedatthefirstormostprominentmention.PleasebesuretospellXboxasoneword,withnohyphenandwithnospacebetweenXandbox.

IncludethefollowingnoticeonmaterialsreferencingXbox:

XboxisatrademarkofAAACorporation.

Trademarksidentifyacompany’sgoodsorservices.Xboxisnotagenericthing,butratherabrandofgamesystemfromAAA.Atrademarkisaproperadjectivethatmodifiesthegeneticnameordescriptorofaproductorservice.ThedescriptorforXboxisgamesystem,i.e.,Xbox（TM）gamesystem.UsethedescriptorimmediatelyaftermentionofXbox.YoushouldnotcombinetheXboxtrademarkwithanimpropergenericnameordescriptor.Forexample,gameprogramsdesignedtorunontheXboxgamesystemarenotXboxgames,butrathergamesfortheXboxsystemorXboxcertifiedgames.

TheXboxtrademarkmayneverbyabbreviated.DonotuseXbyitselftorepresentXbox.

6.1NONCOMPETITION.

（a）RestrictionsonCompetitiveActivities.SubjecttotheprovisionsofSection6.10,eachSelleragreesthataftertheClosing,BuyerandtheHomebuildingEntitiesshallbeentitledtothegoodwillandgoingconcernvalueoftheHomebuildingBusinessandtoprotectandpreservethesametothemaximumextentpermittedbylaw.FortheseandotherreasonsandasaninducementtoBuyertoenterintothisAgreement,eachSeller,otherthan_________,agreesthatforaperiodoffouryearsaftertheClosingDateoroneyearafterterminationofthatSeller’semploymentorconsultingagreementwithBuyeroranyoftheHomebuildingEntities,whicheverislater,andinthecaseof_________,foraperiodoftwoyearsaftertheClosingDate,suchSellerwillnot,intheStatesof_________（state）or_________（state）,directlyorindirectly,foritsownbenefitorasagentforanothercarryonorparticipateintheownership,managementorcontrolof,orbeemployedby,orconsultfor,orserveasadirectorof,orotherwiserenderservicesto,thebusinessofconstructingorsellingsinglefamilyhomesofanybusinessentity.

（b）Exceptions.NothingcontainedhereinshalllimittherightofaSellerasaninvestortoholdandmakeinvestmentsinsecuritiesofanycorporationorlimitedpartnershipthatisregisteredonanationalsecuritiesexchangeoradmittedtotradingprivilegesthereonoractivelytradedinagenerallyrecognizedover-the-countermarket,providedsuchSeller’sequityinterestthereindoesnotexceed5%oftheoutstandingsharesorinterestsinsuchcorporationorpartnership.

（c）Nonsolicitation.DuringtheperiodofoneyearaftertheClosingDate,Sellersandtheiraffiliates（excludingtheHomebuildingEntitiesaftertheClosingDate）shallrefrainfromsolicitingforemployment,directlyorindirectly,anythenemployeesoftheHomebuildingEntities.ThisprohibitionshallnotextendtoemployinganysuchpersonwhocontactsSellersortheiraffiliatesonhisorherowninitiativewithoutanydirectorindirectsolicitationorencouragementfromanySelleroritsaffiliatesoremployees（itbeingunderstoodthatplacingageneraladvertisementdoesnotconstitutesolicitation）.

（d）SpecialRemediesandEnforcement.EachSellerrecognizesandagreesthatabreachbysuchSellerofanyofthecovenantssetforthinthisSection6.1couldcauseirreparableharmtoBuyer,thatBuyer’sremediesatlawintheeventofsuchbreachwouldbeinadequate,andthat,accordingly,intheeventofsuchbreacharestrainingorderorinjunctionorbothmaybeissuedagainstsuchSeller,inadditiontoanyotherrightsandremedieswhichareavailabletoBuyer.IfthisSection6.1ismorerestrictivethanpermittedbytheLawsofthejurisdictioninwhichBuyerseeksenforcementhereof,thisSection6.1shallbelimitedtotheextentrequiredtopermitenforcementundersuchLaws.Withoutlimitingthegeneralityoftheforegoing,thepartiesintendthatthecovenantscontainedintheprecedingportionsofthisSection6.1shallbeconstruedasaseriesofseparatecovenants,oneforeachstate.Exceptforgeographiccoverage,eachsuchseparatecovenantshallbedeemedidenticalinterms.If,inanyjudicialproceeding,acourtshallrefusetoenforceanyoftheseparatecovenantsdeemedincludedinthisSection6.1,thensuchunenforceablecovenantshallbedeemedeliminatedfromtheseprovisionsforthepurposeofthoseproceedingstotheextentnecessarytopermittheremainingseparatecovenantstobeenforced.

6.2NON-DISCLOSUREOFPROPRIETARYDATA.

EachSelleragreesthatsuchSellerwillnot,atanytime,makeuseof,divulgeorotherwisedisclose,directlyorindirectly,anytradesecretorotherproprietarydataconcerningthebusinessorpoliciesofanyHomebuildingEntityastheyrelatetotheHomebuildingBusiness,otherthanformdocumentsusedbyanyHomebuildingEntity,orofBuyerobtainedinconnectionwiththenegotiation,execution,orperformanceofthisAgreement.Inaddition,eachSelleragreesnottomakeuseof,divulgeorotherwisedisclose,directlyorindirectly,topersonsotherthanBuyer,anyconfidentialinformationconcerningthebusinessorpoliciesofanyHomebuildingEntityastheyrelatetotheHomebuildingBusinesswhichmayhavebeenlearnedinanysuchcapacityorofBuyerwhichmayhavebeenlearnedinconnectionwiththenegotiation,execution,orperformanceofthisAgreement.TheSeller’sobligationsunderthisSectionwithrespecttoanytradesecret,otherproprietarydata,orconfidentialinformationofBuyershallsurvivetheterminationofthisAgreementifthisAgreementisterminatedpriortotheClosing.

6.3TAXRETURNS.

（a）TheSellersshallcausetobepreparedandtimelyfiled（orprovidedtoBuyerforexecutionandfiling,ifapplicable）whendue（takingintoaccountallextensionsproperlyobtained）allincomeandfranchiseTaxReturnsoftheHomebuildingEntitiesfortaxableperiodsendingonorbeforetheClosingDate,andallotherTaxReturnsrequiredtobefiledbyoronbehalfofsuchentitiesonorbeforetheClosingDate.AllTaxReturnsdescribedinthisSection6.3（a）shallbepreparedandfiledinamannerconsistentwithpastpracticeand,onsuchTaxReturns,nopositionshallbetaken,electionmadeormethodadoptedwithoutBuyer’swrittenconsent（whichshallnotbeunreasonablywithheld）thatisinconsistentwithpositionstaken,electionsmadeormethodsusedinpreparingandfilingsimilarTaxReturnsinpriorperiods（including,butnotlimitedto,positions,electionsormethodswhichwouldhavetheeffectofdeferringincometoperiodsaftertheClosingDate）.

（b）BuyershallcausetobepreparedandtimelyfiledallTaxReturnsoftheHomebuildingEntitiesthatarenotdescribedinSection6.3（a）above.IfanysuchTaxReturncoversaperiodbeginningbeforetheClosingDate,Sellersshallhavetherighttoreviewandapprove（whichapprovalshallnotbeunreasonablywithheld）suchTaxReturnbeforeitisfiledifitcouldaffecttheSellers’orShareholders’liabilityforTaxestoanytaxingauthorityortheirindemnificationobligationstoBuyerunderthisAgreement.AnyTaxReturndescribedintheprecedingsentenceshallbeprovidedtotheSellersnotlessthan14dayspriortotheproposedfilingdatetogetherwithanyunderlyinginformationorrecordsrequestedbytheSellerstoassisttheirreview.

6.4TAXCOOPERATION.
