ThisSampleManufactureAgreement（hereinafterreferredtoas“thisAgreement”）isenteredintoasof____（hereinafterreferredtoas“EffectiveDate”）,byandbetween____CompanyLtd（hereinafterreferredtoas“Consignor”）and____（hereinafterreferredtoas“Supplier”）.ConsignorandSuppliershallbehereinafterrespectivelyreferredtoasthe“Party”orcollectivelyreferredtoasthe“Parties”.
本样品制作协议（以下简称“本协议”）是由____公司（以下称“委托方”）与____（以下称“供应商”）于____日（以下称“生效日期”）订立的。
委托方和供应商在下文中分别称为“该当事方”或统称为“当事方”。
1.TERM合同有效期
1.1ThisAgreementshallbeeffectiveasoftheEffectiveDateandshallbeeffective____foraperiodofone
（1）year.Aftertheexpirationoftheinitialterm,thisAgreementshallbeautomaticallyrenewedforsuccessiveperiodsofone
（1）yearunlessonePartynotifiestheotherPartyinwritingnotlessthanninety（90）dayspriortotheendoftheinitialoranyrenewalterm,thatthisAgreementshallterminateattheendofthethencurrentterm,orunlessearlierterminatedinaccordancewiththetermsandconditionsofthisAgreement.
本协议自生效日期起生效，有效期为一
（1）年。
初始期限届满后，本协议应自动续期一
（1）年，除非当事方在初始有效期终止前或任何续约前不少于九十（90）天以书面形式通知另一当事方关于本协议将在当前期限末终止，或者根据本协议的条款和条件提前终止。
2.SCOPEOFAGREEMENT.协议范围
2.1ThisAgreementshallbeapplicabletoanyandallmanufacturebusinessofsamplesbetweenConsignorandSupplier.ThePartiesacknowledgethatthisAgreementwillnotconstituteacommitmentforConsignortoorderanyparticularquantityofsamplefromSupplier.
本协议适用于委托方与供应商之间的任何样品制作业务。
双方承认，本协议并不构成委托方向供应商订购任何特定数量样品的承诺。
3.PURCHASEORDER采购订单
3.1SamplestobepurchasedbyConsignorfromSuppliershallbesubjecttoseparatepurchaseorders（hereinafterreferredtoas“PurchaseOrder”）,whichwillspecifyparticulars,includingbutnotlimitedtoprice,quantity,deliverydateanddescriptionofthesamples.ConsignorhastherighttoplacePurchaseOrderswithSupplier.SuppliershallnotifyConsignorinwritingwhetherornotSupplieracceptsPurchaseOrderswithintwo
（2）workingdaysfromthedateofreceiptofthePurchaseOrder.Provided,howeverthat,aslongasthePurchaseOrdercomplieswiththetermsandconditionsofthisAgreement,SuppliershallmakeitsreasonableandbesteffortsingoodfaithtoacceptthePurchaseOrder.IfConsignordoesnotreceiveSupplier’sreplyregardingtheacceptanceorrefusalofaPurchaseOrderwithinthesaidperiod,thePurchaseOrdershallbedeemedtohavebeenacceptedbySupplier.ThePurchaseOrdershallbecomeeffectiveuponacceptance（actualordeemed）bySupplier.ConsignorshallreservetherighttovaryaPurchaseOrderatanytimebeforetheSupplier’sconfirmationofthePurchaseOrderwithoutincurringanyliabilitytoSupplier.IncasethereareanyconflictsbetweenthisAgreementandthePurchaseOrders,theprovisionsofthisAgreementshallprevail.
委托方从供应商处购买的样品应根据单独的采购订单（以下称为“采购订单”），其中将注明详细信息，包括但不限于价格、数量、交货日期和样品说明。
委托方有权向供应商下订单。
供应商应在收到采购订单之日起的两
（2）个工作日内以书面形式通知委托方供应商是否接受采购订单。
但是，只要采购订单符合本协议的条款和条件，供应商应真诚地尽其合理和最大的努力接受采购订单。
如果委托方在上述期限内未收到供应商关于接受或拒收采购订单的回复，则该采购订单应视为已被供应商接受。
采购订单应在供应商接受（实际或视为）后生效。
委托方应保留在供应商确认采购订单之前随时更改采购订单的权利，而不会对供应商承担任何责任。
如果本协议与采购订单之间有任何冲突，则以本协议的规定为准。
3.2ConsignorhastherighttomodifythecontentofPurchaseOrdersatanytime,includingbutnotlimitedtoquantity,deliverydateanddesignrequirements.ConsignorshallnotifySupplierinwritingwithinareasonableperiod.SuppliershallpromptlymanufacturesamplesinaccordancewiththemodifiedPurchaseOrdersplacedbyConsignor.IntheeventthatConsignorcancelsanyPurchaseOrder,theSuppliershallceasemanufacturingsuchsamplesimmediatelyuponreceiptofConsignor’scancellationnotice.
委托方有权随时修改采购订单的内容，包括但不限于数量、交货日期和设计要求。
委托方应在合理期限内以书面形式通知供应商。
供应商应根据委托方下达的修改后的采购订单迅速制作样品。
如果委托方取消任何采购订单，则供应商应在收到委托方的取消通知后立即停止生产此类样品。
3.3OntheconditionthatConsignormodifiesorcancelsthePurchaseOrders,Suppliersshallmakebesteffortstoreducelosseswithproperarrangementoftools,materials,packages,staff,transportation,etc.AnyreasonableandnecessaryadditionalcostsactuallyincurredbySupplierresultingfromConsignor’smodificationorcancelationofaPurchaseOrdershallbebornebyConsignorunderthepremisethatSupplierhassubmittedevidencetoprovethatsuchadditionalcostsisattributabletoConsignorandConsignorhasconfirmedinwriting.Suppliershallbearthelossesincurredandexpandedduetotheirowncause.
在委托方修改或取消采购订单的条件下，供应商应尽最大努力减少损失，适当安排工具、材料、包装、人员、运输等。
委托方实际造成的任何合理和必要的额外费用在供应商提交证据证明此类额外费用应归于委托方且委托方已书面确认的前提下，修改或取消采购订单应由委托方承担。
供应商应承担因自身原因引起的损失和扩大的损失。
4.PRICEANDPAYMENT价格和付款
4.1ThepriceforthesamplesshallbemutuallyconfirmedbythePartiesandspecifiedinthePurchaseOrder.Allsamplesunitpricesshallinclude[thetotalsamplespackage,individualandmastercartons,cartoninserts,andsamplesliterature].FuturepriceagreementsforongoingsamplesandotheradjustmentstothesamplesshallbeasmutuallyagreedbythePartiesinwriting.
样品价格应由双方共同确认并在采购订单中注明。
所有样品的单价应包括样品总包装、单个和主纸箱、纸箱附件和样品资料。
制作中的样品的未定价格协议以及对样品的其他调整应由双方共同书面同意。
4.2SuppliershallbeentitledtoissuequalifiedinvoicetoConsignorfortheadvancepayment,thatis,thirtypercent（30%）ofthetotalpriceofthePurchaseOrder（hereinafterreferredtoas“AdvancePayment”）,atanytimeafteracceptanceofthePurchaseOrder.Consignorshallmakepaymentwithinthirty（30）workingdaysfromitsreceiptofthequalifiedinvoice.
供应商有权在接受采购订单后的任何时间向委托方出具合格的发票，以支付预付款，即采购订单总价的百分之三十（30％）（以下简称“预付款”）。
委托方应在收到合格发票后的三十（30）个工作日内付款。
4.3SuppliershallbeentitledtoissuequalifiedinvoicetoConsignorforthesecondpayment,thatis,seventypercent（70%）ofthetotalpriceofthePurchaseOrder（hereinafterreferredtoas“SecondPayment”）atanytimeafterConsignor’sacceptanceoftheSimples.Consignorshallmakepaymentwithinthirty（30）workingdaysfromitsreceiptofthequalifiedinvoice.
供应商有权对委托方收取样品后的任何时候对第二笔付款出具合格发票，即采购订单总价的百分之七十（70％）（以下简称“第二笔付款”）。
委托方应在收到合格发票后的三十（30）个工作日内付款。
4.4EachinvoiceshallquotethedateandthenumberofthePurchaseOrder:

5.MATERIALS材料
5.1AllmaterialshallbefurnishedbySupplier.所有材料应由供应商提供。
5.2ThematerialsshallcomplywiththequalitystandardsofConsignorandallotherapplicablequalitystandards.
材料应符合委托方的质量标准和所有其他适用的质量标准。
5.3Suppliershallcarryoutstrictexaminationonthematerialsatthetimeitreceivesthematerials.SuppliershallkeeporiginalrecordsoftheaforesaidinspectionandprovidetoConsignoruponConsignor’srequest.
供应商在收到材料时应严格检查材料。
供应商应保留上述检查的原始记录，并应委托方的要求提供给委托方。
6.QUALITY质量
6.1ConsignorwillsendDesignDocumenttoSupplierviaemailorbyotherwayasConsignorchooses,andSuppliershallacknowledgethereceiptoftheDesignDocumentinwritingwithcompanysealaffixedtheretotoConsignorwithintwo
（2）workingdaysafterthedateofreceiptoftheDesignDocument.SuppliershallmanufacturethesampleincompliancewiththeaforesaidDesignDocument.
委托方将通过电子邮件或委托方选择的其他方式将设计文件发送给供应商，供应商应在收到设计文件后加盖公司印章的书面形式确认收妥设计文件，并在收到之日起两
（2）个工作日内寄给委托方。
供应商应按照上述设计文件制作样品。
6.2WhereSupplierfailstoprovidethesampleontime,ConsignorshallhavetherighttochargeSupplierapenaltyamountingto[____]andrequireSuppliertocontinuetoprovidethesamplewithinthegraceperiodgrantedbyConsignor.Wherethesampleisnotprovidedwithintheaforesaidgraceperiod,ConsignorshallhavetherighttoterminatethecooperativerelationshipunderthisAgreementbetweentheParties.
如果供应商未能按时提供样品，委托方有权向供应商收取相当于[____]的罚款，并要求供应商在委托方授予的宽限期内继续提供样品。
如果在上述宽限期内未提供样品，则委托方有权终止双方之间根据本协议建立的合作关系。
6.3WherethesampleisrejectedbyConsignorinwritingtoSupplier,ConsignorshallhavetherighttorequireSuppliertomakeamendmentstothesamplewithinthetimelimitspecifiedbyConsignor,andtheamendmentsshallmeettherequirementsofConsignor.WhereSupplierfailstomaketheaforementionedamendmentsontime,ConsignorshallhavetherighttochargeSupplierapenaltyamountingto[____]and/orterminatethecooperativerelationshipunderthisAgreementbetweentheParties.
如果样品被委托方以书面形式向供应商表明拒收，委托方有权要求供应商在委托方指定的期限内对样品进行修改，且修改应符合委托方的要求。
如果供应商未能及时作出上述修改，委托方有权向供应商收取相当于[____]的罚款和/或终止双方之间根据本协议建立的合作关系。
6.4IntheeventofenquiriesontheDesignDocumentsandtherequirementsofConsignoronthesamplesduringthemanufacturingprocessthereof,SuppliershallconsultwithConsignorintime.
如果在制作过程中查询设计文件和委托方对样品的要求，供应商应及时与委托方协商。
7.PACKINGANDTRANSPORTATION包装与运输
7.1SupplierwarrantsthatatthetimeConsignorreceivesthesamplespackingandtransportationofthesampleswillcomplywithrequirementsofConsignorsintermsofmannerandstandard.
供应商保证，在委托方收到样品时，样品的包装和运输将在方式和标准方面符合委托方的要求。
8.DELIVERYANDINSPECTION交付和检查
8.1“Delivery”meansthesupplyanddeliveryofthesamplesbySuppliertoConsignorinaccordancewiththePurchaseOrder,anddeliverthesampletogetherwithspecification,photoandserialnumberidentificationtoConsignorviamailorbyotherwayasdesignatedbyConsignorwithinthetimelimitassetforthinthePurchaseOrder.
“交货”是指供应商在采购订单中规定的期限内根据采购订单将样品提供给委托方，并将样品连同规格、照片和序列号标识通过邮件或委托方指定的其他方式交付给委托方。
