　　Article1　InordertopromoteinvestmentinChinabyforeigninvestorsandattractforeignadvancedtechnologyandmanagementexpertise，foreigninvestorsarepermittedtoestablishcompanieswithaninvestmentnatureinChinainaccordancewiththerelevantlawsandregulationsofChinaonforeigninvestmentandtheseProvisions.

　　Article2　ForthepurposesoftheseProvisions，theterm“companywithaninvestmentnature”shallrefertoacompanyestablishedinChinabyaforeigninvestoreitherintheformofawhollyforeign-ownedcompanyorajointventureinconjunctionwithaChineseinvestorengagedindirectinvestments.Thecompanyshalltaketheformofalimitedliabilitycompany.

　　Article3　Theapplicationfortheestablishmentofacompanywithaninvestmentnatureshallsatisfythefollowingconditions：

　　1.（a）theforeigninvestorshallhavegoodcreditstanding，financialcapabilitynecessaryfortheestablishmentofacompanywithaninvestmentnature，atotalassetvalueofnolessthanUS$400millionintheyearpriortotheapplication，andtheinvestorshallalsohaveestablishedforeign-investedenterprise（s）inChinawithacapitalcontributionofmorethanUS$10millionoftheregisteredcapitalactuallypaidin；or

　　（b）theforeigninvestorshallhavegoodcreditstanding，thefinancialcapabilityrequiredfortheestablishmentofacompanywithaninvestmentnature；havealreadyestablished10ormoreforeign-investedenterprises，withacapitalcontributionofmorethanUS$30millionoftheregisteredcapitalactuallypaidin；

　　2.whereacompanywithaninvestmentnatureisestablishedintheformofajointventure，theChineseinvestorshallhavegoodcreditstandingandthefinancialcapabilitynecessaryfortheestablishmentofacompanywithaninvestmentnatureandtheinvestor'stotalassetvalueshallbenolessthanRmb100millionintheyearpriortotheapplication；and

　　3.theregisteredcapitalofacompanywithaninvestmentnatureshallnotbelessthanUS$30million.

　　Aforeigninvestorapplyingtoestablishacompanywithaninvestmentnatureshallbeaforeigncompany，enterpriseoreconomicorganization.Iftherearetwoormoreforeigninvestors，atleastoneofthemshallbeaforeigninvestorthatholdsamajorityequityinterestandcomplieswithItem

（1）ofParagraphOneofthisArticle.

　　Article4　AforeigninvestorthatsatisfiestheconditionsspecifiedinItem

（1）ofParagraphOneofArticle3hereofmayinvestinandestablishacompanywithaninvestmentnatureinthenameofitswholly-ownedsubsidiary.

　　Article5　AforeigninvestorthatsatisfiestheconditionsspecifiedinItem

（1）ofParagraphOneofArticle3hereofapplyingtoestablishacompanywithaninvestmentnaturemustprovidetheexaminationandapprovalauthoritywithaletterofguaranteeonthepaymentofregisteredcapitalbythecompanywithaninvestmentnatureitestablishedatthetimeitinvestsinChinaandonthetechnologytransferbelongingtothesaidforeigninvestororitsaffiliatedcompany（companies）。

　　Whereaparentcompanyinvestsinandestablishesacompanywithaninvestmentnatureinthenameofitswholly-ownedsubsidiary，itmustprovidetheexaminationandapprovalauthoritywithaletterofguaranteeonthepaymentofregisteredcapitalofthecompanywithaninvestmentnatureitestablishedbyitssubsidiaryinaccordancewiththeconditionsapprovedbytheexaminationandapprovalauthority，andonthepaymentofregisteredcapitalbythecompanywithaninvestmentnatureatthetimeitinvestsinChinaandthetechnologytransferbelongingtotheparentcompanyanditssubsidiary.

　　Article6　Whenapplyingtoestablishacompanywithaninvestmentnature，aninvestorshallsubmitthefollowingdocumentstotheMinistryofCommerceforexaminationandapprovalaftersuchdocumentshavebeenexaminedandconsentedtobythedepartmentinchargeofcommerceoftheprovince，autonomousregion，municipalitydirectlyunderthecentralgovernmentormunicipalitywithanindependentdevelopmentplanwheresuchcompanywithaninvestmentnatureistobeestablished：

　　1.theapplicationreport，contractandarticlesofassociationsignedbyallinvestmentpartiesthatestablishacompanywithaninvestmentnatureintheformofajointventure；

　　theapplicationformforforeign-investedenterprises，feasibilitystudyreportandarticlesofassociationsignedbytheforeigninvestorthatestablishesacompanywithaninvestmentnatureintheformofawhollyforeign-ownedcompany；

　　2.thesupportingdocumentsonthecreditworthinessoftheinvestmentpartiesaswellas（photocopiesof）thesupportingdocumentsofregistrationandlegalrepresentatives；

　　3.（photocopiesof）theapprovalcertificate（s），businesslicence（s）andthecapitalcontributionverificationreport（s）issuedbyaChinesecertifiedaccountantoftheenterprise（s）investedbytheforeigninvestor；

　　4.balancesheets，auditedinaccordancewiththelaw，oftheinvestmentpartiesforthepastthreeyears；

　　5.aletterofguaranteetobesubmittedinaccordancewithArticle5hereof；and

　　6.otherdocumentsrequiredbytheMinistryofCommerce.

　　Theafore-mentioneddocumentsshallbeoriginalsexceptwhereindicatedascopies.

　　Whereadocumentisnotsignedbyalegalrepresentative，apowerofattorneyfromsuchlegalrepresentativeshallbeprovided.

　　Whereanagencyestablishedinaccordancewiththelawisappointedtohandleapplicationprocedures，apowerofattorneysignedbyalegalrepresentativeoftheinvestorshallbeprovided.

　　Article7　AforeigninvestorshallcontributecapitaltotheregisteredcapitalofacompanywithaninvestmentnatureinafreelyconvertiblecurrencyorwithRenminbiprofitsgainedinChinaorwithlawfulincomeinRenminbiderivedfromactivitiessuchasequitytransferandliquidation.TheChineseinvestormaycontributecapitalinRenminbi.WhereaforeigninvestorcontributescapitaltotheregisteredcapitalofacompanywithaninvestmentnaturewithitslawfulincomeinRenminbi，itshallsubmittherelevantsupportingdocumentsandtaxreceipts.Thecapitalcontributionshallbefullypaidinwithintwoyearsofthedateofissueofthebusinesslicence.

　　Article8　AtleastUS$30millionoftheregisteredcapitalofcompanieswithaninvestmentnatureshallbeusedascapitalcontributionstotheforeign-investedenterprisesinvestedinandnewlyestablishedbythem，orascontributionstothecapitalthathavenotbeenfullypaidinorincreasesincapitalofforeign-investedenterprisesalreadyinvestedinandestablishedbytheirparentcompaniesoraffiliatedcompanies（andforwhichproceduresfortheassignmentofequityhavebeencompletedaccordingtolaw），orbeusedasinvestmentintheestablishmentoforganizationssuchasresearchanddevelopmentcentres，orbeusedtopurchasetheequityofshareholdersofdomesticcompaniesinChina（excludingtheequityformedasaresultofthecapitalcontributionalreadypaidinfullbytheparentcompanyoraffiliatedcompaniesofthecompanywithaninvestmentnature）。

　　Article9　WheretheregisteredcapitalofacompanywithaninvestmentnatureisnotlessthanUS$30million，theamountofloansittakesoutmaynotexceedfourtimestheamountofregisteredcapitalalreadypaidin.WheretheregisteredcapitalofacompanywithaninvestmentnatureisnotlessthanUS$100million，theamountofloansittakesoutmaynotexceedsixtimestheamountofregisteredcapitalalreadypaidin.If，duetobusinessrequirements，acompanywithaninvestmentnatureintendstohaveitsamountofloansexceedtheamountprescribedabove，itshallobtaintheapprovaloftheMinistryofCommerce.

　　Article10　AfteracompanywithaninvestmentnaturehasbeenapprovedtobeestablishedbytheMinistryofCommerce，itmayengageinthefollowingbusinessesaccordingtotheactualneedsofbusinessactivitiesinwhichitengagesinChina：

　　1.investmentinsectorsinwhichforeigninvestmentispermittedbytheState；

　　2.appointedinwriting（subjecttoaunanimousresolutionoftheboardofdirectors）byitsinvesteeenterprisetoprovidethefollowingservicestosuchenterprise：

（1）assistingoractingasagentforitsinvesteeenterpriseinthepurchaseofmachinery，equipmentandofficeequipmentfortheownuseofsuchenterpriseandinthepurchaseofrawmaterials，sparepartsandcomponentsrequiredforproductionfrominsideandoutsideChina，andinthesaleofproductsinsideandoutsideChinaproducedbysuchenterprise，aswellasprovidingafter-saleservices；

（2）balancingforeignexchangeamongitsinvesteeenterpriseswiththeconsentandunderthesupervisionoftheadministrationofforeignexchange；

　　（3）providingservicessuchastechnicalsupport，employeetrainingandinternalpersonnelmanagementofenterpriseinthecourseofproduction，salesandmarketingofproductstoitsinvesteeenterprises；and

　　（4）assistingitsinvesteeenterprisesinraisingloansandprovidingguarantees.

　　3.settingupscientificresearchanddevelopmentcentreordepartmentinChinatoengageinresearchanddevelopmentofnewproductsandhighandnewtechnology，assignitsachievementsofresearchanddevelopmentandprovidecorrespondingtechnicalservices；

　　4.providingitsinvestorswithconsultancyservices，andprovidingitsaffiliatedcompany（companies）withsuchconsultancyservicesa
