RetailAgreement零售合同-

THISRETAILAGREEMENT（theAgreement）isenteredintoasof_________（M/D/Y）,byandbetweenAAA,a_________（STATE）corporation,andBBBInc,a_________（STATE）corporation,asanAncillaryAgreementpursuanttothatcertainMasterSeparationAgreement（MSA）betweenAAAandBBB,datedasof_________（M/D/Y）,asfollows:

1.Definitions.Unlessotherwisedefinedherein,termsusedhereinwhicharedefinedintheMSAshallhavethemeaningsascribedtothemintheMSA.

2.ScopeofAgreement.InordertoimplementtheBusinessSeparationPlan,effectiveasof_________（M/D/Y）,allretailelectricfunctionsperformedbyAAAshallbecometheresponsibilityofBBB,andpersonnelperformingthosefunctionsshallbecomeemployeesofamemberoftheBBBGroupasofthatdate.ThisAgreementsetsforththeunderstandingofthepartiesregardingthetransferofthosefunctionsandpersonnelandregardingcertaintransitionservicestobeperformedbetweenAAAandBBBtoimplementthetransferofthosefunctionsuntiltheChoiceDateasdefinedintheMSAbutwhichiscurrentlyexpectedtobe_________（M/D/Y）.

3.CCCServices.

3.1CCCPersonnel.Onorbefore_________（M/D/Y）,AAAshallterminatefromitsemploymentandCCCLLCshallemploythosepersonnelofAAA（includingmanagementandcontractorpersonnel）whoarethenengagedinprovidingthefollowingservicesfortheDDD（and,inthecaseofremittanceprocessingservices,AAA’sregulatedgasutilitydivisionsFFFandEEE）:

（a）CallCenterservices,

（b）CreditandCollections,

（c）Remittanceprocessing,and

（d）Revenueaccounting,

exceptingonlythosecertainindividualsidentifiedbyAAAtoBBBasrequiredtoberetainedbyAAAinordertopreparefortheimplementationsimilarfunctionsonbehalfofAAAfollowingChoiceDate.

3.2Equipment.Asof_________（M/D/Y）,AAAshallcontributetoCCCtheremittanceprocessingequipmentdescribedonSchedule2.2,whichwillbeusedbyCCCtoprovideservicestotheAAAGroup.

Inaddition,AAAdoesherebygranttoCCCtherightandlicensetouseitsremainingremittanceprocessingmachineandotherequipmentofAAAcurrentlyutilizedinprovidingCCCservicesbutwhichisnotsoldhereunderuntilsuchtimeasCCCceasestoprovideservicesunderthisAgreementtoAAAwithrespecttoretailelectriccustomers.CCCshallutilizethismachineasabackupforitsprocessing,andshallberesponsibleforoperationandmaintenancecostsassociatedwiththemachineuntilitsrightstousesuchmachineterminate.

SuchrightandlicenseisgrantedtoCCConano-costbasis,ASISANDWITHOUTWARRANTYORREPRESENTATIONANDWITHALLFAULTS.

3.3OfficeSpace.AAAwillleasetoCCCapproximately_________squarefeetofofficeandequipmentspacecurrentlyoccupiedinspaceownedorleasedbyAAAinordertoperformservicesunderthisAgreementforthedurationofservicesprovidedbyCCC.OfficeservicesandothersharedservicesupportfunctionswillbeprovidedbyAAAtoCCCpursuanttothetermsoftheTransitionServicesAgreementexecutedbetweenAAAandBBBcontemporaneouslywiththeMSA（theTransitionServicesAgreement）.

3.4OtherServicesbyAAA.REIwillcontinuetoprovideservicesforprintingretailelectricbillsandinsertingthemformailing.TheseserviceswillbeprovidedbyAAApersonnelpursuanttotheTransitionServicesAgreement.FollowingChoiceDate,AAAwillcontinuetoprovidetheseservicespursuanttothetermsoftheTransitionServicesAgreementtothememberoftheBBBGroupsucceedingtoitsretailelectriccustomers.

3.5ServicesProvidedbyCCCtoDDD.Duringtheperiodfrom_________（M/D/Y）untilChoiceDate,CCCshallprovidetheservicestraditionallyprovidedbythepersonneltransferredpursuanttoSection3.1forAAAanditsregulatedelectricandgasdistributionutilityoperations,includingprovidingcallcenter,creditandcollectionsandrevenueaccountingservicesforDDDandreceivingandprocessingpaymentsforDDD,EEEandFFF.SuchservicesshallbeprovidedwithpersonnelhiredbyCCCfromDDDandotherpersonnelhiredorotherwiseengagedbyCCCtoprovidesuchservices.CCCshallprovidenoservicestoothermembersoftheBBBGroup（exceptprocessingpaymentsundertheGeneralLandOfficecontractforReliantEnergySolutions,Inc.andwithrespecttocustomerspurchasingfrommembersoftheBBBGroupundertheretailpilotprogramprovidedforintheUtilitiesCode）ortothirdpartiesduringtheperiodservicesareprovidedunderthissection.ThepartiesshalldevelopamutuallyagreeableservicelevelagreementregardingsuchserviceswhichwillprovideforlevelsofservicegenerallyconsistentwiththosehistoricallyprovidedbyDDDandwhich,whendeveloped,shallbeattachedheretoasSchedule3.5.ThepartiesrecognizethatBBBwillneedtotrainCCCpersonnelonitsnewsystemsthatwillbeinplaceasofChoiceDate.Tothatend,BBBshallbefreetorotateitspersonnelintotrainingafterSeptember2001providedthat（i）BBBsubstitutesappropriatecontractorpersonneltoensurethatcustomerservicedoesnotdeclineduringthetrainingperiodand（ii）thecoststoDDDduringthetrainingarenotgreaterthancostswouldhavebeenhadthetrainingrotationsnotbeenmade.

3.6TerminationofServices.ServicesprovidedbyCCCshallterminateatChoiceDate,andBBBshallbefreetoprovidetheseservicestootherbusinessunitsoftheBBBGrouportothirdparties.

3.7ChangestoServices.CCCagreestoaddordeletespecificservicesuponreasonablerequestfromamemberoftheAAAGroupsolongastheyaregenerallywithinthescopeoftheservicesprovidedunderthisSection3,providedthatthecostsofanyincreaseordecreaseinpersonnelorequipmentrequiredtoimplementsuchchangearebornebythememberoftheAAAGrouprequestingthem.

3.8CodeofConductandReportingRequirements.DuringtheperiodCCCprovidesservicesrelatedtoretailelectriccustomersofAAA,allpersonnelofCCCshallcontinuetoobservetheCodeofConductadoptedforDDDpersonnel,andmanagementpersonnelofCCCshallreportforoperationalandorganizationalpurposesonlytoanExecutiveVicePresidentofBBBandnottoanypersonnelofBBBwhoareengagedinprovidingunregulatedretailelectricserviceforanybusinessintheBBBGroup.

3.9ChargesforServices.FortheservicesprovidedbyCCC,membersoftheAAAGroupshallAAAmburseCCCforthefullyallocateddirectandindirectcostsincurredbyCCCtoprovidetheservices,andshallAAAmburseCCCforout-of-pocketexpenditurestothirdpartiesincurredtoperformservices.Chargeswillbemadeonabasisthatallocatessuchcostsonafairnondiscriminatorybasis.Itisunderstoodthatallsalaryandsalary-relatedcostsattributabletothepersonneltransferredtoCCCfromDDDshallbebornebytheAAAGroupforservicespriortoChoiceDate.

3.10PaymentTerms.ChargesandcollectionsforservicesrenderedpursuanttothisAgreementshallcontinuetobemadeusingthemethodologyandproceduresforintracompanybillinginuseasofthedateofthisAgreementunlessanduntileitherpartyelectstodiscontinuesuchprocedures,inwhichcaseCCCshallthereafterbillmembersoftheAAAGroupreceivingtheservicesmonthlyforallchargespursuanttothisAgreementandsuchmembersreceivingtheservicesshallpayCCCforallserviceswithinthirtydaysafterreceiptofaninvoicetherefor.Chargesshallbesupportedbyreasonabledocumentation（whichmaybemaintainedinelectronicform）,consistentwithpastpractices.LatepaymentsshallbearinterestatthelesseroftheprimerateannouncedbyTheChaseManhattanBankandineffectfromtimetotimeplustwopercent（2%）perannumorthemaximumnon-usuriousrateofinterestpermittedbyapplicablelaw.

3.11ErrorCorrection;True-ups;Accounting.CCCshallmakeadjustmentstochargesasrequiredtoreflectthediscoveryoferrorsoromissionsincharges.CCCandAAAshallconductanannualtrueupprocesstoadjustchargesbasedonareconciliationofdifferencesinbudgetedusageandcostswithactualexperience.Itistheintentofthepartiesthatsuchtrue-upprocesswillbeconductedusingsubstantiallythesameprocess,proceduresandmethodsofreviewashavebeenheretoforeineffectamongmembersoftheAAAGroup.ServicesunderthisAgreementandchargesthereforshallbesubjecttotheprovisionsofSection10.5oftheSeparationAgreement（AuditRights）.

3.12SeveranceCosts.UpontheterminationofservicesprovidedbyCCC,AAAwillAAAmburseBBBfortheactualcostsofseveranceincurredunderapreviouslyapprovedseveranceplanforpersonnel（i）whowerehiredbyCCCfromAAApursuanttothisAgreement,（ii）whoareterminatedbyBBBwithin60daysafterCCCterminatesitsservicesforAAA（otherthanemployeeswhoareterminatedduringsuchperiodduetodeath,disabilityorcause）and（iii）whoarenotemployedbyamemberoftheAAAGroupwithin30daysaftertheirseparationfromtheBBBGroup.NoseverancecostsshallbepayablewithrespecttoanypersonnelhiredbyanymemberoftheBBBGroupfromAAAotherthanpersonnelhiredbyCCCtoperformservicesunderthisSection3ofthisAgreement.NorshallAAAberesponsibleforseverancecostsrelatedtopersonnelinitiallyhiredbyCCCfromAAAbutwhosubsequentlyaretransferredtoemploymentbyanothermemberoftheBBBGrouppriortotheirterminationfromBBB.

3.13Indemnification.AAAagreestodefend,indemnifyandholdBBBandCCCandtheirrespectivepersonnelharmlessagainstliabilityonclaimsmadebythepersonnelforwhomAAAhasagreedtoAAAmburseBBBforseverance（thePersonnel）totheextentclaimsrelateto:

（i）theseveranceof
