合同签订注意事项

一、甲乙双方应保证向对方提供的与履行合同有关的各项信息真实、有效。

shallpaytoSeller，asanadvancepayment，fiftypercent（50%）ofthePurchase

1.4.1Withinten（10）workingdaysaftertheexecutionofthisContract，

Buyershallsignthemortgageloanagreementandotherrelevantdocumentswith

theBank，andgetapprovalfromthebankwithrespecttothemortgageloan

applicationfortheRemainingPayment.Buyershallhandoverthephotocopiesof

theabove-mentioneddocumentstotheLawyer.

1.4.2Withinten（10）workingdaysaftertheexecutionofthisContract，both

PartiesandtheBankshallsignatri-partyagreement（the“Tri-party

Agreement”）inwhichtheBankagreestoreleasetheloan（equivalenttothe

RemainingPayment）toSeller‘saccountdirectly.Buyershallhandoverthe

photocopyoftheTri-partyAgreementtotheLawyer.

1.4.3AfterSellerconfirmsthereceiptoftheAdvancePayment，andupon

receiptbytheLawyerofallofthedocumentsandtaxesandfeesfromboth

PartiesasdescribedinArticle6andArticle7ofthisContract，andwithin

three（3）workingdaysafterthedocumentsmentionedinArticle4.4aboveare

providedtotheLawyer，Lawyershallsubmitthetransferapplication（withall

necessarysupportingdocuments）ofthePropertyOwnershipCertificatetoBeijing

ConstructionCommitteeRealEstateExchangeCenter（the“Center”）Withinthree

（3）workingdaysafterthetransferofthePropertyOwnershipCertificateis

completed，Lawyershallsubmitthetransferapplication（withallnecessary

supportingdocuments）oftheLandUseRightCertificatetoBeijingLand

ResourceBureau.

1.4.4AfterthePropertyOwnershipCertificateandtheLandUseRight

CertificatearetransferredtoBuyer，andafterLawyerreceivesalltheoriginal

certificates，LawyershallprovidetotheBankwiththesecertificatesin

accordancewiththetermsoftheTri-partyAgreement.Thebank，whowillapply

forthemortgageregistrationoftheProperty，shallreleasetheloan（Remaining

Payment）directlytoSelleroncethemortgageregistrationiscompleted.

1.4.5IncasethattheBankhasnotapprovedthedrawdownoftheloanorthe

loanpaidtoSellerislessthantheRemainingPaymentwithintwo

（2）months

afterLawyerprovidesthePropertyOwnershipCertificateandtheLandUseRight

CertificatetotheBank，BuyeragreestomakefullpaymentoftheRemaining

Paymentwithinfive（5）workingdaysaftertheabove-mentionedtwo

（2）months

periodexpires.

ArticleVTaxesandfees

Exceptasotherwiseprovidedtherein，eachPartyshallberesponsibleforand

shallpayalltaxesandfeesresultingfromorpayableinconnectionwiththe

transactionscontemplatedinthisContractasareimposeduponsuchPartybyPRC

Law.
