合同签订注意事项
一、甲乙双方应保证向对方提供的与履行合同有关的各项信息真实、有效。

1.1AnypaymentofthePurchasePriceunderthisContractshallbemadein

1.2BothSellerandBuyerappointandfullyauthorizeXXXXLawFirm(the

1.3Withinthree(3)workingdaysaftertheexecutionofthisContract,Buyer
shallpaytoSeller,asanadvancepayment,fiftypercent(50%)ofthePurchase

1.4Buyershallpay,astheremainingpayment,theotherfiftypercent(50%)
ofthePurchasePrice,i.e.RMB___________(the“RemainingPayment”),by

TheBanksoulddirectlypayallmortgageloantoSeller‘sbankaccountas

1.4.1Withinten(10)workingdaysaftertheexecutionofthisContract,
Buyershallsignthemortgageloanagreementandotherrelevantdocumentswith
theBank,andgetapprovalfromthebankwithrespecttothemortgageloan
applicationfortheRemainingPayment.Buyershallhandoverthephotocopiesof
theabove-mentioneddocumentstotheLawyer.
1.4.2Withinten(10)workingdaysaftertheexecutionofthisContract,both
PartiesandtheBankshallsignatri-partyagreement(the“Tri-party
Agreement”)inwhichtheBankagreestoreleasetheloan(equivalenttothe
RemainingPayment)toSeller‘saccountdirectly.Buyershallhandoverthe
photocopyoftheTri-partyAgreementtotheLawyer.
1.4.3AfterSellerconfirmsthereceiptoftheAdvancePayment,andupon
receiptbytheLawyerofallofthedocumentsandtaxesandfeesfromboth
PartiesasdescribedinArticle6andArticle7ofthisContract,andwithin
three(3)workingdaysafterthedocumentsmentionedinArticle4.4aboveare
providedtotheLawyer,Lawyershallsubmitthetransferapplication(withall
necessarysupportingdocuments)ofthePropertyOwnershipCertificatetoBeijing
ConstructionCommitteeRealEstateExchangeCenter(the“Center”)Withinthree
(3)workingdaysafterthetransferofthePropertyOwnershipCertificateis
completed,Lawyershallsubmitthetransferapplication(withallnecessary
supportingdocuments)oftheLandUseRightCertificatetoBeijingLand
ResourceBureau.
1.4.4AfterthePropertyOwnershipCertificateandtheLandUseRight
CertificatearetransferredtoBuyer,andafterLawyerreceivesalltheoriginal
certificates,LawyershallprovidetotheBankwiththesecertificatesin
accordancewiththetermsoftheTri-partyAgreement.Thebank,whowillapply
forthemortgageregistrationoftheProperty,shallreleasetheloan(Remaining
Payment)directlytoSelleroncethemortgageregistrationiscompleted.
1.4.5IncasethattheBankhasnotapprovedthedrawdownoftheloanorthe
loanpaidtoSellerislessthantheRemainingPaymentwithintwo
(2)months
afterLawyerprovidesthePropertyOwnershipCertificateandtheLandUseRight
CertificatetotheBank,BuyeragreestomakefullpaymentoftheRemaining
Paymentwithinfive(5)workingdaysaftertheabove-mentionedtwo
(2)months
periodexpires.
ArticleVTaxesandfees
Exceptasotherwiseprovidedtherein,eachPartyshallberesponsibleforand
shallpayalltaxesandfeesresultingfromorpayableinconnectionwiththe
transactionscontemplatedinthisContractasareimposeduponsuchPartybyPRC
Law.
