“Exworks"meansthatthesellerdeliverswhenheplacesthegoodsatthedis­posalofthebuyerattheseller'spremisesoranothernamedplace（i.e.wa&s,factory,warehouse,etc.）notclearedforexportandnotloadedonanycollectingvehicle.

Thistermthusrepresentstheminimumobligationfortheseller,andtilebuyerhastobearallcostsandrisksinvolvedmtakingthegoodsfromtheseller'spremises.

However,ifthepartieswishthesellertoberesponsiblefortheloadingofthegoodsondepartureandtobeartherisksandallthecostsofsuchloading,thisshouldbemadeclearbyaddingexplicitwordingtothiseffectinthecontractofsale.Thistermshouldnotbeusedwhenthebuyercannot

carryouttheexportformalitiesdirectlyorindirectly.Insuchcircumstances,theFCAtermshouldbeused,providedtheselleragreesthathewillloadathiscostandrisk.

ＡTHESELLER'SOBLIGATIONS

ＢTHEBUYER'SOBLIGATIONS

A1Provisionofgoodsinconformitywiththecontract

Thesellermustprovidethegoodsandthecommercialinvoice,

oritsequivalentelectronicmessage,inconformitywiththe

contractofsaleandanyotherevidenceofconformitywhich

mayberequiredbythecontract.

B1Paymentoftheprice

Thebuyermustpaythepriceasprovidedinthecontractof

sale.

A2Licences,authorisationsandformalities

Thesellermustrenderthebuyer,atthelatter'srequest,

riskandex­pense,every,assistanceinobtaining,where

applicable,anyexportli­cenceorotherofficial

authorisationnecessaryfortheexportofthegoods.

B2Licences,authorisationsandformalities

Thebuyermustobtainathisownriskandexpenseanyexport

andimportlicenceorotherofficialauthorisationandcarry

out,whereapplicableallcustomsformalitiesfordieexport

ofthegoods.

A3Contractsofcarriageandinsurance

A4Delivery

Thesellermustplacethegoodsatthedisposalofthebuyer

atthenamedplaceofdelivery,notloadedonanycollecting

vehicle,onthedateorwithintheperiodagreedor,ifno

suchtimeisagreed,attheusualtiny,fordeliveryofsuch

goods.Ifnospecificpointhasbeenagreedwithinthenamed

place,andifthereareseveralpointsavailable,theseller

mayse­lectthepointattheplaceofdeliverywhichbest

suitshispurpose.

B4Takingdelivery

Thebuyermusttakedeliveryofthegoodswheretheyhavebeen

deliveredinaccordance.withA4andA7/B7.

A5Transferofrisks

Thesellermust,subjecttotheprovisionsofB5,bearall

risksoflossofordamagetothegoodsuntilsuchtimeas

theyhavebeendeliveredinac­cordancewithA4.

B5Transferofrisks

buyermustbearallrisksoflossofordamagetothegoods

fromthetime,theyhavebeendeliveredinaccordancewith

A4;and

fromtheagreeddateortheexpirydateofanyperiodfixed

fortakingdeliverywhicharisebecausehefailstogive

noticeinaccordancewithB7,provided,however,thatthe

goodshasbeendulyappropriatedtothecontract,thatisto

say,clearlysetasideorotherwiseidentifiedasthe

contractgoods.

A6Divisionofcosts

Thesellermust,subjecttotheprovisionsofB6,payall

costsrelatingtothegoodsuntilsuchtimeastheyhavebeen

deliveredinaccordancewithA4.

B6Divisionofcosts

Thebuyermustpay

allcostsrelatingtothegoodsfromthetimetheyhavebeen

deliveredmaccordancewithA4;and

anyadditionalcostsincurredbyfailingeithertotake

deliveryofthegoodswhentheyhavebeenplacedathis

disposal,ortogiveappropri­atenoticeinaccordancewith

B7provided,however,thatthegoodshavebeenduly

appropriatedtothecontract,thatistosay,clearlyset

asideorotherwiseidentifiedasthecontractgoods;and

whereapplicable,allduties,taxesandotherchargesas

wellasthecostsofcan"outcustomsformalitiespayable

uponexport.

Thebuyermustreimburseallcostsandchargesincurredbythe

sellerinrenderingassistanceinaccordancewithA2.

A7Noticetothebuyer

Thesellermustgivethebuyersufficientnoticeastowhen

andwherethegoodswillbeplacedathisdisposal.

B7Noticetotheseller

Thebuyermust,wheneverheisentitledtodeterminethetime

withinanagreedperiodand/ortheplaceoftakingdelivery,

givethesellersuffi­cientnoticethereof.

Thebuyermustprovidethesellerwithappropriateevidenceof

havingtak­endelivery.

A9Checking–packing–marking

Thesellermustpaythecostsofthosecheckingoperations

（suchascheckingquality,measuring,weighing,counting）

whicharenecessaryforthepurposeofplacingthegoodsat

thebuyer'sdisposal.

Thesellermustprovideathisownexpensepackaging（unless

itisusualfortheparticulartradetomakethepodsofthe

contractdescriptionavail­ableunpacked）whichisrequired

forthetransportofthegoods,totheextentthatthe

circumstancesrelatingtothetransport（forexample

modal­ities,destination）aremadeknowntothesellerbefore

thecontractofsaleisconcluded.Packagingistobemarked

appropriately.

B9Inspectionofgoods

Thebuyermustpaythecostsofanypre‑shipmentinspection,

includinginspectionmandatedbytheauthoritiesofthe

countryofexport.

A10Otherobligations

Thesellermustrenderthebuyeratthelatter'srequest,risk

andex­pense,everyassistanceinobtaininganydocumentsor

equivalentelec­tronicmessagesissuedortransmittedinthe

countryofdeliveryand/oroforiginwhichthebuyermay

requirefortheexportand/orimportofthegoodsand,where

necessary,fortheirtransitthroughanycountry.

Thesellermustprovidethebuyer,uponrequest,withthe

necessaryin­formationforprocuringinsurance.

B10Otherobligations

Thebuyermustpayallcostsandchar"incurredmobtaining

thedocu­mentsorequivalentelectronicmessagesmentionedin

A10andreimbursethoseincurredbythesellerinrendering

hisassistanceinaccordancetherewith.

FCA

FREECARRIER

"FreeCarrier"meansthatthesellerdeliversthegoods,

clearedforexport,tothecarriernominatedbythebuyerat

thenamedplace.Itshouldbenotedthatthechosenplaceof

deliveryhasanimpactontheobligationsofloadingand

unloadingthegoodsatthatplace.Ifdeliveryoccursatthe

seller'spremises,thesellerisresponsibleforloading.If

deliveryoccursatanyotherplace,thesellerisnot

responsibleforunloading.

termmayheusedirrespectiveofthemodeoftransport,

includingmultimodaltransport.

"Carrier"meansanypersonwho,inacontractofcarriage,

undertakestoperformortoprocuretheperformanceof

transportbyrail,road,air,sea,inlandwaterwayorbya

combinationofsuchmodes.

Ifthebuyernominatesapersonotherthanacarrierto

receivethegoods,thesellerisdeemedtohavefulfilledhis

obligationtodeliverthegoodswhentheymedeliveredtothat

person.

whichmayberequiredbythecontract.

Thebuyermustpaythepriceasprovidedmthecontractof

sale.

A2Licences,authorisationsandformalities

Thesellermustobtainathisownriskandexpenseanyexport

licenceorotherofficialauthorisationandcarryout,where

applicable,allcustomsformalitiesnecessaryfortheexport

ofthegoods.

B2Licences,authorisationsandformalities

Thebuyermustobtainathisownriskandexpenseanyimport

licenceorotherofficialauthorisationandcarryout,where

applicable,allcustomsformalitiesfortheimportofthe

goodsandfortheirtransitthroughanycountry.

a）Contractofcarriage

Noobligation.However,ifrequestedbythebuyerorifitis

Commercialpracticeandthebuyerdoesnotgiveaninstruction

tothecontraryinduetime,thesellermaycontractfor

carriageonusualtermsatthebuyer'sriskandexpense.In

eithercase,thesellermaydeclinetomakethecontractand,

ifhedoes,shallPromptlynotifythebuyeraccordingly.
