1.1RIGHTSGRANTED&TERRITORY:

TheProprietorsherebygranttothePublisherstherighttotranslateintotheChineselanguageSIMPLIFIEDCHARACTERSONLYandtoprint，publishandsell，atthePublishers'ownexpense，theWorkinTRADEHARDCOVERFORMONLYexclusivelyinthefollowingterritory，subjecttoallthetermsandconditionsofthisAgreement:

1.2TERM:

ThisAgreementcoversaperiodoffive（5）yearsfromagreementdate.Onexpirationofthislicense，allrightshereingrantedreverttotheProprietorswithoutfurtherwrittennotice.（条款：

2.RIGHTSRESERVED:

AllrightsnotspecificallygrantedtothePublishersherein，withoutlimitation，arereservedtotheProprietors.（保留权利：

本合同没有明确授予出版方的所有权利，毫无限制地归版权方所有。

）

3.WARRANTY:

TheProprietorswarrantthattheycontroltherightstotheentireWorkconveyedhereinandgrantedtothePublishersandthattheyhavethefullpowertomakethisAgreement.（保证：

版权方保证持有本合同中的转让作品的权利，并授予出版方，版权方也保证有能力执行本合同。

）

4.ASSIGNMENTOFRIGHTS:

ThisAgreementandtherightsherebygrantedmaynotbeassignedortransmittedinwholeorinpartbythePublisherseithervoluntarilyorbyprocessoflawandthetranslationoftheWorkmaynotbeissuedunderanyimprintotherthanthePublishers'own，asstatedabove，withoutthepriorwrittenconsentoftheProprietors.（权利转让：

不论是自发或是通过法律程序，出版方均不可将本合同以及合同中授予的权利全部或部分转让。

5.1ROYALTYANDADVANCE:

ThePublishersshallpaytotheProprietorsonsignatureofthisAgreementanon-refundableadvanceofUS$1，000.00inUnitedStatesdollarsagainstthefollowingroyalty，basedonthePublishers'currentretaillistprice，onallcopiessold:

6%for1-5，000copiessold;7%for5，001-10，000copiessold;and8%onallcopiessoldthereafter.（版税及预付：

TheAdvancepayment，ifnotearnedoutbeforethisAgreementexpirydate，shallnotbetransferredorextendedtotheRenewalofthisAgreement.（本合同期满前若未能付梓，预付款不应转交或延伸给本合同的补充条款。

RoyaltiespayablebythePublisherstotheProprietorsshallbebasedon100%retaillistprice. NoroyaltiesarepayableoncopiesdistributedfreetothePressorforpublicityorforthereplacementofdamagedcopiesbutthenumberofsuchcopiesfreeofroyaltyshallnotexceedfourpercent（4%）ofallcopiessold.（出版方应付版权方的版税应依据100％零售价格表。

为宣传而免费送给出版社或为替换损坏书册的，可不付版税，但免费书册数不得超过销售册数的4％。

5.2ACCOUNTING:

ThePublishersshallaccounttotheProprietorsonprintings，sales，andearningsSEMI-ANNUALLYasofthe30thdayofJuneandthe31stdayofDecemberineachyearandwillmakefullsettlementoftheaccountwithinninety（90）daysthereafter.AllpaymentsrequiredtobemadebythePublisherstotheProprietorsshallbemadepromptlytotheProprietors.FailuretorendersuchaccountingandsettlementshallcauseautomaticterminationofthisAgreementandimmediatereversiontotheProprietorsofallrightsgrantedhereinwithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwiseassetforthinClause12hereof.Royaltyreportsshallnoteindetail:

出版方应在印刷、销售和半年收益方面遵守版权方规定，即每年6月30日和12月31日后90天内，完全结算账目。

出版方应付版权方的所有应付款项应及时支付。

未能结算，合同将自动中止，无需发表任何声名，本合同提及之所有权利立即返还版权方，并毫无疑义地承担任何可能对版权方造成的损失，否则执行12条中相关条款。

版税报告应记录：

-thenumberofcopiesprinted;andthecumulativetotalprintings（印数；及附加印数）

-thenumberofcopiesspoiled;andthenumberofcopiesgivenawayforPressandforpublicity

（损坏册数；及赠送出版社为宣传使用的册数）

-thenumberofcopiessold;andthecumulativetotalsales（销量；及附加总销量）

-whenthePublishers'editionisoutofprint（出版方脱销日期）

5.3AUDIT:

Ifsorequested，thePublishersagreetoallowtheProprietorstoauditthePublishers'booksofrecordrelatingtotheWorkinordertoverifyroyaltyaccountingandprintingstatements.（审核：

若有要求，出版方允许版权方为证实版税账目和印制报告，审核出版方与此作品有关的档案册。

）

5.4TAX:

ShouldthePublishersbylawberequiredtodeducttaxfromanysumsduetheProprietorsunderthisAgreementthePublishersshallprovideawrittendeclarationtothiseffectwiththerelevantstatementofaccountshowingtheamountdeducted.ThePublisherswillprovidetheProprietorswithofficialtaxreceiptsfromtherelevanttaxauthoritiesasevidenceofsuchpayments.Failuretodosowillbeabreachofthiscontract.（税款：

若出版方依法从总应付金额中扣除税款，依据本合同，出版方应提供一份书面声明，注明扣税数额。

5.5REMAINDERING:

ThePublishersmayremaindertheWorkandshallpaytotheProprietorstenpercent（10%）oftheamountreceivedexceptthatnoroyaltiesshallbepaidonanycopiessoldatorbelowcostofmanufacture，provided，however，thatnosuchremaindercopiesoftheWorkshallbesoldwithinathree（3）yearsperiodfromthedateoffirstpublicationbythePublishers.ThePublishersshallhavesix（6）monthstoselloffallcopiesoftheireditionoftheWorkontheexpirationofthetermofthisAgreement.AllsuchsalesaretobesubjecttoroyaltypaymentsstipulatedhereinandthePublishersarerequiredtoaccounttotheProprietorsforallsuchsalesandprovidewrittennotificationwhenallcopieshavebeensold.Intheeventthatstockstillremainsafterthesix（6）monthsselling-offperiod，thePublishersarerequiredtodestroyallremainingcopies.（降价销售：

出版方可降价销售作品，应付给版权方总收入的10％，任何书册以成本价或低于成本价售出，无需版税。

若作品未降价销售，应从出版方第一次出版之日起售卖3年。

合同期满之日起，出版方有6个月降价售完其所有图书。

）此种销售行为应遵循本合同之版税支付规定，出版方的销售行为应遵照版权方，并提供书面脱销通知。

6个月降价销售后仍有库存，出版方应销毁所有剩余图书。

6.1PUBLICATION:

ThePublishersshallpublishthetranslationoftheWorkwithin12monthsofthedateofthisAgreementandthenumberofcopiestobeprintedshallnotbelessthan5，000.IfthePublishersfailtoissuethetranslationoftheWorkwithintheperioddetailedallrightsgrantedinthisAgreementshallreverttotheProprietorsforthwithandtheadvancepaymentprovidedforinClause5.1hereinshallbeforfeitedwithoutprejudicetoanyclaimwhichtheProprietorsmayhavefordamagesorotherwise.（出版：

6.2PUBLICATIONDATE:

PromptlyonthedateofpublicationofthePublishers'translationoftheWork，butinnoeventlaterthanten（10）daysthereafter，thePublishersshallnotifytheProprietors，inwritingofsaiddateofpublication.（出版日期：

6.3COMPLIMENTARYCOPIES:

OnpublicationthePublishersshalldispatchtotheProprietorsten（10）freecopiesofthetranslatedWork.TheProprietorsshallhavetherighttopurchasefurthercopiesfortheirownuseatthebesttradediscount.（免费赠送：

版权方有权以最低折扣购买更多图书。

7.PROPRIETORS'APPROVAL:

ThePublishers，ifrequestedtodoso，shallsubmitthetranslationoftheWorktotheProprietorsforapprovalbeforepublication，andinthateventthePublishersshallnotproceedwiththeprintingofthetranslationoftheWorkuntiltheyhavereceivedsuchapprovalinwriting.TheProprietorsshallnotunreasonablywithholdordelaytheirapproval.BARDON-CHINESEMEDIAAGENCY，isauthorizedtocheckallcopyrightnotices，titlepages，andcoversbeforethePublishersproceedwithprinting.（版权方的许可：

在这种情况下，出版方收到书面许可通知前，不应继续印刷译作。

版权方不得毫无理由地推迟许可。

8.1TRANSLATION:

ThePublishersagreethatthetranslationoftheworkistobefaithfullyandaccuratelymade，withoutchangeinthethemeorsubstanceoftheWork，exceptasmaybedeemednecessarytopermitlawfulpublicationthereof，andshallretainthespiritoftheWorkinsofarasmaybepracticable.ThePublishersfurtheragreethatanydeviationfromthestandardprescribedbythefirstsentenceofthisparagraphshallrequiretheexpresswrittenconsentoftheProprietors.（翻译：

8.2UNLAWFULCONTENTS:

ThePublishersabsolvetheProprietorsfromanyliabilityarisingfromthepublicationofthetranslatedWork，butifintheopinionofthePublisherstheWorkcontainsanymatterwhichisatanytimelibelousorotherwisecontrarytolaw，orwhichinfringesuponanyexistingcopyright（s），thenthePublishersmaysubmittotheProprietorsawrittenrequesttoremovesaidmatterfromthetranslationofthework. IfthePublishersreceivefromtheProprietorsawrittenconsenttosaidsubmittedrequest，saidmattermayberemovedbythePublishersfromthetranslationoftheWork.（非法内容：

但在出版方看来，作品包含任何损害他人名誉的或其它违法之处，或违反任何现行版权法的，出版方可向版权方递交一份从译作中删除此类内容的书面请求。

出版方收到版权方的书面许可，此类内容才可从译作中删除。

8.3ADVERTISEMENTS:

AdvertisementsmaynotbeprintedorinsertedinanyeditionoftheWorkwhetherissuedbythePublishersorbyitssublicensee，withouttheProprietors'priorwrittenconsent.（广告：

未经版权方书面许可，不管是出版方还是其分支机构都不得在任何版本的译作中刊印广告。

8.4PERMISSIONS:

ThePublishersunderstandtherightstouseorprintartworks.Illustrations，andphotographs，containedwithintheWorkoronitscoversand/orjacketsarenotconveyedinthisAgreementunlessspecificallystated.ThePublishersaresolelyresponsibleforobtainingrightsinsuchmaterialsfromthecopyrightholder.（许可：

出版方对从版权持有者获得的权利负单一责任。
