Contractno.CH2012-C-3ZY-2XXXXXANDxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx（hereinaftercalledthe“Buyer”）Whereas,SellerhasagreedtosellanddeliveryandBuyerhasagreedtopurchaseandacceptCoalinaccordancewiththetermsandconditionshereinaftersetforth.Now,therefore,itisagreedbyandbetweensellerandbuyerasfollows:

ARTICLEIDEFINITIONS（a）“Tonne”shallmeanametrictonof1,000kilograms.（b）“ContractYear”shallmeantwelve-monthperiodcommencingJan1ofanyyearandendingonDec31oftheyearimmediatelyfollowing.（c）“Price”shallmeancostandfreight（CFRFO）priceatPortofDischarging,INCOTERMS2010（d）“Dollars”,“Cents”or“$”shallbeconstruedascurrencyoftheUnitedStatesofAmericaunlessotherwisespecified.（e）“Coal”shallmeantheTrendHardCokingCoalwhichisthesubjectofthisContractasreferredtoinArticleIIIrespectively.（f）“LoadingPort”shallmeanRidleyTerminal,PortofPrinceRupert,BCCanada.（g）“DischargingPort”shallmeanQingdaoorRizhaoport,China.（h）“ADB”shallmeanAirDriedBasis.ARTICLEIITERMSOFCONTRACTSellershallsellanddeliverandBuyershallpurchaseandacceptCoal.ARTICLEIIITYPICALSPECIFICATIONSSection3.01-TypicalSpecificationofCoalThetypicalspecificationsoftheCoaltobedeliveredbytheSellertotheBuyerpursuanttotheContractare:

（a）„AnalysisStandards‟meanstherelevantASTMStandard;（b）„SamplingStandards‟meanstherelevantASTMStandard;and（c）„IndependentExpert‟meansanindependentsurveyor.ARTICLEIVQUANTITYANDPRICEOFCOALSection4.01-QUANTITYSellershallsellanddeliverandBuyershallbuyandtakedeliveryofoneshipmentbycapsizedvesselofapproximately49,000MetricTonnes（+/-10%）,atseller‟soption,ofTrendHardCokingCoalwithshipmentoflaycaninJunesubjecttoloadingport‟sschedule.Section4.02–PRICEUS$188.00perMetricTonnesCFRFOQingdaoorRizhaoPort,ChinaSection4.03–TIMEShipmentperiod:

OnesafeportofonesafeberthatQingdaoorRizhaoport,China.Dischargerate:

18,000TonnesPerWeatherWorkingDaySHINCatQingdaoorRizhaoport,China.Dem/Des:

USD15,000perdayperhour/HalfofdemurrageBuyerhastodeclarethenameofdischargingportbeforecompletionofloading.Section4.05–VESSELNOMINATIONTheSellershalladvisetheBuyerofthevessel‟particularsbyfaxoremailbeforeSeller‟svesselnomination,andtheBuyerwillgivefeedbackwithinoneworkingday.TheSellershouldgivetheBuyeravesselnominationnoticewhichwillspecifythenameofthevessel,thevessel‟sageandflag,thedemurrage/dispatchrate,ETAatloadingport,thevessel‟sestimatedarrivaldraft,theestimatedquantity,thetypeofMaterialandotherinformationabouttheshipwithinthreedaysafterthenominatedvesselhasbeencharteredorsigningofthiscontract,whicheverislater.Section4.06–SHIPMENTADVICETheSellershall,aftervesselsailedfromloadingport,informBuyerbyfax/emailofthecontractnumber,nameofvessel,nameofcommodity,approximatedinvoicevalue,B/Lweight,B/Ldate,andETAatthedischargeportwithinfiveworkingdaysaftertheshipmentdate.Section4.07–NOTICEOFARRIVALTheSellershallarrangemasterofthevesseltogiveBuyerthree（3）noticesoftheETAofthevesselatthedischargeport,thefirstnoticetobegivenatleastfive（5）dayspriortotheETAofthevessel.Thesecondandthethirdnoticestobegivenforty-eight（48）hoursandtwenty-four（24）hoursrespectivelypriortothevessel‟sETAatdischargeport.Section4.08–DISCHARGETERM-Lighteningand/orlighterage,ifany,willbeforBuyer‟saccount.-NoticeofReadinessshallbetendereduponvessel‟sarrivaldischargingportW.W.W.WSHINCandlaytimecommenceatdischargingporttobecounted12hoursaftertenderingofN.O.R.,unlesssoonerloadingordischargingoperationcommenced,inwhichcaseactualtimeusedtocount.~4~

Contractno.CH2012-C-3ZY-2-Laytimeisnon-reversible.-LaytimeisallowedatDischargeportshallbecalculatedbydividingthetotalBillsofLadingweightoftheshipmentbytheDischargeRate-ShiftingattheSeller‟srequestaftervesselisberthedduetovessel‟ssizeorforanyotherreasonshallnotcountaslaytimeandthecostofsuchshiftingshallbefortheSeller‟saccount.-ShiftingattheBuyer‟sorthePortAuthorityrequestaftervesselisberthedshallcountaslaytimeandthecostofsuchshiftingshallbefortheBuyer‟saccount,exceptbunkersconsumedwhilstshiftingwhichtobefortheSeller‟saccount.-Shiftingfromanchoragetoberthshallnotcountaslaytime.-Oncevesselisondemurragealwaysdemurrage.-BuyerwillproposeBuyer‟sagentattheDischargePorttoSellerbeforevesselarrivalbeforevesselarrivalatSingaporeforappointmentbytheshipownerssubjecttoreasonableandcompetitiveportdisbursementquotation.-Dischargingshallcompleteuponthelastgrabofcargoleavinghatches.-Demurrageordispatch,ifany,isbasedonfractionsproratafromtheBillofLadingweightandtobesettledwithin30daysaftercompletionofdischargingandSeller‟spresentationofsupportingdocuments.-BUYERshallpaytoSELLERdemurrageforalltimelostinexcessofallowedlaytimeattheDischargingPortandSELLERshallpaytoBUYERdispatchforthetimesavedattheDischargingPortagainsttheallowedlaytime.-Incaseofabsenceoforiginalbillofladingatdischargingport,SellerguaranteestodischargetheentirecargoagainstletterofindemnityinstandardPNIwording.However,nocargoshallbereleasedtothebuyerwithoutpresentationoforiginalbillofladingatdischargingport.-Anytimeusedduetobadweatherconditionsorportclosureorpoweroffdeclaredbyportauthorityandprovidedthatthereisnodischargingoperationatanyberth,thenthetimeusedshallnotbecountedaslaytime.Ifvesselhasalreadybeenondemurrage,allthesetimeusedincludingbadweatherandportclosureshallcountaslaytime.ARTICLEVPENALTIESThefollowingpenalties,basedonthefinalanalysisatthePortofLoading,shallbedeductedfromthePriceofCoal.Section5.01-TrendHardCokingCoal（a）AdjustmentofMoisture;WheretheTotalMoistureexceeds9.5%（asreceivedbasis）,forthepurposesofdeterminingtheInvoiceWeight,theweightoftheCoaldeterminedwillbereducedby1%forevery1%thattheTotalMoistureexceeds9.5%（fractionsareproratafromBillofLadingweight）.~5~

Contractno.CH2012-C-3ZY-2（b）AdjustmentforAsh;WheretheAshcontentexceeds9.0%（drybasis）,theContractPricewillbereducedbyUS$1.5perTonneforevery1%thattheAshcontentexceeds8.5%（fractionsprorata）.（c）AdjustmentforSulphur;WheretheTotalSulphurexceeds0.5%（drybasis）,theContractPricewillbereducedbyUS$0.40perTonneforevery0.1%thattheTotalSulphurexceeds0.5%（fractionsprorata）.ARTICLEVIWEIGHTANDANALYSISTheSellerisresponsibleforpaymentoftheIndependentExpert‟scostsofdeterminingthequalityandweightofCoalinaccordancewithSection6.01andSection6.02.Section6.01–SamplingandCertificatesofAnalysisUnlessotherwisespecifiedintheContract,anindependentexpertwillbeappointedbytheSellerandnotifiedtotheBuyer（“IndependentExpert”）.TheIndependentExpertisresponsiblefor:

（a）collectionofarepresentativesampleofCoalastheCoalisloadedonboardthevesselattheLoadingportinaccordancewiththeSamplingStandardsspecifiedinSection3.02;andanalysisoftherepresentativesampleinaccordancewiththeAnalysisStandards（b）specifiedinSection3.02.Section6.02–WeightTheweightofCoalmustbedeterminedtothenearestTonneattheLoadingPortbytheIndependentExpertbytheuseofaninitialandafinaldraftsurveyusingthehydrostatictablesfortheVessel.TheweightofCoalloadedontotheVesselwillbeapportionedbetweenholdsonthebasisoftheSeller‟sbeltweightometerreadingsorsuchotherbasisasismutuallyagreedbytheBuyerandtheSeller.Section6.03–RepresentativeBuyer,atBuyer‟scost,shallhavetherighttoappointarepresentativetoattendandobserveeitherorboththedeterminationorcomputationoftheweightofanyshipmentofCoalinaccordancewithSection6.01ofthisArticleaswellastheanalysisthereofbytheindependenttestinglaboratory.~6~

Contractno.CH2012-C-3ZY-2ARTICLEVIIPAYMENT（a）UponcompletionofloadingoftheshipmentofCoal,SellershallsendthefollowingoriginaldocumentsbyinternationallyrecognizedexpresscouriertothebankdefinedinArticleVII（b）andacopyofthefollowingdocumentstotheBuyer:

1）Fullset3/3oforiginalnegotiableCleanOnBoardBillsofLadingandthree（3）nonnegotiablecopies,madeouttoorder,endorsedinblank,marked„freightpayableaspercharterpartyandnotifyto“Toorder”.2）OneoriginalandtwocopiesoftheCertificateofWeightiss
