UnlessotherwisespecifiedinContract,thesuppliedgoodsshallbepackedbyexportstandardprotectivemeasures.Suchpackingshallbesuitableforlongdistanceoceanandinlandtransportationandwellprotectedagainstdampness,moisture,shocks,rustandroughhandlingsoastoensurethatthegoodswillsafelyarriveatthesitewithoutanydamageduetotheabovementionedreasons.

TheSellershallbeliableforanyrust,damageandlosscausedbyinadequateorimproperpackingorprotectivemeasuresprovidedbySeller.

TheSellershallprovidetheBuyertheshippingdocumentstogetherwithquarantinecertificateforwoodenpackingmaterials.Twocopiesoftheeachpackinglistandthequalitycertificateshallbepackedineachpackage.Onecopyisinsideandtheotheroutside.

Packingmaterialsshallnotallowusingthewoodenwithskinandwormoranyaliveegg.

4.SHIPPINGMARK

TheSellershallmarkonthefouradjacentsidesoftheeachpackagewithfadelesspaintthepackagenumberorserialnumberofthepackage,grossweight,netweight,measurement,contractNo.,portofdestinationandnecessarywordingssuchas“KEEPAWAYFROMMOISTURE”,“HANDLEWITHCARE”,“THISSIDEUP”and“KEEPDRY”etc.Andtheshippingmark:

9.PAYMENT

a）ByDirectRemittance（T/T）

PaymentshallbeeffectedbytheBuyer,byTelegraphicTransferwithinForty-five（45）businessdaysuponreceiptfromtheSellerofthegoodsandallsupportingdocumentations,specifiedinClause10ofthisContractandsubjecttoAcceptanceReport.

b）ByLetterofCredit（L/C）90%

①UnderLetterofCredit:

TheBuyer,uponreceiptfromtheSelleroftheshippingadvicespecifiedinClause12hereof,shallwithin20calendardayspriortothedateofshipment,opensanirrevocableLetterofCreditwithBankofChina,BankofChina,LiaoningBranch,Dalian,China,infavoroftheSeller,for90%oftotalvalueofcontract.ThecreditshallbeavailableagainstSeller’sdraft（s）drawnatsightontheopeningbankfor100%invoicevalueaccompaniedbytheshippingdocumentsspecifiedinClause10hereof.Theopeningbankshalleffectpayment（bytelegraphictransfer）againstpresentationtothemofaforementioneddraft（s）anddocuments.Theletterofcreditshallbevaliduntilthe21thdayaftertheshipmentiseffected

②TheBuyershallpaytheremainderoftotalvalueoftheContracttotheSellerwithin60thbusinessdaysbyTelegraphicTransfer（T/T）afteracceptanceanduponreceiptofaWARRANTYBONDoraBankGuaranteewhichamountshouldequalto10%oftotalcontractvalueoraftertheCERTIFICATEOFACCEPTANCEispresentedbytheBuyer.ThispaymentshallbedeductedbyanypenaltiesincurredinthisContract.

Threeoriginalsandtwocopiescleanonboardoceanbillsofladingmarked“FreightPrepaid”（CIFandC&F）/“FreighttoCollect”（FOB）,ContractNo.andshippingmarkmadeouttoorderandblankendorsed,notifyingtheBuyerwithtypingitscompleteaddressandtelephonenumber.

B）Incaseofairfreight

Oneoriginalandtwocopiesairwaybillmarked“FreightPrepaid”（CPT,CIFandC&F）/“FreighttoCollect”（FOB）,ContractNo.andshippingmarkandconsignedtotheBuyer.

（2）Invoiceinthreeoriginalsandtwocopiesindicatingcontractnumberandshippingmark（incaseofmorethanoneshippingmark,theinvoiceshallbeissuedseparately）,madeoutindetailsaspertherelatedcontract.

（3）Packinglistinthreeoriginalsandtwocopieswithindicationofshippingweight,shippingmark,numbersofboxes,sizesandinvoicenumber.

（4）CertificateofQualityandQuantityinoneoriginalandtwocopiesissuedbytheManufacturers/Seller.

（5）CertificatesofHEATTREATMENTinoneoriginalissuedbyLocalAuthority（suchasDepartmentofAgriculture,etc.）forconifersolidwoodpacking.

（6）CopyoffaxtotheBuyeradvisingparticularsofshipmentimmediatelyaftershipmentismade.

（7）CertificateofOrigininoneoriginalandtwocopies.

（8）TechnicalDocumentsconcerned.

11.SHIPMENT

（1）TheSellershallshipthegoodswithintheshipmenttimefromtheportofshipmenttotheportofdestination.

（2）Trans-shipmentandpartialshipmentarenotallowed（unlessspecifiedelsewhereinthisContract）.Allfeesrelatedtohandling,transportationandCustomclearanceshallbebornebytheSellerfortheshipmentsbeyondwhichspecifiedinthisContract.

（3）Avesselflying/AaircraftpaintedtheflagofthecountrythattheBuyercannotacceptshallnotcarrythecontractedgoods.

12.SHIPPINGADVICE

UnderpaymenttermsofT/T:

Immediatelyafterthegoodshavebeenshipped/dispatched,

UnderpaymenttermsofL/C:

Atleast30calendardaysbeforethegoodsaregoingtobeshipped/dispatched,

TheSellershallsendtheBuyerandtheconsigneebyfaxashippingadvicegivingparticularsincludingatleast:

（1）Contractnumber,

（2）Nameofthegoods,

（3）Quantitydeliveredincludingnumberofpackage,totalmeasurement,grossandnetweight,

（4）Totalvalue,

（5）Nameandsailing/flyingdateofthecarryingvessel/aircraft,

（6）Portofdepartureanddestination,

（7）IntheeventoftheBuyerbeingunabletoarrangeforinsuranceinconsequenceoftheSellerfailuretosendtheaboveadviceintime,theSellershallbeheldresponsibleforallthelossesthussustainedbytheBuyer.

13.WARRANTY

TheSellershallguaranteethatthecommodityhereofismadeofthebestmaterials,withfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequalityandspecificationstipulatedintheContract.TheSellershallalsobeartheresponsibilityofdesigndisfigurementandwrongundernospecifiedstandards.ThegoodssuppliedbySellershouldbesuitableinstalledandadjustedaboard.Theguaranteeperiodshallbethirty（30）monthscountingfromthedateonwhichthecommodityarrivesattheportofdestinationoreighteen（18）monthsfromthedateofsigningoftheDeliveryandAcceptanceProtocoloftheVesselsignedbytheBuyer&theSeller,whicheverlongeroneapplied.Shouldthequality,specificationorquantityofthegoodsarefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,theguaranteeperiodshallbecountedagainfromthedateofreplacementorrepairstipulatedinClause14hereofhavingbeenmade.

14.CLAIMS

（1）Within（90）businessdaysafterthearrivalofthegoodsatdestination,shouldthequality,specificationorquantitybefoundnotinconformitywiththestipulationsofthiscontractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevessel/aircraftareliable,theBuyershall,onthestrengthoftheInspectionCertificateissuedbytheChinaCommodityInspectionBureau,havetherighttoclaimforreplacementwithnewgoods,orforcompensation.

TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSeller,inaccordancewiththeBuyer’sclaimshallberesponsiblefortheimmediateeliminationofthedefects（s）,completeorpartialreplacementofthecommodityorshalldevaluatethecommodity,accordingtothestateofdefect（s）.

（2）IncasethattheSellerareliableforthediscrepanciesandaclaimislodgedbytheBuyerwithinthetime-limitofinspectionandqualityguaranteeperiodasstipulatedinClause13ofthisContract,theSellershallsettletheclaimupontheagreementoftheBuyerinoneoracombinationofthefollowingways:

（3）AgreetotherejectionofthegoodsandrefundtotheBuyerthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,banking
