CLAUSE1-SCOPEOFTHECONTRACT合同范围

1.1ThebuyerhasagreedtobuyonaCIFbasis,aquantityof100,000MT（OneHundredThousandMetricTons）permonthofRUSSIANMAZUTGRADEM-100,GOST10585-75for12months.

买方同意这项M-100,GOST10585-75买卖100,000（10万吨）1个月为期12个月，价格为到岸价。

CLAUSE2–QUALITY品质

2.1TheSellerguaranteesthatthequalityoftheproductsoldwillconformtotheguaranteedspecificationsasreportedin（Appendix№1）,whichconstitutesasintegralpartofthisagreement.

卖方保证质量根据合同内的（附录1）。

CLAUSE3-AVAILABILITY有效

3.1Thisagreementwillbevalidfor7（Seven）InternationalBankingDaysaftersignedbybothSellerandBuyer.BothSellerandBuyeraccept“SoftSign”and“FaxSign”.Eitherthe“SoftSign”or“FaxSign”documentsarevalidlegaldocuments.

本合同正式签订后7银行工作日立即生效。

「电子签署」或「传真签署」均为合法生效合同。

CLAUSE4–TERMS条款

4.1Thedurationofthiscontractisfor12（twelve）monthsof100,000MT（OneHundredThousandMetricTons）permonthdeliverywitheachshipmentof50,000MT（FiftyThousandMetricTons）.

合同的持续时间为12个月，每船５万（50,000）吨，每个月10万（100,000）吨。

青岛港-中国安全港。

CLAUSE7.0–PAYMENT付款方式

7.1ThepaymentforthegoodsshallbemadebyIrrevocable,Confirmable,TransferableDocumentaryLetterofCredit（DLC）,TheDocumentaryLetterofCredit（asPaymentGuaranteeoftotalamountofone-monthdeliveryvalue）payable100%atsightagainstfullPOPandshippingdocumentsfromthePrimeBankacceptablebytheseller’sbank.AfterSGS/CIQatdischargeport,paymentbyMT103foreachmonthdeliverywithin5days.

这项买卖的付款方式为不可撤銷,可转让、可確認的银行跟单信用証（一个月货量总额作为付款担保），每船货品到达卸货港SGS/CIQ后5日内以MT-103或是T/T电汇支付货款。

7.2FacevalueofthebankinstrumentshallbesufficienttocovertheamountinUSD（USDollars）asdeterminedandsetforthunderthe“TermofPayment”incorporatedhereinbythisreference.

买卖货物以银行足額有效付款票据以美元支付。

7.3Seller’scommercialinvoicewillbebasedontheindependentsurveyor’scertificate（SGS）ofqualityandquantity.

卖方的商业发票单据必需以独立公证行（SGS）簽發的质量和数量证明书作为计算基础。

7.4Allinvoicesshallbepaidwithoutoffset,counterclaimordeductionafterSGS/CIQinspectioncertificatesforQualityandQuantityatPortofDischargewithin5daysaftercompletionofBillofLading,uponpresentationofthedocumentslistedinClause10hereof.

卖方之货款需在运抵卸货港由中国商检-CIQ或SGS检验並签发质量和数量证明书后5天内，根据第10条款所需之全套文件包括完整之提单，应在不可抵销、索赎、扣减之条件下立即支付。

CLAUSE8–DELIVERY装运

8.1TheFirstDelivery（CIF）shallbetotheBuyer’sdischargeportasperclause6within45（Forty-five）daysaftertheBuyer’sissuedrelativeDocumentaryLetterofCredit（durationfor120（oneHundredandTwenty）days）andB/LshallbeissuetoBuyerwithin45（Forty-Five）daysaftertheSeller’sBankconfirmedtheDLCissuedbytheBuyerortheBuyer’sAgent.

首批货物将于卖家的银行收到跟单信用证（有效期120天）35日内到达第6条款所列的目的港，而卖方需于卖方银行与开证行确认已确认买方之跟单信用证后的35天内提供货运提单给买方。

CLAUSE9-PROCEDURES程序

9.1BuyerandSellersigningandsealingthelegallybindingcontractandnotifyofthebuyerlodgecontractintorespectivebanks.

买卖双方签署正式合同后，卖方通知买方将合同送放各自银行。

9.2TheSeller’sBankernoticesBuyer’sBankerbyswiftMT799orMT199toconfirmtheBuyerisreadytoissuetheDLCandfollowthecontract.

卖家的银行透MT199与买家的银行之间联系，确认买家可以发出银行跟单信用証和执行合同。

9.3TheBuyerissueaDraftIrrevocable,Confirmable,Transferable,DocumentaryLetterofCredittotheSellerwithin5（Five）bankingdaysaftersigningofthiscontract.DLCDraftcopytobeemailedtoSellerpriortoissuancebyBuyer’sBankforverificationofacceptableterms.

签妥合同后，于五个银行工作日内须向卖方发出银行跟单信用証草稿副本。

9.4SellerissuetoBuyerthePartialPOP（P-POP）bytheBanktoBank.卖方银行将会发出部分POP至买方银行，所提供的部分POP文件如下列：

  1.CopyoftheExportLicense,issuedbytheRussiaMinistryofEnergy.

2.CopyoftheTankReceiptatloadingport.

3.Copyofthecharterpartyagreement（s）totransporttheproducttodischargeport.

9.5AfterreceiptofPartialPOP,WithinTwo

（2）bankingdaysBuyer'sBankissuesanOperativeIrrevocable,Transferable,DocumentaryLetterofCredit（TDLC）asguaranteetoSeller'sBank.

买方收到部分POP后两天内开立发出生效的不可撤销、可转让的银行跟单信用证，

9.6UponreceiptoftheTDLC,Seller'sBankreleaseFullPOPand2%（PB）PerformanceBondtoBuyerBankwithin5workingdaysafterconfirmedtheDocumentaryLetterofCredit。

收到买方银行跟单信用证确认后5日内发出整套的POP和2%履约保证信用证到买方银行。

9.7Sellerissueoperative2%（TwoPercent）PerformanceBondtoBuyerwithin5workingdaysafterconfirmedtheDocumentaryLetterofCredit。

卖方在收到买方的银行跟单信用证及確認保兑后5個银行工作日内发出百分之2履约保函。

9.6Sellerwillnominatevessels,loadandadviceETAtoBuyer.

卖方指定的船、装运量和单据予买家。

9.7SellerwillprovidetheshippingdocumentsstatedinClause10hereofandtheSellerwilltransfertheownershipofthecommoditytotheBuyer.

卖方会提供船务文件（Clause10）予买家，付款后将货权转给买方。

9.8SellercanpresenttheshippingdocumentsforpaymentassoonasSGS/CIQcertificateshavebeenissuedateportofDischarge.BuyerwillmakepaymentbyMT103orT/TafterreceivingofallshippingdocumentsstatedinClause10hereofforeachshipmentwithin5（Five）bankingdaysafterdischargeandCIQcertified.

买家在收到装船文件和中国商验报告SGS/CIQ后,在5个银行工作天内必须MT103或是T/T电汇付款予卖家。

9.9OneoriginalandonecopyofthecertificateofquantityandqualityissuedbyCIQatthedischargeport.IntheeventthatBuyerisunabletoprovidethesaidCIQinspectionreportwithin7days,SGSreportfromportofloadingwillbeusedinsteadforthepayment.

买家如不能在7天内提交中国商验报告到银行，卖家将会以装货港的SGS报告作为信用证付款文件。

9.10Shipmentwillstartaccordingtoconditionsofthecontractandaccordingtoagreedschedule.

装运将会开始于合同生效和双方同意的时间表。

9.11Eachpartyheretowillbearitsrespectivebankingcosts/charges.

双方各自承担自己银行的费用。

CLAUSE10-SHIPPINGDOCUMENTS船务文件

10.1Afullsetof3originalsplus3copiesofOceanBillofLading.TheB/LtobesignedinoriginalbytheownerandmasterofvesselissuedorendorsedtotheorderortotheBuyershowingdestination.

三份正本和三份副本提货单提货。

提货单会用物主和船长签名。

10.2CertificateofOrigin1originalplus2copiescountersignedandstampedbyalocalChamberofCommerce.

一份正本和二份副本产品证明。

10.3Signedcommercialinvoice,basedontheloadedquantityandqualitybySGSreport.Showingnameofvessel,dateofcompletionofloading.

签发的商务收据，基于SGS报告的质量和重量。

会印上船的名字和载油的完成日期。

10.4Originalquantityandqualitycertificatesplus1originaland2copyasissuedatLoadingPortbySGS

SGS质检报告必需有一份正本和二份副本。

10.51originalplus2copiesCertificateofInsurancecoveragewithpaymentconfirmationissuedbyInsurancecompanytobeshownonbillofladingandinsuredamountat110%.

一份正本和二份副本保险公司需在提货单上和在单据上到出百分之一百一十。

10.6EachshipmentcontainsNon-RadiationCertificates（USAonly）.

每一船运包含Non-RadiationCertificates（只限于美国）

10.7Thedocumentsofthethirdpartiesexcludinginvoiceareacceptable.AlldocumentsinEnglishlanguage.

第三者文件除了收据外也是接受的。

所有文件均为英语。

10.8Tankerallegereportatloadingport1originalplus2（two）copieswithtimelogandshipmasterreport

船公司航程安排報告一份正本和二份副本。

10.9CargoManifestatloadingport,oneoriginalplus2（two）copies.

裝貨港裝货單一份正本和二份副本。

CLAUSE11–INSURANCE保险

11.1Sellerathisownexpenseshallprocureapolicywithafirstclassmarineinsuranceinstitutetocoverthe110%（onehundredtenpercent）ofthevalueofthecargo.Theinsurancepolicywillcoverallrisksoflossordamagestosaidcargo,includingwar,hijacking,explosions,etc.fromthetimecargohaspassedintotheship’smanifoldflangesattheloadingport.

卖家需购入保额百分之一百一十,保险需包含此等风险：

战争、劫持、爆炸,直至船到达目的港。

CLAUSE12–PRICE,taxESANDMIScellaneous价钱、税项及杂费

12.1PriceisC.I.F-QingdaoPort/China.deliveredtoBuyer’sportofdischargewithalltaxes,dutiesandpermitsrelatedtoImportpaidbyBuyerandFixedat:

NettoBuyer:

USD530MT.（UNITEDSTATESDOLLARSFIVEHUNDREDTHIRTYONLYperMetricTon）

价钱为：

CIF中国青岛港到岸价格，每吨530美元

12.2TheBuyerisfullyresponsibletopaycommissionforBuyer’ssideandtheSellerisfullyresponsibletopaycommissionforSeller’sSide（Closed）

买家负责买方佣金；卖方负责卖方佣金。

CLAUSE13-PERFORMANCEGUARANTEE保函

13.1PerformanceBondwillbeprovidedbytheSellertotheBuyerintheamountof2%（TwoPercent）offacevalueoffinancialinstrumentopened.

保函由卖方打到买方，为信用证价值总额的百分之二。

13.2Fromthesignedcontractdate,within5workingdays,thebuyermustissueOperativeDocumentaryLetterofCredit（DLC）irrevocable,confirmable,transferable,documentaryLetterofCredittotheseller.Within5workingdaysoftheseller’sbankreceivedandconfirmedDLC,thesellerissues2%PBofonemonthdeliveryvalueandPOPtothebuyer.

買方須於簽署合同日期五個银行工作日
