4.confidentialinformation.developerwillnotuseordiscloseanything

5.warranty.developerrepresentsandwarrantstothecompanythatthe

awareofanyviolation,infringementormisappropriationofanythirdparty’srights（oranyclaimthereof）bytheintellectualpropertyortheTechnology,and（vi）isnotawareofanyquestionsorchallengeswithrespecttothepatentabilityorvalidityofanyclaimsofanyexistingpatentsorpatentapplicationsrelatingtotheintellectualproperty.

6.miscellaneous.thisagreementisnotassignableortransferableby--------------

developerwithoutthepriorwrittenconsentofthecompany;anyattempttodoso

shallbevoid.anynotice,report,approvalorconsentrequiredorpermittedhereundershallbeinwritingandwillbedeemedtohavebeendulygivenif

provisionshallbelimitedoreliminatedtotheminimumextentnecessarytothatthisagreementshallotherwiseremainingfullforceandeffectandenforceable.thisagreementshallbedeemedtohavebeenmadein,andshallbeconstrued

pursuanttothelawsofthestateofcaliforniaandtheunitedstateswithoutregardtoconflictsoflawsprovisionsthereof.theprevailingpartytoanyactiontoenforcethisagreementshallbeentitledtorecovercostsandexpenses

representativeoftherespectivepartiesauthorizedtobindtheparties.bothpartiesagreethatthisagreementisthecompleteandexclusivestatementofthe

mutualunderstandingofthepartiesandsupersedesandcancelsallpreviouswrittenandoralagreementsandcommunicationsrelatedtothesubjectmatterof
