§101.Incorporators;howcorporationformed;purposes.

（a）Anyperson,partnership,associationorcorporation,singlyorjointlywithothers,andwithoutregardtosuchperson'sorentity'sresidence,domicileorstateofincorporation,mayincorporateororganizeacorporationunderthischapterbyfilingwiththeDivisionofCorporationsintheDepartmentofStateacertificateofincorporationwhichshallbeexecuted,acknowledgedandfiledinaccordancewith§103ofthistitle.

（b）Acorporationmaybeincorporatedororganizedunderthischaptertoconductorpromoteanylawfulbusinessorpurposes,exceptasmayotherwisebeprovidedbytheConstitutionorotherlawofthisState.

（c）Corporationsforconstructing,maintainingandoperatingpublicutilities,whetherinoroutsideofthisState,maybeorganizedunderthischapter,butcorporationsforconstructing,maintainingandoperatingpublicutilitieswithinthisStateshallbesubjectto,inadditiontothischapter,thespecialprovisionsandrequirementsofTitle26applicabletosuchcorporations.

第101条设立人；设立方式；公司的目的

（一）任何个人、合伙、社团或者公司，不论居所、住所或者注册地所处的州别，都可以按照本编第103条的规定签署、确认并提交章程大纲于州务院公司处备案，从而单独或者与他人共同设立或组建本章规定的公司。

（二）根据本章规定设立或者组建的公司，可以从事或者促进任何合法经营或者目的，但本州宪法或者其他法律另有规定的除外。

（三）从事公用设施、维护和运营的公司，无论是否在本州经营，都可以按照本章规定组建；但在本州从事公用设施建筑、维护和运营的公司除遵守本章规定外，还必须遵守第26编适用于该类公司的特别规定和要求。

personismostcloselyassociatedhisorher'home'withalltheconnotationsofthatword.Apersoncanbedomiciledin anation,astateoftheUnitedStates,acity,orahousewithinacity.Heorshecanhaveadomicilewithinabroadergeographicaldesignationwithouthavingadomicileinanarrowergeographicaldesignation.Forexample,apersonmaybedomiciledinastatewithoutbeingdomiciledwithinanyparticularcitywithinthestate.Forinterstatechoiceoflawpurposes,itisthestateinwhichapersonisdomiciledthatissignificant."

2.Theresidenceofapersonorcorporationforlegal purposes.-Alsotermed（insense2）legalresidencedomicilebyoperationoflaw.Cf.RESIDENCE;PLACEOFBUSINESS.Alsospelled（inBrE）domicil."Taxstatutesfrequentlyspeakintermsofresidence,intendingittobetheequivalentofdomicile.Forexample,theNewYorkestatetaxspeaksintermsofresidenceandnon-residence.Similarly...,theUnitedStatesimposesanestatetaxonanyresidentorcitizenoftheU.S.Althoughbothstatutesusetheterm'residence,'itsusagehasbeen construedtomean'domicile.'"

§102.Contentsofcertificateofincorporation.

（a）Thecertificateofincorporationshallsetforth:

（一）章程大纲应当载明下列事项：

（1）Thenameofthecorporation,which（i）shallcontain1ofthewords"association,""company,""corporation,""club,""foundation,""fund,""incorporated,""institute,""society,""union,""syndicate,"or"limited,"（orabbreviationsthereof,withorwithoutpunctuation）,orwords（orabbreviationsthereof,withorwithoutpunctuation）oflikeimportofforeigncountriesorjurisdictions（providedtheyarewritteninromancharactersorletters）;provided,however,thattheDivisionofCorporationsintheDepartmentofStatemaywaivesuchrequirement（unlessitdeterminesthatsuchnameis,ormightotherwiseappeartobe,thatofanaturalperson）ifsuchcorporationexecutes,acknowledgesandfileswiththeSecretaryofStateinaccordancewith§103ofthistitleacertificatestatingthatitstotalassets,asdefinedinsubsection（i）of§503ofthistitle,arenotlessthan$10,000,000,（ii）shallbesuchastodistinguishitupontherecordsintheofficeoftheDivisionofCorporationsintheDepartmentofStatefromthenamesthatarereserved

onsuchrecordsandfromthenamesonsuchrecordsofeachothercorporation,partnership,limitedpartnership,limitedliabilitycompanyorstatutorytrustorganizedorregisteredasadomesticorforeigncorporation,partnership,limitedpartnership,limitedliabilitycompanyorstatutorytrustunderthelawsofthisState,exceptwiththewrittenconsentofthepersonwhohasreservedsuchnameorsuchotherforeigncorporationordomesticorforeignpartnership,limitedpartnership,limitedliabilitycompanyorstatutorytrust,executed,acknowledgedandfiledwiththeSecretaryofStateinaccordancewith§103ofthistitleand（iii）shallnotcontaintheword"bank,"oranyvariationthereof,exceptforthenameofabankreportingtoandunderthesupervisionoftheStateBankCommissionerofthisStateorasubsidiaryofabankorsavingsassociation（asthosetermsaredefinedintheFederalDepositInsuranceAct,asamended,at12U.S.C.§1813）,oracorporationregulatedundertheBankHoldingCompanyActof1956,asamended,12U.S.C.

§1841etseq.,ortheHomeOwners'LoanAct,asamended,12U.S.C.§

1461etseq.;provided,however,thatthissectionshallnotbeconstruedtopreventtheuseoftheword"bank,"oranyvariationthereof,inacontextclearlynotpurportingtorefertoabankingbusinessorotherwiselikelytomisleadthepublicaboutthenatureofthebusinessofthecorporationortoleadtoapatternandpracticeofabusethatmightcauseharmtotheinterestsofthepublicortheStateasdeterminedbytheDivisionofCorporationsintheDepartmentofState;

（1）公司名称。

会）,"union"（联合会）,"syndicate"（财团，辛迪加）,"limited"（有限）等字样或者书写形式，标点符号可以使用，也可以不使用；也可以包含国外或者其他辖区使用的含义相似的字样（但必须用罗马数字或者字母书写）或者缩写形式，标点符号可以使用，也可以不使用。

（2）Theaddress（whichshallincludethestreet,number,cityandcounty）ofthecorporation'sregisteredofficeinthisState,andthenameofitsregisteredagentatsuchaddress;

（3）Thenatureofthebusinessorpurposestobeconductedorpromoted.Itshallbesufficienttostate,eitheraloneorwithotherbusinessesorpurposes,thatthepurposeofthecorporationistoengage

inanylawfulactoractivityforwhichcorporationsmaybeorganizedundertheGeneralCorporationLawofDelaware,andbysuchstatementalllawfulactsandactivitiesshallbewithinthepurposesofthecorporation,exceptforexpresslimitations,ifany;

（4）Ifthecorporationistobeauthorizedtoissueonly1classofstock,thetotalnumberofsharesofstockwhichthecorporationshallhaveauthoritytoissueandtheparvalueofeachofsuchshares,orastatementthatallsuchsharesaretobewithoutparvalue.Ifthecorporationistobeauthorizedtoissuemorethan1classofstock,thecertificateofincorporationshallsetforththetotalnumberofsharesofallclassesofstockwhichthecorporationshallhaveauthoritytoissueandthenumberofsharesofeachclassandshallspecifyeachclassthesharesofwhicharetobewithoutparvalueandeachclassthesharesofwhicharetohaveparvalueandtheparvalueofthesharesofeachsuchclass.Thecertificateofincorporationshallalsosetforthastatementofthedesignationsandthepowers,preferencesandrights,andthequalifications,limitationsorrestrictionsthereof,whicharepermittedby§151ofthistitleinrespectofanyclassorclassesofstockoranyseriesofanyclassofstockofthecorporationandthefixingofwhichbythecertificateofincorporationisdesired,andanexpressgrantofsuchauthorityasitmaythenbedesiredtograntto
