第五条设计费用及支付方法
Article5.Designfeeandthemodeofpayment:
5.1甲方应支付本合同项目的设计费为。
（含所有乙方应缴纳的税费及其它政府规定应由乙方缴纳的款项）
5.1PartyAshallpaythedesignfeeofRMByuanforthisprojecttoPartyB（this

第六条双方责任
Article6.Responsibilitiesofbothparties:
6.1甲方责任
6.1ResponsibilitiesofPartyA:
6.1.1甲方按本合同第三条规定的内容，在规定的时间内向乙
方提交资料及文件，并对其完整性、正确性及时限负责。
甲方提交上述资料及文件超过规定期限15天以内，乙方按
本合同第四条规定交付设计文件时间顺延；超过规定期限15
天以上时，乙方有权重新确定提交设计文件的时间。
6.1.1AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmitmaterialsanddocumentstoPartyBwithinthestipulatedtimeasdescribedandshallberesponsibleforthecompleteness,correctnessandvalidityofsuchmaterialsanddocuments.IntheeventthatPartyAhasdelayedtheissuanceofsuchmaterialsanddocuments,butnotexceeding15daysfromthestipulatedtime,PartyBcouldconsequentlypostponethesubmittalofthedesigndocumentsasstipulatedinArticle4ofthisContract.IncasethatPartyAhasdelayedtheissuanceofmaterialsanddocumentsformorethan15daysexceedingthestipulatedtimelimit,PartyBshallhavetherighttodeterminethenewdateforsubmittingthedesigndocuments.
6.1.2甲方变更委托设计项目、规模、条件，或对提交资料作重
大修改，以致造成乙方设计需返工时，双方除需另行协商签
订补充合同、重新明确有关条款外，甲方应按乙方所耗工作
量向乙方支付返工费。
6.1.2IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhave
already
entrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteor
PartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,
asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgenerated
un-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawup
asupplementarycontract.PartyAshallcompensatePartyBfortheadditionalwork
loadinaccordancetothenewagreement.
6.1.3在合同履行期间，甲方单方提出解除合同的，乙方已开始设
计工作的，甲方应根据乙方已进行的实际工作量支付设计费。
6.1.3ShouldPartyAterminatetheContractduringthecontractualperiod,PartyAshall
payPartyBaccordingtotheactualworkdone.
6.1.4甲方在收到乙方付款通知书后30天内，按本合同第五条规
定的金额和时间向乙方支付设计费用；在收到付款通知书的
60天仍未支付，每逾期支付一天，应承担应支付金额千分
之一的逾期违约金。
逾期超过30天以上时，乙方有权暂停
履行下阶段工作，并书面通知甲方。
甲方上级对设计文件不
审批或本合同项目停缓建，甲方均应支付应付的设计费。
6.1.4.PartyAshallpaythedesignfeetoPartyBwithinThirty（30）daysuponreceiving
theNoticeofPaymentfromPartyAaccordingtotheamountandthetimestipulatedin
Article5.IncasethatsuchpaymentisdelayedforSixty（60）daysuponreceivingthe
NoticeofPayment,thenapenaltyof0.1%ofthedueamountofpaymentonadaily
basisshallbepaidbyPartyA.Incasethatsuchpaymentisdelayedforaperiodover30
days,PartyBshallhavetherighttosuspendtheirdesignworkforthenextphaseand
shallinformPartyAinwriting.IncasethatthemanagementofPartyAdoesnot
approvethedesigndocumentsortheconstructionoftheprojectofthisContractis
stoppedor..postponed,PartyAshallneverthelesspaytheduedesignfee.
6.1.5甲方要求乙方比合同规定时间提前提交设计文件时，甲方
应支付赶工费。
6.1.5IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtime
asmentionedintheContract,PartyAshallmakeadditionalpaymentforfastand
immediateservice.
6.1.6为乙方派往现场的工作人员提供工作方便条件。
6.1.6PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’s
personnelwhoarebeingsenttoworksiteduringtheconstructionstage.
6.1.7甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方
交付的设计文件不得复制或向第三方转让或用于本合同外
的项目，如发生以上情况，乙方有权索赔。
6.1.7PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,
PartyAshallnotduplicateoftransfertoathirdpartyorusethedesigndocumentsfor
otherprojects.Iftheabove-mentionedishappened,PartyBshallhavetherighttoclaim.
6.2乙方责任：
6.2ResponsibilitiesofPartyB:
6.2.1乙方按本合同第四条规定的内容、时间及份数向甲方交付设
计文件。
6.2.1PartyBshallsubmittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4.
6.2.2乙方对设计文件出现的遗漏或错误应在施工前负责修改或
补充。
由于乙方设计错误造成工程质量事故损失，乙方除负
责采取补救措施外，应免收损失部分的设计费，并根据损失
程度向甲方偿付赔偿金，赔偿金额根据乙方与保险公司签订
的设计责任保险合同计算。
6.2.2PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedial
measures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbedeterminedbypartyBandhisinsurancecompanyandtobein
accordancetotheprofessionalindemnityinsurancecoverage.
6.2.3由于乙方自身原因,延误了按本合同第四条规定的设计文件
交付时间,每延误一天,应减收该项目应收设计费的千分之一。
6.2.3IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocuments
accordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct0.1%of
thedueamountofthedesignfeeonadailybasisforthe
