第一条　合作双方

为搞活经济，充分发挥各自优势，盘活甲方的土地资源、回笼资金、配合太原市规划、设计、改造，在自愿、平等、互利的基础上，甲乙双方经充分协商，现就合作在甲方现有土地上建设商住综合楼宇事宜，达成如下协议，供双方共同遵守执行。

Toliveneconomy,givefullplaytotheirrespectiveadvantages,utilizingalandresource,thewithdrawalfromcirculationoffunds,withtheTaiyuanmunicipalplanning,design,transformation,inthevoluntary,equality,mutualbenefitonthebasisoffullconsultation,theparties,thecooperationinthePartyofexistinglandconstructionofresidentialandcommercialcomplexbuildingmatters,reachedthefollowingagreement,forbothsidescomplywith.

第二条　甲乙双方在实施本项目开发经营活动中，必须严格遵守中华人民共和国法律政策规定，按国家有关法律政策办事。

Articlesecondthepartiesintheimplementationoftheprojectdevelopmentandmanagementactivities,muststrictlyabidebythepeople'sRepublicofChinalawsandpolicies,inaccordancewiththerelevantnationallawsandpolicies.

第三条　合作项目基本情况

3.3contentsofproject:

theprojectconstructionplanningforthe　　　　　storeyresidentialbuilding,usefixednumberofyear40~70years,thevolumeof　　　　　,buildingdensity　　　　　,　　　　　rateofgreen.Thegroundalongthe　　　　　layerisafoundation,usethenatureofcommercialpavement,constructionareaof　　　　　squaremeters,　　　　　layerintothemainbuilding,theuseofthenatureofhousing,everyfloorareais　　　　　squaremeters,theprojecttotalconstructionareaof　　　　　squaremeters,ofwhichcommercialshop　　　　　squaremeters,　　　　　squaremetresofresidential,bottomgarage　　　　　squaremeters（specifictotheplanningdepartmentapprovaldocumentshallprevail）.

3.4项目建设还包括与项目配套的停车场、公共道路、消防、绿化等配套设施。

The3.4projectalsoincludesandprojectssupportingtheparking,publicroads,fireprotection,greeningandotherfacilities.

第四条　合作期限：

自签约之日起至本项目工程建设或销售完毕时为止（两者以先到日期为准）。

第五条　合作期间甲方的责任：

FifthcooperationduringtheobligationsofPartya:

5.1提供建设项目的土地使用权，面积　　　　　平方米，并向有关部门办理建设用地批准书及用地规划许可证。

5.2负责办理项目的立项、规划、设计、报建、施工许可、确权及建筑施工用临时占道、用水、用电等手续。

5.2isresponsiblefortheproject,planning,design,construction,constructionpermits,confirmationandconstructiontemporaryoccupation,water,electricityandotherprocedures.

5.3负责办理项目地段上现有建筑物的拆迁手续，负责建筑物内现有办公场所、住户搬迁、安置工作及其费用。

5.3isresponsiblefortheprojectonlotsofexistingbuildingsdemolitionprocedures,responsibleforthebuildingswithintheexistingofficespace,householdrelocation,resettlementanditscost.

5.4负责办理项目建设过程中所需要的其他一切手续及负责处理与社会、政府各部门的关系。

5.4isresponsiblefortheprojectconstructionprocessneededforallotherproceduresandisresponsiblefordealingwithsociety,governmentdepartments.

5.5负责办理乙方分得楼宇面积的房产证，费用由乙方承担。

5.5responsibleforPartyBsharethebuildingareaofthehousepropertycertificate,PartyBshallbearthecost.

5.6承担项目土地须补交的历史遗留问题及相关费用。

5.6beartheprojectlandtobepaidfortheproblemsleftoverbyhistoryandrelatedcosts.

第六条　合作期间乙方的责任：

SixthcooperationduringPartyB'sliability:

6.1一负责项目工程建设所需资金的投资，包括项目设计、建筑安装、装修、水电安装以及项目配套设施建设所需费用的投资。

The6.1oneisresponsibleforprojectconstructionneedscapitalinvestment,includingprojectdesign,constructionandinstallation,decoration,installationofwaterandelectricityandinfrastructureconstructionprojectsforinvestment.

6.2负责对项目地段上现有建筑物进行拆除，费用由甲方负责。

6.2inchargeofprojectareaonexistingbuildingsweredemolished,costsincurredbyPartyAisresponsiblefor.

6.3负责安排合法的施工单位对项目工程的建筑、安装、装修。

具体装修标准为：

室内一般抹灰，无砌隔墙，室外按设计图纸施工。

6.3isresponsibleforthearrangementoflegalconstructionunitoftheprojectconstruction,installation,decoration.Specificdecorationstandards:

indoorplastering,nomasonrywall,outdooraccordingtodesigndrawingsandconstruction.

6.4负责对项目设计图纸的审定。

6.4responsiblefortheprojectdesigndrawings.

6.5负责项目营销总策划工作，并以投资商之名义出现在各媒体上。

6.5inchargeofprojecttotalmarketingplanningwork,andtotheinvestorsinthenameappearsinthemedia.

6.6负责承担项目广告设计、媒体发包费用。

6.6responsiblefortheproject,thecostofthemediaadvertisingdesign.

6.7负责执行工程建设现场、售楼处业务操作，承担售楼处日常电话通话费用及相关日常管理费用。

6.7isresponsibleforimplementingtheprojectconstructionsiteoperations,salesoffices,salesofficesdailyphonecallstobeartheexpensesandrelateddailymanagementcost.

6.8负责售楼业务人员薪资及奖金、售楼处现场办公费用（纸、笔、计算器、笔记本等杂费开支）。

6.8beresponsibleforsalesstaffsalariesandbonuses,on-sitesalesofficesofficeexpenses（paper,pens,calculators,notebooksandotherincidentalexpenses）.

6.9利用各种形式开展多渠道销售活动。

6.9usingavarietyofformstocarryoutmulti-channelsalesactivities.

第七条　资金投入的时间及投资总额

Articlesevenththetimeandthetotalamountofinvestmentcapitalinvestment：

7.1甲方项目土地成本折合人民币万元。

7.2乙方视项目建设进度实际需要分期分批投放项目建设资金。

乙方对该项目投入的建设费用及销售费用合计人民币约万元。

7.2PartyBastheprojectconstructionschedulerealneedinstallmentontheprojectconstructionfunds.Ontheprojectinvestmentconstructioncostsandsalestotalcostaboutmillionyuanrmb.

7.3政府部门批准本项目建设时，由甲乙双方共同对整个项目建设、销售所需资金进行预算。

项目建设完成，再由甲乙双方在预算基础上共同对项目建设、销售的全部费用进行结算确认。

甲乙双方确认的结算费用即为乙方投资总额。

第八条　利益分配：

甲乙双方可以选择以下　　　　　方案进行利益分配。

8.1甲乙双方可以依照以下方案进行利益分配：

8.1.1本项目建设期间，从取得预售销售许可证后，开始计算回笼资金，由甲方和乙方按土地款和项目建安成本的18∶82进行销售收入分配，即甲方占18%，乙方占82%。

直至项目总成本收回止。

（各自分配的销售收入的税费各自承担）

The8.1.1duringtheconstructionoftheproject,fromthepre-salepermitsales,begantocountthewithdrawalfromcirculationoffunds,byPartyAandPartyBaccordingtotheland,andtheprojectcost18to82salesincomedistribution,i.e.PartyA18%,B82%.Untilthetotalprojectcosttorecoverthedead.（assignedsalesincometaxeseachbear）

8.1.2本项目建设期间，甲方和乙方的土地款及项目建安成本收回后，由甲方和乙方按双方投资比例为18∶82进行销售收入毛利润分配，即甲方占18%，乙方占82%。

（各自分配的销售收入的税费各自承担）

8.1.3本项目建成后，由甲方和乙方按双方投资比例为18∶82进行未销售楼宇分配，即甲方占18%，乙方占82%。

The8.1.3afterthecompletionoftheproject,byPartyAandPartyBaccordingtotheinvestmentratioof18:

82arenotsalesbuildingdistribution,i.e.PartyA18%,B82%.

8.1.4对乙方分配得到的楼宇，甲方应在楼宇竣工后一年内为乙方办妥楼宇的过户登记手续，为乙方办理房屋产权证，所需相关费用由乙方承担。

8.1.4Bdistributionbuilding,thepartyinthebuildingafterthecompletionofoneyearforBcompletedthebuildingregistration,housingownershipcertificatestoPartyB,PartyBshallbearthecostoftherequired.

8.1.5任何一方如要对其分享的楼宇对外销售，所需销售费用（包括销售税费）全部由各自承担，销售收入全部归各方所有

8.1.5ifeitherPartyAorpartytosharethebuildingexternalsales,sellingexpensesrequired（includingsalestax）allfromtheircommitment,salesrevenuealltoall.

8.2由乙方对项目实行利润包干即该项目总利润为人民币　　　　　万元，甲方应得利润人民币　　　　　万元。

乙方分期分批支付甲方土地款人民币　　　　　万元及利润款人民币　　　　　万元，具体时间及金额如下：

第九条　本项目立项后，甲方未经乙方同意不得收取任何房款，也不得将此基地变相抵押他人。

Ninthofthisproject,PartyAwithoutPartyBagreesnottochargeanypayment,norwillthebasedisguisedmortgageothers.

第十条　账户管理：

本项目以乙方名义在贷款行设立专款资金账户，由甲乙双方共同管理。

Thetenthaccountmanagement:

theprojecttoPartyBinthenameofthebankloanstosetupfundsaccount,consistsoftwocommonmanagement.

第十一条　项目建设工期：

Theeleventhprojectinconstructionperiod:
