根据《中华人民共和国劳动法》和其他有关法律、法规，甲乙双方（以下简称“双方”）在平等、自愿及相互协商之基础上签订本合同，并共同遵守本合同所列条款。

第一章 合同期限

ChapterOneTermofContract

1.1 合同有效期TermofContract

双方同意本合同的期限为：

自 年月日开始至年月日止，每年在合同期满30天前确定合同续签事宜。

1.2 试用期ProbationPeriod

1.2.1 双方约定，根据中华人民共和国劳动合同法，本合同生效后从年月日起至年月日止，为试用期。

1.2.2 在试用期内，如果公司认为乙方不符合录用条件，或乙方不愿意在本公司工作，双方均可书面通知对方随时解除本合同；在此情况下，乙方须按公司的有关规定，办理工作交接手续。

Duringtheprobationperiod,shouldthecompanydeemthatPartyBfailstomeetitsrecruitmentstandards,orshouldPartyBbecomeunwillingtoworkforthecompany,bothPartiescanterminatethisContractbyissuingawrittennoticetotheotherParty.Undersuchcircumstances,PartyBshallgothroughahandingoverprocedureasrequiredbythecompany.

第二章 工作内容

ChapterTwoScopeofWork

2.1工作岗位或职位JobPositionorTitle

订立本合同时，乙方的工作岗位（或职位）为；在本合同有效期内，公司可根据本单位生产、经营或工作上的需要或乙方的工作能力、业绩，变更乙方的上述岗位（或职位），包括但不限于对乙方工作内容或工作地点的改变、升职、平级调职、降职等。

UponthesigningofthisContract,PartyB’sjobposition（ortitle）shallbe______________.DuringthetermofthisContract,onthebasisofitsproductionandbusinessoperationaswellasPartyB’sperformanceandcapability,thecompanymaymakechangesintheabovejobposition（ortitle）ofPartyB,includingbutnotlimitedtochangesinthescopeandvenueofwork,promotion,demotionorswitchtoanotherpositionofthesamelevel.

2.2 工作任务JobResponsibility

乙方同意公司在本合同期限内，根据需要安排乙方的工作任务；乙方必须按照所从事的岗位（或职位）的工作职责及相关要求，完成规定的数量、质量指标或工作任务。

PartyBagreesthatduringthetermofthisContract,thecompanyhastherighttospecifyPartyB’sjobresponsibilityaccordingtothecompany’sneeds.PartyBshallperformthedutyandmeetthequantityandqualitystandardsasrequiredbyitsposition（ortitle）.

2.3 乙方义务PartyB’sObligations

乙方同意在本合同期限内，遵守以下条款：

2.3.1 在规定的工作时间内，将全部精力、能力和技术，仅用于履行本合同规定之义务上，除确保自身的工作达到公司为其规定的岗位职责标准外，还应完成公司为其安排的本岗位工作以外的临时工作，尽最大努力协助公司达到或超过预期的商业目的；

Devoteallitsenergy,capabilityandtechniqueduringworkinghourstofulfillobligationsstipulatedinthisContract.Apartfromensuringthatitsworkmeetsthestandardssetbythecompany,PartyBshallcompleteextratemporarytasksassignedtoitbyThecompanyandexertitsutmosttomeetorexceedthecompany’sbusinessgoals.

2.3.2 遵守本合同的条款、有关法律法规和公司的各项规章制度及劳动纪律，服从公司的安排和决定，不从事损害公司利益的活动，不利用在公司单位的地位和职权直接或间接地为自己或他人谋取私利；

ComplywithprovisionsofthisContract,relevantlawsandregulationsaswellasrules,regulationsandlabordisciplinesofthecompany.Obeythecompany’sarrangementsanddecisions.Donotengageinactivitiesthatmayunderminethecompany’sinterests.Donotseekbenefitforitselforathirdparty,directlyorindirectly,bymakinguseofitsjobpositionorpowerinthecompany.

2.3.3 在本合同期限内，乙方不得直接或间接地从事任何与公司正在从事或将要从事的经营活动类似的商业竞争活动，包括但不限于受雇于与公司竞争的公司，从事竞争性的咨询或其他商业活动；

DuringthetermofthisContract,PartyBshallnotdirectlyorindirectlyengageinbusinessactivitiesthatmayposecompetitiontothecompany’sexistingorfuturebusiness,includingbutnotlimitedtobeingemployedbyacompetitorofthecompanyorengagingincompetitiveconsultationorotherbusinessactivities.

第三章工作条件和劳动保护

ChapterThreeWorkingConditionsandLaborProtection

3.1 公司义务thecompany’sObligations

3.1.1公司同意在本合同期间内，依据有关法律法规，为乙方提供必要的工作环境和工作条件，保证乙方在安全、健康的环境中工作；同时积极配合乙方的工作，为其完成本合同规定之义务、遵守本合同和公司的内部规章制度提供相应的条件。

ThecompanyagreestoprovidePartyBwithworkingenvironmentandconditionsinaccordancewithrelevantlawsandregulationsduringthetermofthisContracttoensurePartyBasafeandhealthyworkingenvironment.Atthesametime,thecompanyshallactivelysupportPartyB’sworkandprovideafavorableconditionforPartyBtofulfillitsobligationsunderthisContractandcomplywiththisContractandotherinternalrulesandregulationsofthecompany.

公司应根据工作需要为乙方提供必需的劳动保护用品。

若乙方所从事的工作存在职业病危害，则该职业病危害及其后果、职业病防护措施和待遇等均在公司劳动保护管理办法或其他相关内部文件中规定，乙方可查阅。

无论乙方是否查阅，本合同签订后，均可视为公司履行了告之义务。

ThecompanyshallprovidePartyBwithnecessaryoccupationalprotectionmaterials.IfPartyBwillbeendangeredbyvocationaldiseasesbecauseofitswork,thecompanyshallincludethedamageandeffectofsuchvocationaldiseases,preventativemeasuresandtreatmentinitslaborprotectionmeasuresandotherinternalregulationsforPartyBtocheckandreferto.NomatterwhetherPartyBhasactuallycheckedornot,uponthesigningofthisContract,itisdeemedthathasinformedPartyB.

3.2 乙方权利PartyB’sRights

乙方有权在国家规定的安全和卫生标准条件下从事劳动，有权拒绝从事公司违反国家法律强迫其执行的对个人身体有危险的任务，有权拒绝公司的违章指挥。

PartyBhastherighttoworkinaconditionthatmeetsstatesafetyandhygienestandards.Ithastherighttorefusedangeroustasksforcedonitillegallybythecompany.Ithastherighttorefuseillegalinstructionsofthecompany.

第四章工作时间

ChapterFourWorkingHours

4.1 工时制HourSystem

乙方的工作时间按国家的法律法规和公司规章制度中的具体规定执行。

若乙方的工作岗位（或职位）属于执行不定时工作制或综合计算工时制的岗位，则应按相应的工时制度规定执行，否则，应按标准工时制度执行。

WorkinghoursofPartyBaredeterminedaccordingtostatelawsandregulationsaswellasrulesandregulationsofthecompany.PartyBshallworkstandardhoursunlessitsjobposition（ortitle）requiresflexibleworkinghourorcomprehensiveworkinghourcalculation.

4.2 加班Overtime

4.2.1 因工作需要，公司可以安排乙方延长工作时间，包括安排乙方在节假日加班，但加班加点时间不得超过国家规定的最高限额，同时公司须依照国家规定及公司有关制度为乙方安排同等时间的补休或依法支付加班费。

Ifnecessary,thecompanycanextendtheworkinghoursofPartyB,includingovertimeduringholidays.However,themaximumovertimeshallnotexceedwhatisstipulatedbythegovernment.PartyBshallbecompensatedwithsimilarhoursofrestorappropriateovertimepaymentaccordingtostaterulesandotherregulationsofthecompany.

乙方如未经公司要求或批准而自行延长工作时间，公司有权对乙方所延长的工作时间不支付任何加班报酬。

IfPartyBworksovertimewithoutthecompany’srequestorapproval,thecompanyhastherighttorefuseanyovertimecompensationtoPartyBforitsovertime.

第五章劳动报酬和福利

ChapterFiveRemunerationandWelfare

5.1 劳动报酬Remuneration

5.1.1在本合同期间内，公司应按月以货币、银行转帐或公司认为适当的其他形式向乙方支付工资。

DuringthetermofthisContract,thecompanyshallpayamonthlysalarytoPartyBincash,throughbanktransferorbyothermeansdeemedappropriatebythecompany.

5.1.2公司根据乙方签订本合同时的工作岗位（或职位）确定乙方的工资。

试用期间工资：

，基础工资为,基本工资包含所有国家规定的生活补助和津贴，另外还包含按国家规定个人应缴纳的住房公积金和各类社会福利保险基金。

奖金为，奖金按公司相关制度执行。

PartyB’ssalaryisdecidedbythecompanybasedonitsjobposition（ortitle）uponsigningthiscontract.PartyB’ssalaryduringprobationperiodis_____________________.PartyB’sbasicsalaryis_____________________，whichincludesallallowancesaccordingtothestateregulationandhousingfundsandallsocialinsuranceregulatedbystate.PartyB’sbonusis_____________________andbonusshallbegivenaccordingtorelevantregulationsinrelationtoPartyB’sperformancereviews

在本合同期内，公司可根据乙方工作岗位或职位的变化（也包括虽然岗位或职位不变但工作内容、职责或范围改变的情形）或乙方的工作表现，或者公司有关工资或职务调整方面的制度或政策规定，对上述乙方的工资数额做相应的调整和变化。

DuringthetermofthisContract,thecompanymayadjustorchangePartyB’ssalaryinlightofthechangeinPartyB’sjobpositionortitle（includingcasesinwhichthescopeofworkorjobresponsibilityischangedwhilethejobtitleorpositionremainsunchanged）,oraccordingtoPartyB’sperformanceandthecompany’sadjustmentofitssalaryorjobpositionpoliciesandregulations.

5.1.3 乙方同意公司从乙方的工资中扣减或扣除下列费用或款项：

PartyBallowsthecompanytodeductthefollowingmoneyorfeefromitssalary:

（a）乙方从公司取得的个人收入之个人所得税；Incometaxonitsincomepaidbythecompany;

（b）公司根据国家规定为乙方缴纳社会保险、福利之个人应付部分；ThepartofsocialinsuranceandotherwelfarefundsthatshouldbepaidbyPartyBinaccordancewithstatelaw.

（c）所有要求公司代扣的法院判决和仲裁裁决乙方应付的赔偿或罚款；Othercompensationorfinetobededucedbythecompanyaccordingtocourtrulingorarbitration.

（d）所有根据本合同条款或有关法庭判决或仲裁裁决应由乙方支付给公司的罚款或赔偿。

OtherfineorcompensationtobepaidtothepartybyPartyBaccordingtoprovisionsofthisContractorothercourtrulingsorarbitrations.

5.1.4乙方患病或非因工负伤的医疗待遇按国家、上海市有关规定执行。

公司按上海市最低工资的80%支付乙方病假工资。

MedicaltreatmentforPartyBduringitssicknessornon-workingrelatedinjuriesisbasedonrelevantregulationsofthestateandShanghaiMunicipality.PartyB’ssalaryduringsickleaveis80%ofminimumemployeesalaryofShanghaiMunicipality.

5.1.5乙方患职业病或因工负伤的待遇按国家和上海市的有关规定执行。

BenefitofPartyBwhenitsuffersvocationaldiseaseorworking-relatedinjuriesshallbepaidbythecompanyaccordingtorele
