I.Sales&purchaseoftheproperty
PartyAagreestosellthepropertytoPartyB.ThepropertyisqualifiedforsaleinthemarketinaccordancewiththeregulationofBeijingMunicipalConstructionCommittee.Togetherwiththesalesoftheproperty,theallocatedlandareaforthepropertyandtheusabletermofthelandistransferredtoPartyBjointly.Thepropertyisdescribedas:

II.Salespriceandtermsofpayment
1.SalesPrice
PartyAandPartyBagreethatthesalespriceofthepropertybe(CAD______);

2.TermsofPayment
PartyBshallmakethepaymentinaccordancewithasfollow:
A.Cash
UponsigningofthisAgreement,PartyBshallpay10%oftheprice(________)asthedeposit.Thispaymentshallbemadeinaccordancewith______asfollow:
a.PaidtoPartyAinfullandPartyAshallissueaninvoice;
b.DepositedtemporarilyThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneed
PartyAandPartyBherebyagreethat,fortheafore-saidmethod(b),oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthesalesprice.
B.Mortgage
a.UponsigningofthisAgreement,PartyBshallpayofthepriceasthedeposit,whichwillbepartofthedownpayment.
b.WithindaysaftersigningofthisAgreement,PartyBshallmakeuptherestpartofthedownpayment(thedownpaymentshallbenolessthanofthepriceinaccordancewithmortgagebank’srequirement).
Throughthenegotiation,PartyBagreestomaketheafore-saidpaymentinwayasfollow:
a.PaidinfullamounttoPartyAandPartyAshallissueaninvoice;
b.DepositedtemporarilyintotheescrowaccountThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithRegion.
PartyAandPartyBherebyagreethat,fortheafore-saidmethod(b),oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthedownpayment.
IfPartyBmakestheremainingpaymentwithbankmortgage,PartyBshallsignaseparateEntrustedPaymentAuthorizationwithCentury21BeijingRegionforitsmortgageservices.
a.IfPartyBsatisfiesthecriteriaofgettingthemortgageloanthroughtheexaminationofthelendingbank,thelendingbankshallremittheloaninlumpsumtothespecialsettlementaccountopenedbyPartyAatthebankinaccordancewiththeEntrustedPaymentAuthorization.
b.IncasePartyBdoesnotsatisfythecriteriaofgettingtheloanthroughtheexaminationofthelendingbank,PartyBwillchoosethefollowingmethodsasthesolution:
i)Withindaysafterthebankdecidesnottoprovidetheloan,PartyBshallraisetheremainingpaymentbyhimselfandpayincashtoPartyA.PartyBshallbearalltheexpensesoccurredduringthisperiod;
ii)TerminatethisAgreement,andPartyAandPartyBshallrefundthemoneywhichhavebeenpaidtoeachother.PartyBshallbearalltheexpensesoccurredduringthisperiod.
3.Taxesandfees
A.PartyAandPartyBshallpayallthetaxesandfeesrespectivelyinaccordancewithrelevantregulationsofthestateandlocalgovernments.shallassistPartyAandPartyBtocalculaterelevanttaxesandfees.Throughnegotiation,PartyAandPartyBagreetobearthetaxesandfeesasfollows:
Foranytaxesorfeesunspecified,unclear,orchangedwiththepolicy,PartyAandPartyBshallreachaconsensusdaysbeforethetitletransfer,orPartyAandPartyBshallmakethepaymentinaccordancewiththegovernmentregulation.
Feesincludingbutnotlimitedtopropertymanagementfee,utilityfeesforwater,electricity,gas,telephoneandothersbeforethehandoverofthepropertyisconcludedshallbebornbyPartyA.AndthefeesaftershallbebornbyPartyB.
B.PartyAandPartyBmayentrusttopaytheaforesaidtaxesandfeesandshalltransferthepaymentproof,receiptsandinvoicesissuedbyrelevantgovernmenttothepartiesthatmakethepayment.
III.Commissionandtermsofpayment
Theafore-saidcommissionshallnoberefundedbytoanypartyshallthisagreementfailtobeperformedduetodefaultofeitherPartyAorPartyBoncethisAgreementisenteredbythethreeparties.
IV.Titletransferagencyservices
PartyAandPartyBshallpreparethecertificatesandmaterialsfortitletransferandshallprovidechargeabletitletransferservicesforPartyAandPartyBwithfees.
V.Handoveroftheproperty
1.PartyAandPartyBagreethatPartyAshallvacatethepropertdaysbeforethetitletransfer.shallassistPartyAandPartyBwiththehandoveroftheproperty.IncasePartyAandPartyBagreetoconducthandoverofthepropertyafterthetitletransfer,PartyAshallpayadepositintheamountandthisamountwillberefundedtoPartyBafterthehandoverofthepropertyiscompleted.
2.PartyAshallpromisetocompensatePartyBforthedamagetoorthedismantlingofthedecorationsandaccessoriescoveredbyAppendixIoftheagreementfromthesigningoftheagreementtothehandoverofthepropertyinaccordancewiththeevaluationofthedamagedordismantleddecorationsandaccessories.
3.PartyAshallbearthepropertymanagementfeeandotherrelevantfeesbeforethehandoverofthepropertyandtheaforesaidfeesshallbepaidbyPartyBafterthehandoveroftheproperty.
4.PartyAandPartyBagreetoconductthetitletransferdaysaftersigningofthisAgreementtakingtitlecertificateandrelevantmaterial.willinformthespecificdate.Partyshallpaythetaxesandfeesfortitletransferinaccordancewiththegovernmentregulations.
VI.RightsandobligationsofPartyA
1.RightsofPartyA
A.PartyAshallhavetherighttocheckPartyB’sidentification.
B.PartyAshallhavetherighttogetdepositandpropertysalespriceasstipulatedintheAgreement.
C.PartyAshallhavetherightoflawsuituponPartyB’sbreachtothisAgreement.
2.DutiesofPartyA
A.PartyAshallprovidePartyBwithtrue,completedandvalidinformationabouttheproperty;
B.PartyAshalldisclosetoPartyBtherealfactsabouttheproperty,includingbutnotlimitedtotherental,collateral,leakageandotherdefectoftheproperty;
C.PartyAshallchangeitsresidenceaddressatthepropertydaysaftertitletransfer;
D.PartyAshallcooperatewithPartyBfortitletransferinatimelymanner;
E.PartyAshallguaranteeallthefacilitiesandaccessoriesofthepropertydescribedinAppendixIareingoodconditionuponthehandoveroftheproperty;
F.PartyAshallpayoffallthefeesrelatedwiththepropertybeforethehandoveroftheproperty.
VII.RightsandobligationsofPartyB
1.RightsofPartyB
A.PartyBshallhavetherighttocheckallthematerial,contractsandcertificateabouttheproperty;
B.PartyBshallhavetherighttoinspecttheproperty;
C.PartyBshallhavetherighttobeinformedofthefactsabouttheproperty;
D.PartyBshallhavetherightoflawsuituponPartyA’sbreachtothisAgreement.
2.ObligationsofPartyB
A.PartyBshallpaythedepositandsalespriceinaccordancewiththestipulationofthisAgreement;
B.PartyBshallcooperatewithPartyAfortitletransferinatimelymanner;
C.PartyBshallprovidetrue,completedandvalididentificationmaterial.
VIII.RightsandobligationsofPartyC
1.PartyCshallprovideagencyservicesforPartyAandPartyBforsigningthisAgreement,providingthesigningplace,andbearingtestimonyofsigningthisAgreement;
2.PartyCshallprovidePartyAandPartyBrelatedmaterial,updatethemthetransactionprocessandassistthemwithpropertyhandover.
IX.BreachoftheAgreementbyPartyA
1.PartyAshallrefunddoubleddeposittoPartyBincasethetitleofthepropertyfailstobetransferredorthepropertyfailstobehandedoverduetothefalse,uncompletedorinvalidcertificates,contractsormaterialinrelationwiththepropertyprovidedbyPartyA;
2.IncasePartyAfailstohandovertheaforesaidpropertytoPartyBwithintheperiodstipulatedintheagreement,PartyAandPartyBagreetoadoptofthefollowingsolutions:
A.PartyAshallpayPartyofthecollectedpaymentpardayasthedefaultfineandtheagreementshallcontinuetobeeffective.
B.IncasethelengthofoverdueperiodexceedsdaysandPartyAhasnothandedoverthepropertyortransfe
