TRADEMARKLICENSINGCONTRACT

美国_**************.__（以下简称“接受方”）为一方，中国********公司（以下简称“许可方”）为另一方：
鉴于许可方拥有一定价值并经注册的商标；
鉴于接受方希望在制造、出售、分销产品时使用这一商标；
双方授权代表通过友好协商，同意就以下条款签订本合同。
ThisContractismadebetweenCompany***********************inUSA（hereinafterreferredtoas“Licensee”and***************************inChina,（hereinafterreferredtoas“Licensor”.WhereasLicensorownscertainvaluableregisteredtrademarks;WhereasLicenseehopetoutilizethetrademarksuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProducts;Bothpartiesauthorizedrepresentatives,throughfriendlynegotiation,agreetoenterintothisContractunderthetermsasstipulatedbelow.
第一条定义 Section1Definitions
1.1“注册商标”---是指本合同附件一所指的在美国专利商标局注册登记的商标，该注册商标的编号为_________。
“RegisteredTrademarks”meansthetrademarkswhichhavebeendescribedinAppendix1totheContractandhavebeenregisteredbyUnitedStatesPatentandTrademarkOfficeinClass****.Theregistrationnumberis******&**************.
1.2“许可方”是指中国************公司，或者该公司的法人代表、代理和财产继承者。
“Licensor”means__***************inChina,orthelegalrepresentative,oragencyorthepropertysuccessoroftheCompany.
1.3“接受方”是指美国******************_公司，或者该公司的法人代表、代理和财产继承者。
“Licensee”means_*****************InUSA,orthelegalrepresentative,oragencyorthepropertysuccessoroftheCorporation.
1.4“合同产品”是指合同附件二所列的产品。
“TheContractProduct”meanstheproductsstipulatedinAppendix2totheContract.
1.5“合同生效日”是指本合同双方签字日。
“TheDateofEffectivenessoftheContract”meansthedateofsigningthisContractbybothparties.
第二条合同范围 Section2ScopeoftheContract
2.1根据以下条款的规定，接受方同意从许可方取得，许可方同意向接受方授予单独使用附件一所指的注册商标的许可权利，且只在制造和出售、分销合同产品时使用。
合同产品的名称参数详见本合同附件二。
这种权利是独占性的，是不可转让的权利。
许可方同意在合同的有效期内不在合同有效区域内再授予别人销售合同产品时使用这一商标。
Uponthetermsandconditionshereinaftersetforth,LicenseeagreetoobtainfromLicensor,andLicensoragreetograntLicenseetherighttoutilizetheRegisteredTrademarkssolelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProducts.ThenamesoftheContractProductsaredetailedinAppendix2totheContract.Thelicenseandrightareexclusiveanduntransferable.LicensoragreesthatduringthevalidityofthisContract,itwillnotauthorizeathirdpartytoutilizetheRegisteredTrademarksuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProductsinthesameareaspecifiedinthisContract.
2.2许可只在美国有效。
接受方同意不在其他地区直接或间接使用或授权他人使用这两个商标，且不在知情的情况下向有意或有可能在其他地区出售合同产品的第三者销售该产品。
ThelicenseherebygrantedextendsonlytoUSA.Licenseeagreesthatitwillnotmake,orauthorize,anyuse,directorindirect,oftheRegisteredTrademarkinanyotherarea,andthatitwillnotknowinglyselltheContractProductscoveredbythisContracttopersonswhointendorarelikelytoreselltheminanyotherarea.
2.3许可方负责向接受方提供注册商标的有关资料，包括注册商标的文字、图案、申请情况、编号等，具体的资料详见本合同附件一。
LicensorisresponsibleforprovidingLicenseewiththedocumentsrelatedtotheRegisteredTrademarks,includingtheword,design,applicationforregistrationandregistrationnumber,etc.,thespecificdocumentationisdetailedinAppendix1totheContract.
第三条资料的交付 Section3DeliveryoftheDocuments
3.1许可方应按本合同附件一的规定向接受方提供注册商标的名称、内容以及许可方向美国专利商标局申请注册的有关情况。
Thename,contentandrelatedsituationwhichLicensorappliedfortheregistrationfromUnitedStatesPatentandTrademarkOfficeshallbeprovidedbyLicensortoLicenseeinaccordancewithstipulationsinAppendix1totheContract.
3.2许可方应在签订本合同的同时，将3.1条中规定的资料交付给接受方。
ThedocumentsstipulatedinSection3.1totheContractshallbeprovidedbyLicensortoLicenseewhiletheContractissigning.
第四条侵权和保证 Section4InfringementsandGuarantees
4.1许可方保证是本合同注册商标的合法持有者，并且有权授予接受方使用，如果在合同的执行过程中一旦发生第三方指控侵权时，则由许可方负责与第三方交涉，并承担由此引起的一切法律和经济上的责任。
LicensorguaranteesthatLicensoristhelegitimateowneroftheRegisteredTrademarkno.***************&****************undertheContract,andthatLicensorislawfulinapositiontoauthorizeLicenseetoutilizetheRegisteredTrademarkuponorinconnectionwithmanufacture,saleanddistributionoftheContractProducts.InthecourseofimplementationoftheContract,ifanythirdpartyaccusesLicenseeofinfringement,Licensorshallberesponsibleforapproachingthethirdpartyabouttheaccusationandbearalltheeconomicandlegalresponsibilitieswhichmayarise.
4.2接受方负责为自己和/或许可方就其非经授权使用合同产品商标、专利、工艺、设计思想、方法引起的索赔、诉讼或损失，就其他行为或产品瑕疵导致的索赔、诉讼或损失进行辩护，并使许可方免受损失。
LicenseeherebyundertakestodefendLicenseeand/orLicensoragainstandholdLicensorharmlessfromanyclaims,suit,lossanddamagearisingoutofanyallegedlyunauthorizeduseofanytrademark,patent,process,idea,methodordevicebyLicenseeinconnectionwiththearticlescoveredbythisContractoranyotherallegedactionbyLicenseeandalsofromanyclaims,suits,lossanddamagearisingoutofallegeddefectsinthearticles.
4.3接受方同意向许可方提供必要的帮助来保护许可方就该商标拥有的权利。
接受方在可知的范围内应书面告知许可方就合同产品的商标的侵权和仿制行为。
双方可以各自以自己的名义或以双方的名义针对这样的行为提起诉讼或索赔。
LicenseeagreestoassistLicensortotheextentnecessaryintheprocurementofanyprotectionortoprotectanyofLicensor'srightstotheRegisteredTrademark,andshallnotifyLicensorinwritingofanyinfringementorimitationsbyothersintheRegisteredTrademarkonarticlesthesameasorsimilartothosecoveredbythisContractwhichmaycometoLicensee'sattention.BothpartieshavetherighttodeterminetoprosecuteanyclaimsorsuitsinitsownnameorinthenameofLicenseeandLicensorjointogetheragainstsuchbehavior.
第五条促销资料 Section5PromotionMaterial
5.1在任何情况下，接受方如果期望得到合同产品的宣传材料，那么生产该宣传材料的成本和时间由接受方承担。
所有涉及本合同商标或其复制品的宣传材料的产权应归接受方所有。
如果许可方要求使用或将其许可给他方使用,许可方应支付有关费用。
届时双方可另行协商签订合同。
InallcaseswhereLicenseedesiresartworkinvolvingarticleswhicharethesubjectofthislicensetobeexecuted,thecostofsuchartworkandthetimefortheproductionthereofshallbebornebyLicensee.AllartworkanddesignsinvolvingtheRegisteredTrademark,oranyreproductionthereof,shallbeownedbyLicensee.IfLicensorrequiresorauthorizestheotherpartytoutilizetheartworkanddesign,itshouldpayreasonablefeestoLicensee.Whenthetimecomes,bothpartieswillsignthenewcontractthroughfriendlyconsultation.
第六条分销 Section6Distribution
6.1接受方同意将克尽勤勉，并且持续制造、分销或销售合同产品，而且还将为此作出必要和适当的安排。
Licenseeagreesthatduringthetermofthislicenseitwilldiligentlyandcontinuouslymanufacture,distributeandselltheContractProductscoveredbythisContractandthatitwillmakeandmaintainadequatearrangementforthedistributionoftheContractProducts.
第七条违约 Section7Violation
7.1任何一方都无权终止合同。
NeitherofthepartyhastherighttoterminatetheContract.
第八条争议的解决 Section8DisputeSettlements
8.1因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决。
AlldisputesinconnectionwithorintheexecutionoftheContractshallbesettledthroughfriendlyconsultationbybothparties.
第九条合同的生效及其他 Section9EffectivenessoftheContractandMiscellaneous
9.1本合同由双方授权代表于_____年___月___日在____签字。
并自签字之日起生效。
TheContractissignedbytheauthorizedrepresentativesofbothpartieson_____,andcomesintoforceimmediatelyafterthedateofsigning.
9.2本合同的有效期从合同生效日起算共_____年，有效期满后，本合同自动续期。
如许可方商标继续有效，本合同可延续至下一个商标有效期内，继续生效。
TheContractshallbevalidforaperiodof_______yearsfromthedateoftheeffectivenessoftheContract.TheContractshallberenewedautomatically.Wheretheregisteredtrademarksofthelicensorarestillvalid,theContractwillbevalidforconsecutivevalidityperiodofthetrademarks.
9.3本合同的执行中，对其条款的任何变更、修改和增减，都须经双方协商同意并签署书面文件，作为合同的组成部分，与合同具有同等效力。
InthecourseofimplementationoftheContract,allthealterations,amendments,supplementsandsubtractionstotheContracthavebeenagreeduponandsignedinwrittendocumentsthroughconsultationbybothparties.TheyareintegralpartsoftheContractandhavesamelegalforceandeffectasintheContract.
9.4本合同期满后，双方的未了债权和债务不受合同期满的影响，债务人应对债权人继续完成未了债务。
AfterthedateoftheexpiryofthevalidityperiodoftheContract,allthosecreditor＇srightsanddebtswhichhavenotbeenfulfilledbyeitherofthePartiesshallstillbefulfilledbybothpartieswithoutanyinfluenceoftheexpiryofvalidityperiodoftheContract.
9.5本合同由第一条至第九条和附件一至附件二组成，合同的正文和附件是不可分割的部分，具有同等法律效力。
TheContractconsistsofSection1toSection9andAppendix1toAppendix2,thetextoftheContractandannexesareintegralpartsoftheContractandhavesamelegalforceandeffect.
9.6本合同用英文书就，双方各持两份。
在合同的有效期内，双方通讯以英文进行。
正式通知应以书面形式，特快专递或航空挂号邮寄，一式两份。
