Article5.Designfeeandthemodeofpayment:

PartyAshallpaythedesignfeeofRMB______________YuanforthisprojecttoPartyB（thisfeeshallincludetaxesandallotherdutiesthatshouldbepaidbyPartyBasrequiredbythegovernmentregulations）.ThepaymentmethodisasperFig.4.

Remarks:

1.PartyAshallpaythedesignfeeofeachstagewhenPartyBsubmitsthedesigndocumentofeachstage.

2.PartyAshallpay100%designfeewhenPartyBsubmitsthelastpartoftheworkingdrawings.

3.Thedesignfeeisfixedbyinitialdesignestimation,ifthereisadifferencebetweenactualdesignfeeandestimatedfee,PartyBshallreturntheoverchargeanddemandpaymentoftheshortage.Thebalancewillbesettledatthelastpayment.

4.AftertheContractisexecuted,thedownpaymentisregardedasapartofthetotaldesignfee.

Article6.Responsibilitiesofbothparties:

6.1ResponsibilitiesofPartyA:

6.1.1.AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmittoPartyBbasicmaterialsanddocumentswithinspecifiedtimeandshouldberesponsibleforthecompleteness,correctnessandvalidityofthematerialsanddocuments.PartyAshallnotrequirePartyBtoconductdesigninviolationofrelevantnationalstandards.

Incasethereisadelayoflessthan15daysexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbyPartyA,thetimelimitforPartyBtodeliverdesigndocumentsshallbeextendedaccordingly;incasethereisadelayofmorethan15daysexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbyPartyA,PartyBshallhavetherighttore-determinethetimefordeliveryofthedesigndocuments.

6.1.2IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementaryContract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.

IfPartyAhasagreedallthedesignworksconductedbyPartyBbeforetheconclusionoftheContract,itshallpaychargestoPartyBaccordingly.

6.1.3.PartyAshallpaychargesfordesigntoPartyBattheamountanddateprovidedinthisContract.IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshallgetthepriorconsentofPartyBandshouldmakeadditionalpaymentforfastandimmediateservice.

6.1.4.PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.

6.1.5.PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,PartyAshallnotrevise,duplicateortransferthedesigntoathirdpartyorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartyAshalltaketherelativelegalresponsibilityandPartyBshallhavetherighttoclaim.

6.2ResponsibilitiesofPartyB:

6.2.1.PartyBshallcarryoutdesignworkinaccordancewithtechnologicalrulesandstandardsprovidedinthisContract,submittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4andshallberesponsibleforthequalityofthedesigndocuments.

6.2.2.Thedesignlifeoftheconstructionprojectshallbe50years.

6.2.3.Upondeliveryofthedesigndocuments,PartyBshallattendtheapprovalmeetingsheldbyPartyAandtherelevantcompetentauthoritiesandshallberesponsibleformakingthenecessaryadjustments,revisionsandsupplementswhichdoesnotexceedthescopeofthedocumentsofdesignrequirementsasoriginallydefinedbasedonthecommentsofsuchmeetings.

6.2.4.PartyBisnotallowedtodiscloseandtransferanyproductdrawing,technicalandeconomicdatawhichareprovidedbyPartyAtoathirdparty.Incasethattheabove-mentionedishappened,PartyBshalltaketherelativelegalresponsibilityandPartyAshallhavetherighttoclaim.

6.2.5.PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithoutthepermissionofPartyA.

Article7.DefaultResponsibility:

7.1.DuringtheperformanceoftheContract,ifPartyArequirestoterminateorcanceltheContractbeforePartyBstartsthedesignwork,PartyBwillnotreturnthedownpaymentalreadypaidbyPartyA;ifPartyBhasstartedthedesignwork,PartyAshallpayfortheactualworkloadalreadydonebyPartyB.Whentheactualworkloadofthedesignislessthanhalfoftheworkatthestage,PartyAshallpayhalfofthepaymentforthedesignworkatthestage.Whentheactualworkloadofthedesignismorethanhalfoftheworkatthestage,PartyAshallpayallthepaymentforthedesignworkatthestage.

7.2.PartyAshallpaychargesfordesigntoPartyBattheamountanddateprovidedinthisContract.Foreachdayofoverduepayment,2‰oftheoverduepaymentshallbepaidbyPartyAandthetimefordeliverybyPartyBshallbeextendedaccordingly.Wherethedelayofpaymenthasexceeded30days,PartyBshallhavetherighttosuspendtheperformanceoftheworkatthenextstageandgivewrittennoticetoPartyA.IncasethehigherauthorityorcompetentdepartmentofdesignapprovalwouldnotapprovethedesigndocumentsortheengineeringconstructionofthisContractissuspendedorstopped,PartyAshallpaytheduedesignfeetoPartyB

7.3.PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshalldeductthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbediscussedanddeterminedbythePartiesas100%_____oftheactualloss.

7.4.IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct2‰ofthedueamountofthedesignfeeonadailybasisforthedelayperiod.

7.5.AftertheContractcomesintoforce,PartyBmayrequireterminationorcancellationoftheContractandshallreturnthedownpaymentindouble.

Article8.Otherprovisions:

8.1.WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworksandsignasupplementaryservicecontract.

8.2.PartyAshallpayforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbythestateandlocalgovernmentwhichareneede
