Chapter3EstablishmentoftheCooperativeVentureCompany

Article2InaccordancewiththeCooperativeVentureLawandotherrelevantChineselawsandregulations,bothpartiesoftheCooperativeventureagreetosetupBAOLONGCooperativeventurelimitedliabilitycompany（hereinafterreferredtoastheCooperativeventurecompany）.

Article4AllactivitiesoftheCooperativeventurecompanyshallbegovernedbythelaws,decreesandpertinentrulesandregulationsofthePeople'sRepublicofChina.

Article5TheorganizationformoftheCooperativeventurecompanyisalimitedliabilitycompany.EachpartytotheCooperativeventurecompanyisliablewithinthelimitofthecapitalsubscribed.Theprofits,risksandlossesoftheCooperativeventurecompanyshallbesharedbythepartiesinproportiontotheircontributionstotheregisteredcapital.

Chapter4ThePurpose,ScopeandScaleofProductionandBusiness

Article6TheproductiveandbusinessscopeoftheCooperativeventurecompany:

frozenaquaticproducts;processingandmarketing;aquaculture;providemaintenanceserviceafterthesaleoftheproducts;studyanddevelopnewproducts.

Article7TheproductionscaleoftheCooperativeventurecompany:

Theannualprocessingcapacityis2000tonsofaquaticProducts.

Chapter5TotalAmountofInvestmentandtheRegisteredCapital

Article8ThetotalamountofinvestmentoftheCooperativeventurecompanyis600thousandU.S.dollars.

Article9Theregisteredcapitalofthejointventurecompanyis300thousandU.S.dollars.（PartyA180thousandU.S.dollars,accountingfor60%;PartyB120thousandU.S.dollars,accountingfor40%.）

Article10PartyAandPartyBwillcontributethefollowingtothecooperativeventure:

ThecashbyPartyAandPartyBshallbefortheuseofthecooperativeventurecompanywithin3monthesaftertheapprovalofthecontract.

Article11Incaseanypartyintendstoassignallorpartofhisinvestmentsubscribedtoathirdparty,consentshallbeobtainedfromtheotherparty,andapprovalfromtheexaminationandapprovalauthorityisrequired.

Whenonepartyassignsallorpartofhisinvestment,theotherpartyhaspreemptiveright.

Chapter6ResponsibilitiesofEachPartytotheJointVenture.

Article12PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:

ResponsibilitiesofPartyA:

1.Providingcash,inaccordancewiththeprovisionsofArticle9and10.

2.Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofChina;

3.Processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;

4.Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthecooperativeventurecompany;

5.Assistingthecooperativeventurecompanytoprocessimportcustomsdeclarationforthemachinery;

6.Assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;

7.AssistingthecooperativeventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;

8.Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;

9.Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.

ResponsibilitiesofPartyB:

1.Providingcash,inaccordancewiththeprovisionsofArticle9and10.

2.Handlingthemattersentrustedbythecooperativeventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc.;

3.AssistingthecooperativeventurecompanyinTrainingthetechnicalpersonnelandworkers;

4.Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.

Chapter7SellingofProducts

Article13TheproductsofthejointventurecompanywillbesoldbothontheChineseandtheoverseasmarket

Article14Thesalespriceoftheproductsisthecostplusthereasonableprofit,thecooperativeventurecompanydecideit

Article15Inordertofacilitatebusiness,approvedbytheChineseauthorities,thecooperativeventurecompanycanestablishbranches

Chapter8TheBoardofDirectors

Article16Thedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.

Article17Theboardofdirectorsiscomposedof6directors,ofwhich3directorsshallbeappointedbyPartyA,3directorsbyPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmansisthreeyears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.ChairmanandVice-Chairmanshallnotactasgeneralmanagerordeputygeneralmanagerandotherseniormanagement.

Article18Thehighestauthorityofthecooperativeventurecompanyshallbeitsboardofdirectors.Itshalldecideallmajorissuesconcerningthecooperativeventurecompany.

Unanimousapprovalshallberequiredforthefollowingdecisionsconcerningmajorissues:

1.TheamendmentoftheContractandtheArticlesofAssociation

2.Theterminationordissolutionofthecooperativeventurecompany

3.Theincrease,reductionorassignmentoftheregisteredcapitaloftheCompany

4.Mergewithothereconomicorganizations

Asforothermatters,approvalbymajorityshallberequired

Article19Thechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompany.Thechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmantorepresentthecooperativeventurecompany.

Article20TheboardofdirectorsshallconveneTwicemeetingseveryyear,normallybeonJuneandDecember.Themeetingshallbecalledandpresidedoverbythechairmanoftheboard.FollowingtheagreementwiththeViceChairman,thechairmanmayconveneaninterimmeeting.Thechairmanbeunabletocallandpresideforanyreason,thevice-chairmantopresideit.Minutesofthemeetingsshallbeplacedonfile.

TheChairmanshallgiveeachdirectornoticeatleastthreeweeksinadvanceofeachregularBoardmeeting,specifyingthedate,thetime,theplace，andtheproposeddraftresolutionsoftheBoardmeeting.

Chapter9TheSupervisorsandtheSupervisoryBoard

Article21Thereis1Supervisorinthecooperativeventurecompany,ThetermoftheSupervisoristhreeyears,thetermmayberenewed.

ThedirectorsandotherseniormanagementshallnotactastheSupervisor

Article22and23DutiesandResponsibilitiesoftheSupervisor:

Chapter10BusinessManagementOffice

Article24Thecooperativeventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagement.Themanagementofficeshallhaveageneralmanager,appointedbyPartyB;adeputygeneralmanagers,appointedbyPartyA.Thetermsofthegeneralmanagerandthedeputygeneralmanagersare3years.

Article25DutiesandResponsibilitiesofthegeneralmanager:

1.CarryouttheContract,theArticlesofAssociationandthedecisionsoftheboardmeeting.

2..Appointthedepartmentmanagersasappropriatetoberesponsiblefortheworkoftheirrespectivedepartments.,andrecordthemtotheBoard.

3.Decidetheoperationalstructure

4.Reportitsworktotheboardregularly

5.Dothedecisionontheprocurementoftherawmaterialsandthespareparts,theproductsalesandthelending.

6.Dothedecisiononthesalespriceoftheproducts.

7.Dothebusinesscontactwiththeimportantbusinessunits,negotiateandsignthedocuments

8.Presidethedailymeetings,carryoutthedecisionsofthemeetings

9.Solvetheissueswiththedepartmentmanagers

10.UndertheauthoritybytheBoard,attendtothearbitrationandtheconciliationmeetings,orauthorizesomebodytoattendtothearbitrationandtheconciliationmeetings.

11.Thefinaldecisionontheactionoftheemployee
