ThisContractismadebyandbetweentheBuyersandtheSellerswherebytheBuyersagreetobuyandtheSellersagreetoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstipulatedbelow:
兹经买卖双方同意按下列条款由买方购进，由卖方售出下列货物，订立本合同：

Thecustomerguaranteestheorderflexibilityofmaximum+/-20%oftheestimatedannualvolume.
买方保证年订货量在20%上下浮动。
ThecustomersshallprovideofficialStandardRequirementfortheproducts（Compoundname）Itshallbeaplusforsuppliertohaverequirementsofendcustomersfor（Customername）,regions,continents.
买方应提供产品的官方标准，这有利于卖方掌握买方的需求。

3.包装：
PACKING:
货物应采用适合于长距离航空或海运的坚固包装，能适应天气变化并防潮湿及振动。
Tobepackedinstrongincartons,suitableforlongdistanceairfreight/oceantransportationandtochangeofclimate,wellprotectedagainstmoistureandshocks.
若货物的包装为纸箱，则需要用包装带将其绑紧。
Ifthecommodityispackagedbypaper,pleasebindthecartontightlybypackingbelts.
若货物的包装为木箱，则木箱的八个顶点均需用螺丝、螺母固定。
Ifthecommodityispackagedbywood,pleasefixthefouranglesoftheboxbyscrewsandscrewnuts.
由于卖方采用包装的保护措施不当或不适宜而导致货物生锈，以及由于采用不适宜的包装而导致货物发生损失，卖方应对所发生的损失及相关费用负责。
TheSellersshallbeliableforanydamageofthecommodityandexpensesincurredonaccountofimproperpackingandforanyrustattributabletoinadequateorimproperprotectivemeasurestakenbytheSellersinregardtothepacking.
4.唛头
SHIPPINGMARK:
卖方应在每一包装箱外注明箱号、毛重、净重及包装尺寸，并有如下字样：
“远离潮湿”“小心轻放”“此面向上”等。

10.文件：
DOCUMENTS：
（1）海运时：
Incaseofseafreight:
以买方为通知人的全套洁净“已装船”海运提单，注明□“运费已付”■“运费到付”。
FullsetofCleanOnBoardOceanBillsofLadingmarked□“freightprepaid”/■“freighttocollect”andnotifyApplicant.
（2）签字的商业发票原件一式伍份，注明合同号、唛头、成交方式。
ManuallysignedCommercialInvoiceinfiveoriginalsindicatingcontractnumber，shippingmarkandtheterm.
（3）签字的装箱单原件一式伍份。
须列明箱数，每箱的毛重、净重、体积以及所装物品明细。
PackingListsignedinfiveoriginals,includingthenumberofcartons,eachcarton’snetweight,grossweight,cubageanddetailedcontents.
（4）由制造厂家盖章签发的无木质包装声明书一式两份。
（如用木箱包装，应当由输出国家或地区植物检疫机构认可的企业，按中国确认的检疫除害处理方法处理<
即热处理（HT）或溴甲烷熏蒸（MB）>
，并加施IPPC专用标识，且出具熏蒸证明）。
DeclarationofNo-woodPackingMaterialswiththeManufacture’sstampissuedbytheManufactureintwooriginals.（Ifthewoodpackagingmaterialsusedintheimportedgoodsmustbetreatedandinspectedbytheexportingcountryandgovernment–relatedplantquarantineagencythathaveChinesegovernmentsconsents,withbearingIPPCsymbol.Thestandardmeasurestoquarantineandtreatpestswillbepostedinotherplaceinthenation’squalitycontrolbureau.Andcertificationoffumigationisissuedbythetheexportingcountryandgovernment–relatedplantquarantineagencyintwooriginals）
（5）发货后将装运的详细情况传真通知买方的副本。
SendEmailtotheBuyeradvisingparticularsofshipmentimmediatelyuponitscompletion.
（6）制造厂家签发的质量证明书，一份原件。
CertificateofqualityissuedbytheManufacturerinoneoriginal.
（7）制造厂家签发的产地证，一份原件。
CertificateofOrigininoneoriginalissuedbytheGovernment
（8）已包装待发运货物的照片。
Photosofthepackingcargoesshouldbesenttothebuyerbeforeshipping.
（9）若中国出入境检验检疫局需要提交，则卖方提供中国强制性产品认证证书复印件一份。

11.质量范围：
SCOPEOFQUALITY:
（1）ThesuppliershallsupplyproductsandExistingstockof（CompoundName）inSemi-Finishedcompounding（CompoundA）withChemicalspackagecalled“Curepackage”withtheout-goingqualityreport“MooneyViscosityReport”thatmeetcustomerrequirement
卖方提供产品和现有库存半成品以及所用化学物质包装必须符合买方要求，并出具“门尼粘度报告”。
Customershalltakethisdataasincomingqualitycheckonarrival.
买方根据卖方报告中的数据作为货到后的质量检查依据。
Anyrejectionorconcernshallbemonitoredinthisstep.
对于任何有关质量范围的拒绝或要求都止于此。
2. Customerhasresponsibilityforallprocessesafterreceivingthein-boundcompoundsuchasStorage,preservations,finalmixing,preforming,moulding,chlorinationandallsurfacetreatmentprocessaftermolding.
买方负责货物入境后的所有工序，如存储,保存,混合,压片,成型,氯化及成型后所有表面处理。
12.RELEASEPERIODS:

原料周期20天
Materialrequirementsbeyondproductionreleaseandmaterialreleasearenon-applicationtoanothersupplier’sproductprocess.
超出生产周期和原料周期之外原料需求不适用到另一个供应商的产品加工中。
Ifcustomercancelsanorderwithintheproductionreleaseperiodwithouthavingplacedfurtherreleaseordersduringtheplanningzone,Supplierwillconsidertheacceptanceoftheproductsorthepaymentoftheagreedpurchasepricewithinanappropriatetimeframe.
如果买方在产品产生期间取消订单，且在计划内没有再下单，在一个适当的时间内，卖方将考虑要求买方对产品的验收或按先前的采购价格付款。
Ifcustomercancelsanorderwithinthematerialreleaseperiodwithouthavingplacedfurtherreleaseordersduringtheplanningzone,Suppliershallreimbursethecustomerthecostforthematerials.
如果买方在原料生期间取消订单，且在计划内没有再下单，卖方将赔偿买方的原料成本。
12.索赔：
CLAIMS：
自买方在收货后6个月内，如发现货物在质量、规格、数量与合同的规定不符，除由于保险公司或运输代理公司所应承担的赔偿责任外，买方有权凭中国进出口商品检验局出具的商检报告向卖方提出用新的货物进行更换或赔偿，由此发生的一切费用（例如商检费，退运货物运费及保险费，仓储费及装卸费等）应由卖方承担。
WithinsixmonthsafterafterreceivedcompoundA,shouldthequality,specification,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheissuancecompanyortheforwardingagentareliable,theBuyershall,onstrengthoftheInspectionCertificateissuedbytheChinaCommodityInspectionBureauforchangeorcompensation,andalltheexpenses（suchasinspectioncharge,freightforreturningthegoodsandforsendingthereplacement,insurancepremium,storageandloadingetc.）shallbebornebytheSeller.
13迟交货罚款：
Penaltyoflatedelivery:
除遇不可抗拒的自然灾害外，如卖方不能按合同规定的时间交货，买方应同意在卖方付罚款的条件下延期交货。
罚款可由支付银行在议付货款时扣除，罚款率按每逾期一天收0.5%，但罚款不得超过货物总价的5%。
如卖方延期交货超过合同规定十周时，买方有权撤销合同。
此时，卖方仍应立即按上述规定向买方支付罚款。
ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeureNaturalDisasterscauses,theBuyersshallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat0.5%foreveryday.Butthetotalpenaltyshallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.IncasethesellerfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocanceltheContractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyersinstantly.
14.争议的解决：
ARBITRATION：
凡因本合同引起的或与本合同有关的任何争议应协商解决。
若协商不成，应提交中国国际经济贸易仲裁委员会华南分会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。
仲裁裁决是终局的，对双方均有约束力。
AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiation.Incasenosettlementisreached,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission（CIETAC）,South
ChinaSub-Commissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.
本合同签字原件共伍份，买方执肆份，卖方执壹份。
