　　forthepurposeofthiscontract，thefollowingtermshavethefollowingmeanings;

　　1.1.‘patentedtechnology’meansthoseletterspatent，andapplicationstherefor

　　presentlyownedorhereafteracquiredbypartyband/orwhichpartybhasormayhavethe

　　rigttocontrolorgrantlicensethereofduringthetermhereofinanyorallcountries

　　oftheworldandwhichareapplicabletoormaybeusedinthemanufactureofcotract

　　products.

　　1.2.‘contractproducts’mianstheproductsdescribedinappendis2anne*edhereto，

　　to-getherwithallimprovementsandmodificationsthereofordevelopmentswithrespect

　　there-to.

　　1.3.‘pattya’means____________.orhislegalrepresentative，agentandinhetitortothepropertyofthecompany.

　　1.7.‘components’meansthosecomponentsandpartsofcontructproduetswhichpar-ty

　　1.8.‘technicaldocuments’meaneengineering，manufacturingandoriginating　inforna-tionrelatiogtothemanufactureandservicingofcontractproducts，including　drawings，blueprints，designsheets，materialspecifications，　photographs，photostatsandgeneralda-ta，anddesignsandpecificationsrelating　tomanufacturingcontractproducdts，toolsandfi*-tures，butincludes，however，only　suchinformationasisavailabletopartybandapplicabletotheoperationsofpartya　underthiscontractwhichdetaileasperappendis1tothecon-tract.

　　1.9‘netsellingprice’menansremainingamountofinvoicevalueofthe　contractprod-ucts，afterdeductionofpackahing，installationandfreightcharges，　tradeanddiscount，commission，insuranceandta*esandduties.ifany，directly　applicabletotheprdduct.

　　1.l0‘thedateofcomingintoeffectofthecontract’meansthedateofraificationofthecontractbythemanagingconstructureofthepartiesorbythecompetentauthoritiesofbothparties，whichevercomeslater.

　　article2scopeofthecontract

　　2.1.partyaagreestoacquirefrompartybandpartybagreestotransfertopartyathepatentedtechnologyforcontractproducts.suchpatentedtechnologyshallbeine*actaccordancewiththetechnologyofpartyb’slatestproducts.

　　2.2partybgrantspartyathenon-e*clusiverighttodesignandmanufacturecontractproductsinchinaandtomarkdtthesaidproductsinchinaandabroad.

　　2.3partybshallberesponsibletoprovidepartyawithdocumentsrelevanttothesaidpaptentsandwithspecialfittingsofthesamplemachinetheirconcretedetailsandscheduleofdelivarybeingsetoutinappendi*2tothecontract.

　　2.4thecontractdoesnotcoverthepatentedtechnologyforthepartsfromothercoun-tres.butpartybshallprovidepartyawiththespecimensandthetecincalspecificationsand　thenameofthemanufacturersoftheparts.

　　2.5partybshallberesponsibleforthetrainingofpartya’stechniclpersonnelinpartyb’srelevantfacilitiesandalsodoitsbesttoenablepartya’stechnical　personneltomasterthepatentedtechnplogyoftheaforesaidcontractproduct***detailsasperappendi*5tothecontract***.

　　2.6partybisobligedtosendatitsowne*pensetechnicalpersonneltopartya’s

　　facto-ryfortechnicalservice***detailsasperappendi*6tothecontract***.

　　2.7ifitisrequiredbypartya.pafrtybshallbeunderanobligationtoprovidepartyaatthemostfavourablepricewityparts，accessories，rawmaterials，fittings，etc.forcon-trademarkthetwoparties.

　　2.8partybgrantspartyatherignttousepartyb’strademark，andusethecombinedtrade，markofbothpartiesormarkthewouding’productionaccordingto　licensor’slicence’onthecontractproduets.article3priceofthecontract

　　3.1priceofthecontractshallbecalculatedonroyaltyinaccordancewiththecontentandscopesipulatedinartice2tothecontractandshallbepaidin___________.

　　3.2royaltyunderthecontractshallbepaidfrom__________monthsafterthethedateofcomingintoeffectofthecontractintermsofcalendaryear.thedateofsettlingaccountsshallbe31，decemberofeachyear.

　　3.4thereportofthesellingquantity，netsellingamountofthecontractproductsandroyaltywhichshouldbepaidinlastyearshallbesubmittedtopartybinwritten　formbypartyawithin10***ten***daysafterthedateofsettlingaccountstoroyalty.the　specificmethodswhichcalculatenetsellingamountandroyaltyaredetailedinappendi*3tothecontract.

　　3.5thecontractproductssoldbypartyapursuanttothepatentlicensehereingrantedshallbedeemedtohavebeensoldwhenpaidfor.

　　3.6ifthecontractproductsarereturnedorallowancesmadethereonaftertheroyaltythereonhasbeenpaidpartyashallbeentitledtotakeppropriateerditforsuchoverpay-mentagainstroyaltiesthereafteraccruing.

　　3.7ifpartybdemandtoaudittheaccountsofpartya，itshallnoticepartyawithin　l0***ten***daysafterreceivingthewrittennoticeofpartyainaccordancewitharticle

　　3.4ofthecontract.thespeeificcontentandprocedureofauditingaccountsaredetailedinappendi*4tothecontract.article4couditionsofpayment

　　4.1royaltystipulatedinsection3tothecontractshallbeeffectedbypartyatoartybthroughthebank____________***hereitisthebusinessbankofpartya，andthebank_________***hereitisthebusinesbankofpartyb***，payrnentshallbesettledin________.

　　4.2partybshallimmediatelyissuetherelateddocumentsofterreceivingthewrittennotieesubmittedbypartyainaccordancewithartiele3.4ofthecontract，theroyaltyshallbepaidbypartyatopartybwithin30***thirty***daysafterpartyahasreceivedthefol-lowingdocumentswhichareprovidedbypartybandfoundtheminconfoumitywiththestipulationsofthcontract.

　　4.3partyashallhavetherighttodeductfromanyoftheabovementionedpaymenttheppenaltiesand/orcompensationswhichpartybshallpayinaccordancewiththe

　　stipulationsofthecontract.

　　5.1technicglservice

　　5.1.lduringthevalidityperiodofthecontract，partybshallsendaspecialistto　partya`sfactorytoe*plainthedrawingsandtechnicaldocumentsandtoprovideteehnicalserviseindesigning.manufacturing，adjustment，inspectionandmaintenanceofthecontractedpro-duetsotoeheblepartyatouse，asfastaspossible，homematerials　andrawcomponentswithoutaffeetingthepropertiesoftheproductssomanufactured.

　　5.1.2partybshalltwicesendit’sspecialiststopartya’sfactorytoprovlde　technicalserviceforatotalof30workingdaysman.

　　5.l.3thefirsttechnicalservicesha1lstartinthesi*thmonthafterthecontraytcomesintoeffect.partybshallsendaspecialisttopartya’sfactorytoprovidetechnicalservicefor12workingdays/man.

　　5.1.4thesecondtechnicalserviceshallstartduringtheverificationofthecortractedproduets.parthbshallsendaspecialisttopartya’sfactorytoprovid　technicalservicefor18workingday
