INVESTMENTMANAGERAGREEMENT

for

DomesticEnhancedIndexEquityPortfolio

TheinitialtermofthisAgreementshallbeforafour（4）monthperiodcommencingMarch1,2000andendingJune30,2000.ThetermofthisAgreementmaybeextendedforsuccessivecontractperiodsofoneyeareachasprovidedinSection7.2ofthisAgreement.

I.RECITALS

1.1Definitions

（a）"Account"meanstheaccountestablishedhereunderwith_________onbehalfofthePlan.TheassetsallocatedtotheAccountincludeallinterest,earnings,accrualsandcapitalgrowththereon,withoutlimitingtheBoard'sdiscretiontoaddorwithdrawassets.

（b）"AuthorizedPerson"meansanypersonorentity,jointlyorseverallyauthorizedinawritingdeliveredto_________,toactonbehalfoftheBoardorthePlan,withrespecttoanyactionrequiredorpermittedtobetakenunderthisAgreement.

（c）"_________"means_________InvestmentManagement,Inc.,aninvestmentmanagerselectedandappointedbytheBoardtomanagetheassetsofthePlanintheAccount.

（d）"Board"meanstheOklahomaPublicEmployeesRetirementSystemBoardofTrustees,astatutorypublicbodycreatedat74O.S.1991,Section901etseq.,asamended,toadministerandmanagecertainretirementplansforstateandothergovernmentalemployees.

（e）"Guidelines"meanstheInvestmentPolicyandGuidelinesestablishedandadoptedbytheBoard,asthosemaybeamendedfromtimetotime.

（f）"Instructions"meanswrittenandmanuallysignedinstructionsofanyAuthorizedPerson.InstructionsshallalsoincludeInstructionsReceivedByAnyOtherMeans,including,butnotlimitedto,oralinstructions,orinstructionsreceivedbycomputer,electronicinstructionsystemortelecommunicationsterminals,suchastelex,TWXS,facsimiletransmissionorbankwire,providedthatthepartiesheretoshallhaveagreedinamanuallysignedwritingtotheform,themeansoftransmissionandthemeansofidentificationofsuchInstructions.

（g）"MasterCustodian"meanstheBoard'sdesignatedcustodianbank,atwhichtheBoardshallestablishaSub-accountin_________'namefortransactionsinvolvingtheassetsallocatedto_________bytheBoardforinvestmentandmanagement.

（h）"Plan"meanstheOklahomaPublicEmployeesRetirementSystem（OPERS）,aqualifiedgovernmentaldefinedbenefitplanasdescribedinSection401（a）oftheInternalRevenueCodeof1986,asamended.

（i）"Sub-account"meanstheaccountwhichtheBoardshallestablishwithitsMasterCustodianin_________'nameforthedepositoftheassetsandtheaccountingoftransactionsrelatedthereto,separatelyfromtheBoard'sotherassets.

（j）"TransitionPeriod"meansaperiodofuptothree（3）monthsfollowingtheterminationdateofthisAgreementduringwhich_________continuestoperformthoseservicesrequiredunderthisAgreementinordertocompleteanytransactionspendingontheterminationdateandtofacilitateanorderlytransitionofinvestmentmanagementservices.

Thepluralofanytermshallhaveameaningcorrespondingtothesingularthereofassodefinedandanyneuterpronounusedhereinshallincludethemasculineorfeminineasthecontextmayrequire.

1.2TheBoardherebyappoints_________asafiduciary,authorizedtoinvestandmanagecertainPlanassetsoftheAccountwhichtheBoard,initssolediscretion,mayfromtimetotimeallocateto_________._________hasbeendulyselectedandappointedbytheBoard,aftercompetitivebidding,onFebruary17,2000.ByexecutionofthisAgreement,_________acceptssuchappointment,assumesfullresponsibilityfortheinvestmentandmanagementoftheAccountandagreestoexecuteitsdutiesaccordingtotheterms,conditionsandstandardssetforthinthisAgreement.

1.3_________acknowledgesthatitisafiduciarywithrespecttothePlan,andassertsthatitisregisteredand/orlicensedpursuanttoallapplicablestateandfederallaws._________shalldischargeitsdutiesunderthisAgreementsolelyintheinterestsofthePlanwiththecare,skill,prudence,anddiligenceunderthecircumstancesthenprevailingthataprudentinvestoractinginalikecapacityandfamiliarwithsuchmatterswoulduseintheconductofanenterpriseoflikecharacterandwithlikeaims,andinaccordancewiththeprovisionsofthisAgreement.

II.RELATIONSHIPBETWEENTHEBOARDAND_________

2.1TheBoardhasnegotiatedandenteredintothisAgreementwith_________foritselfandonbehalfoftheindividualswhoarethememberscoveredbythePlan._________isanindependentcontractorwhohasenteredintothisAgreementasaninvestmentmanagerfortheassetsofthePlanandisnot,norisintendedtobe,theemployeeoftheBoardintheperformanceofthisAgreement.

2.2NothinginthisAgreementisintendedtobeconstrued,orbedeemedtocreateanyrightsorremediesinanythirdparty,includingbutnotlimitedtoamemberofthePlanoranotherinvestmentmanager.

2.3TheBoardshallinstructitsMasterCustodianto:

（a）establishaseparatecustodySub-accountonit'sbooksandrecordsin_________'nameand（b）maintaintheSub-accountinamannerthatenablestheMasterCustodiantoaccountfortheassetsintheAccountandanytransactionsthereto,separatelyfromtheBoard'sotherassets.ItisexpresslyunderstoodandagreedthatownershipoftheassetsintheAccountshallremainwiththePlanatalltimesandunderallcircumstances.

III._________'DUTIESANDRESPONSIBILITIES

3.1_________shallprovideinvestmentmanagementservicesandothersimilarservicesinaccordancewiththisAgreement.Inthatrespect,allright,titleandinterestinandtothePropertyshallatalltimesbevestedinthePlan.AllPropertyheldintheAccounthereundershallbekeptwiththesamecareas_________exercisesinrespectofitsownassets.

3.2Asafiduciary,_________shallhavethediscretiontomanage,investandreinvesttheassetsintheAccountaccordingtothetermsofthisAgreementandtheGuidelinesoftheBoard.

3.3_________agreesandisauthorizedasfollows:

（a）_________isauthorizedtoinvestthePlanassetsintheAccountindomesticequityassets,subjecttothewrittenlimitationsoftheBoard,strictlypursuanttothestatutesoftheStateofOklahoma,andtotheGuidelinesoftheBoard._________agreestoreceiveandholdallsuchassetsthatareinvesteduponallthetermsandconditionshereinsetforthfortheexclusivebenefitofthebeneficiariesofthePlanandshallnotdivertanysuchassetsforanyotherpurpose.Suchassetsincludeanyincomeorearningsthereonwhich_________shallbedirectedtoreinvest;

（b）_________isauthorizedtobuy,sell,exchange,convey,transferorotherwisetradeanyU.S.dollardenominatedinvestmentsandU.S.denominatedsecuritiestotheextentpermittedandauthorizedbythisAgreementandtheGuidelinesoftheBoard;

（c）_________isauthorizedtoexecuteinthePlannamesuchownershipandothercertificatesordocumentsasmayberequiredbyrulesorregulationsofanystate,federalorothergovernmentalauthority,including,butnotlimitedtotheU.S.InternalRevenueServiceandthetaxingauthoritiesofotherjurisdictions,ornecessarytocarryoutthedutiesandresponsibilitiesestablishedunderthisAgreement;

（d）_________willforwarddailyitsconfirmationrespectingeachtransactiontotheMasterCustodianandthePlan（ifrequested）givingtheappropriateinformationwhichresultedinthetransaction;

（e）Allpaymentsphysicallyorconstructivelyreceivedby_________ofdividends,interest,salesand/orredemptionsshallbeforwardedimmediatelytotheMasterCustodian._________shallnotholdcashatanytimeexceptasindicatedintheGuidelinesoftheBoard;

（f）Alltransactionswillbeconsummatedbypaymentto,ordeliveryby,theBoardorMasterCustodian,ofallcashand/orsecuritiesduetoorfromtheAccount.

3.4_________shallberesponsiblefortheproperdiversificationoftheassetsunderitsdiscretion,provided,however,suchresponsibilityissubjecttoandlimitedbytheInstructionstoitissuedbytheBoard.ItisunderstoodthattheBoardisresponsiblefortheoveralldiversificationoftheassetsofthePlan,andanystatutorylimitationsthereon.

3.5_________shallberesponsibleforvotingallproxiessolicitedbyorwithrespecttotheissuersofsecuritiesinwhichassetsofthePlanintheAccountmaybeinvested,accordingtotheProxyVotingGuidelinesoftheBoard._________shallissueareporttotheBoardatleastonceperyeardetailingtheseproxyvotes.

3.6_________mayfromtimetotimeconsultwithlegalcounsel,whomaybecounseltotheBoardorthePlan,andmayactinrelianceuponadviceofcounsel.

3.7Where_________placesordersfortheexecutionofportfoliotransactionsfortheAccount,_________shalldirectbrokerageinthemannerandamountdirectedbytheBoard,asreflectedintheGuidelines,subjecttotheprinciplesofbestexecution._________mayplaceallotherorderstosuchreputable,qualifiedandfinanciallysounddealersandbrokersas_________ingoodfaithjudgmentmaychoose.AllportfoliotransactionsshallbemadeinthebestinterestofthePlan,andshallbeconsistentwiththeprincipalsofbestexecution.UnlessauthorizedinwritingbytheBoard,_________shallnotactasitsownbrokeratanytime._________shallissueareporttotheBoardatleastmonthlydetailingthebrokerageandcommissionsfromtheAccount.

Notwithstandingtheforegoing,_________shallnotplaceorderswithanybroker-dealerwhoisaffiliatedwithaninvestmentmanager,consultantorothernamedfiduciaryofthePlan.

3.8UponInstructionsfromanyAuthorizedPerson,_________shallmakesuchdistributionsandtransfersoffundsheldinthe
