SecuredLoanAgreement贷款合同-

WHEREAS,theBorrowerdesiresthattheLendermakealoanof$,_________toBorrower;and

WHEREAS,theLenderiswillingtomakesuchaloan,subjecttothetermsandconditionssetforthhereinandintheotherLoanDocuments（asdefinedbelow）.

NOW,THEREFORE,inconsiderationoftheforegoing,themutualcovenantsandagreementshereincontainedandothergoodandvaluableconsiderationreceiptofwhichisherebyacknowledged,thepartiesheretoherebyagreeasfollows:

1.AMOUNTANDTERMSOFTHELOAN

1.1TheLoan.TheLoanhereundershallmeantheloanbytheLendertotheBorrowerintheprincipalamountof$,_________.

1.2TheNote.TheLoanshallbeevidencedbyapromissorynoteinsubstantiallytheformattachedheretoasExhibitA（theNote）,whichNoteshallbeexecutedbytheBorrowerasoftheEffectiveDate.EverytermcontainedintheNoteshallbedeemedincorporatedintothisAgreement.TotheextentanyprovisionoftheNoteshallbedeemedtobeinconsistentwiththeprovisionsofthisAgreement,however,theprovisionsofthisAgreementshallcontrol.

1.3ThePledgeAgreement.AsaconditiontotheLoan,theBorrowershallenterintoaPledge,AssignmentandSecurityAgreementinsubstantiallytheformattachedheretoasExhibitB（thePledgeAgreement）,whichPledgeAgreementshallbedatedasoftheEffectiveDate.PursuanttothePledgeAgreement,theBorrowersobligationsunderthisAgreementshallbesecuredbycertainstockoptionsandothersecurityassetforthinthePledgeAgreement（thePledgedSecurity）.

1.4Interest

（a）TheoutstandingprincipalbalanceoftheLoanandanyotherobligationsarisingunderthisAgreementshallbearinterestattherateof5.12%perannum（which5.12%perannumisequaltotheannualmidtermapplicablefederalrateforthecalendarmonthof_________,_________（M,Y）aspublishedbytheInternalRevenueServiceinRevenueRuling2001-34）.InterestontheLoanshallbecalculatedonthebasisofa360-dayyearandtheactualnumberofdayselapsed.

（b）InterestontheLoanshallaccruewithannualcompoundingfromandincludingtheEffectiveDatebutexcludingthedateofanyrepaymentthereof,and,exceptasotherwiseprovidedbyinthisAgreement,shallbepayablebytheBorrowertotheLenderinonelumpsumonthefifthanniversaryoftheEffectiveDate.

（c）Nothingcontainedhereinshallbedeemedtorequirethepaymentofinterestatarateinexcessofthemaximumratepermittedbyapplicablelaw.Intheeventthattheamountrequiredtobepaidhereunderforanycalendarmonthexceedsthemaximumratepermittedbylaw,suchamountsshallbeautomaticallyreducedforsuchmonthtothemaximumratepermittedbyapplicablelaw.

（d）TheBorrowershallcompensatetheLender,upontheLendersdeliveryofawrittendemandtherefortotheBorrower（whichdemandshall,absentmanifesterror,befinalandconclusiveandbindinguponallofthepartieshereto）forallreasonablelosses,expensesandliabilitiesthattheLendersustainsasaconsequenceofanydefaultbytheBorrowerinrepayingtheLoanoranyotheramountsowinghereunderwhenrequiredbythetermsofthisAgreement.

1.5RepaymentofPrincipal.ExceptasotherwiseprovidedinthisAgreement,repaymentofprincipalshallbedueandpayableininstallmentsasfollows:

（a）$,_________onthesecondanniversaryoftheEffectiveDate;

（b）$,_________onthethirdanniversaryoftheEffectiveDate;

（c）$,_________onthefourthanniversaryoftheEffectiveDate;and

（d）$,_________onthefifthanniversaryoftheEffectiveDate.

1.6Prepayment.TheBorrowermayprepayalloranypartoftheLoan,includinginterest,withoutpenaltyorpremiumatanytimefromtimetotime.

1.7Acceleration.NotwithstandingSection1.5,immediatelyupontheoccurrenceofanyEventofDefault（asdefinedinSection7.1）andduringanycontinuancethereof,theLendermaydeclaretheLoan,allinterestthereonandallotheramountsandobligationspayabletobeforthwithdueandpayabletotheLenderormaytakeanyotheractionasprovidedinSection7.2herein.

1.8PaymentProcedures.AllpaymentsmadebyBorrowerunderthisAgreementshallbemadetotheLenderatitsofficeattheaddressindicatedinSection9.8andshallbemadebywiretransferin_________（Country）dollarsinimmediatelyavailablefundstothefollowingaccount:

CCCCompany,_________（PLACENAME）,AccountNumber_________,BankRoutingNumber_________,orsuchotheraccountnumberasmaybedesignatedbytheLenderinwritingfromtimetotime.AllpaymentsreceivedbytheLendershallbeappliedfirsttofees（ifany）,thentounpaidprincipalandinterestinaccordancewiththetermsofthisAgreement.Totheextentnotpreviouslyrepaid,allprincipalandinterestoutstandingwithrespecttotheLoan,plusanyaccruedbutunpaidfeesorotherobligationsarisingunderthisAgreement,shallbedueandpayableinfullonthefifthanniversaryoftheEffectiveDate.

2.EFFECTIVENESS

2.1Effectiveness.NoneofthisAgreement,thePledgeAgreementortheNote（collectively,theLoanDocuments）shallbecomeeffectiveuntil（i）allpartiesheretohaveexecutedanddeliveredacounterparthereof（includingbywayoffacsimiletransmission）and（ii）theconditionsprecedentsetforthinSection5hereofshallhavebeensatisfied.

3.REPRESENTATIONSANDWARRANTIESOFBORROWER

TheBorrowerrepresentsandwarrantstotheLenderasfollows:

3.1Authority.TheBorrowerhastherequisitelegalcapacitytoownhisassets,toborrowmoney,toexecute,deliverandperformeachoftheLoanDocumentstowhichheisapartyandallotherdocuments,certificatesandinstrumentsdeliveredinconnectiontherewith,andtoeffectandcarryoutthetransactionscontemplatedhereinandtherein.EachLoanDocumenthasbeendulyauthorizedand,whenexecutedanddelivered,willbeavalidandlegallybindinginstrumentenforceableagainstBorrowerinaccordancewithitsterms.TheexecutionanddeliveryoftheLoanDocumentsandtheconsummationofthetransactionscontemplatedthereby（a）willnot（immediatelyorwiththepassageoftime,orthegivingofnotice）violate（i）anylaw,order,ruleorregulationordeterminationofanarbitrator,acourt,orothergovernmentalagency,applicableorbindingupontheBorroweroranyoftheBorrowersproperty（including,withoutlimitation,RegulationsG,T,UandXoftheBoardofGovernorsoftheFederalReserveSystem）orastowhichtheBorroweroranyoftheBorrowerspropertyissubject（collectively,RequirementofLaw）,or（ii）anyprovisionofanyagreement,instrument,orundertakingtowhichtheBorrowerisapartyorbywhichtheBorroweroranyoftheBorrowerspropertyisboundand（b）willnotresultinthecreationorimpositionofanylienuponanyofthepropertyoftheBorrower,otherthanthoseinfavoroftheLenderpursuanttotheLoanDocuments.Noconsents,approvalsorotherauthorizationsornotices,otherthanthosewhichhavebeenobtainedandareinfullforceandeffect,arerequiredbyanystateorfederalregulatoryauthorityorotherpersonorentity（Person）inconnectionwiththeexecutionanddeliveryoftheLoanDocumentsandtheperformanceofanyobligationscontemplatedthereby.

3.2PledgedSecurityOwnership.TheBorroweristheownerof,orhascontractualrightsto,thePledgedSecuritysubjecttonopledge,lien,mortgage,hypothecation,securityinterest,charge,option,orotherencumbrancewhatsoever,excepttheliensandsecurityinterestscreatedbytheLoanDocuments.ThepledgeandgrantofthePledgedSecuritybytheBorrowerpursuanttothePledgeAgreementcreatesavalidandperfectedfirstprioritysecurityinterestinthePledgedSecurityinfavoroftheLender.TheBorrowerisnotsubjecttoanycontractualobligationrestrictingorlimitingtheabilityoftheBorrowertopledgethePledgedSecuritypursuanttothePledgeAgreement.

3.3Litigation.Therearenoactions,suits,proceedingsorgovernmentalinvestigationsorinquiriespending,ortothebestknowledgeoftheBorrowerthreatened,againsttheBorrowerortheLender,thatcould,ifadverselydetermined,haveamaterialadverseeffectontheperformanceofanyobligationcontemplatedinorarisingundertheLoanDocuments（aMaterialAdverseEffect）.

3.4OtherDebt

（a）ExhibitCattachedheretofullyandaccuratelystates,asoftheEffectiveDate,alloutstandingindebtedness（otherthantheLoanhereunder）andcommittedundrawnlinesofcreditoftheBorrowerinexcessof$,_________andanyotherindebtednessandcommittedundrawnlinesofcreditunder$,_________whichintheaggregateexceed$,_________（collectively,theOtherDebt）,and

（b）NodefaultoreventofdefaultisexistingwithrespecttosuchOtherDebtandallrepresentationsandwarrantiesmadepursuanttothedocumentsrelatingtotheOtherDebtaretrueandcorrect.

3.5Taxes.Allfederal,state,localandforeigntaxreturns,reportsandstatements（collectively,theTaxReturns）requiredtobefiledbytheBorroweroranyoftheBorrowersTaxAffiliates（asdefinedbelow）havebeenfiledwiththeappropriategovernmentalagenciesinalljurisdictionsinwhichsuchTaxReturnsarerequiredtobefiled（aftergivingeffecttoanyextensionsobtainedforthefilingthereof）,allsuchTaxReturnsaretrueandcorrectinallmaterialrespects,andalltaxes,chargesandotherimpositionsdueandpayablehavebeentimelypaidpriortothedateonwhichanyfine,penalty,interest,latechargeorlossmaybeaddedtheretofornon-paymentthereof.ProperandaccurateamountshavebeenwithheldbytheBorrowerandeachoftheBorrowersTaxAffilia
