Whereas

1.PartyBshallentrustPartyDtodevelopandconstructanInternetinformationserviceprojectin_________（COUNTRY）.

2.PartyCshallbethesupplierofthemainexportedequipmentneededtodevelopandconstructtheInternetinformationserviceprojectofPartyB.

3.PartyAshallprovidefinancialsupportforthedevelopmentand

constructionoftheinformationserviceproject.TheconcretemeansshallbetoprovidemajorfinancialsupportfortheexportoftheequipmentofPartyC.

Inordertofacilitatethedevelopmentandconstructionoftheinformationserviceprojectandensureasmoothpayment,allthepartieshavereached,throughfriendlynegotiation,anagreementasfollows:

1.PartyAshallprovidePartyCwithasupportfundofUS$,_________asPartyC’ssellercreditfortheequipmentPartyCexportstoPartyDandastheprojectconstructionfund.

2.PartyAshalldesignatePartyBastheagentofpaymentofthesupportfund.

3.PartyDshallentrustPartyBtotakechargeoftheimportoftheequipmentneededfortheproject.

4.ProvidedPartyBhasreceivedthesupportfundfromPartyA,PartyBagreestogivedirectionofpaymentinaccordancewiththeimportorderofequipmentsubmittedbyPartyDandarrangeforthepaymentofsupportfundto

PartyC.Inaddition,PartyBshallreportthepaymentofthesupportfundtoPartyDsothatthelattercanknowaboutandsupervisetheuseofthesaidfund.

5.AllthepartiesagreethattheContractontheJointEstablishmentofanInternetServiceNetworkconcludedbyPartiesA,BandCon_________,_________,_________（M,D,Y）shallbeterminatedonthedatewhenthiscontractisconcluded,andshallbereplacedbytheInformationServiceProjectContract,theInternetInformationServiceProjectServiceContractandthiscontractconcludedbyPartiesBandDon_________,_________,_________（M,D,Y）.

6.Anydifferencesanddisputesarisingintheprocessoftheconstructionanddevelopmentoftheprojectshallbesettledbybothparties

throughconsultations.Shouldthisdonotwork,thedisputesshallbesubmittedtotheBeijing-basedChinaInternationalEconomicandTradeArbitration

CommissionforarbitrationinaccordancewithitsregulationsinBeijing.The

awardshallbefinalandbindingforbothparties.Theloserinthearbitrationshallbeartheexpensesincurredtherein.

PaymentandGuaranteeAgreement付款保证书-

SECTION2.01

（a）TheGuarantorirrevocablyandunconditionallyagreestopayinfulltotheHolderstheGuaranteePayments,asandwhendue（excepttotheextentpaidbytheIssuer）,regardlessofanydefense,rightofset-offorcounterclaimwhichtheIssuermayhaveorassert.TheGuarantor’sobligationtomakeaGuaranteePaymentmaybesatisfiedbydirectpaymentoftherequiredamountsbytheGuarantortotheHoldersorbycausingtheIssuertopaysuchamountstotheHolders.

（b）AllGuaranteePaymentsshallbemadewithoutdeductionfororonaccountofanypresentorfuturetaxes（otherthanwithholdingtaxes）,duties,assessmentsorgovernmentalchargesofwhatevernatureimposedorleviedupontheIssuerbyoronbehalfoftheUnitedStates,anystatethereoforanyotherjurisdictionthroughwhichorfromwhichsuchpaymentismade,oranyauthoritythereinorthereofhavingpowertotax,unlessthedeductionofsuchtaxes,duties,assessmentsorgovernmentalchargesisrequiredbylaw.Inthatevent,theGuarantorshallpaysuchadditionalamounts（AdditionalInterest）asmaybenecessaryinorderthatthenetamountsreceivedbytheHoldersaftersuchdeductionwillequaltheamountwhichwouldhavebeenreceivableinrespectoftheSeriesAPreferredSecuritiesintheabsenceofsuchdeduction.

SECTION2.02TheGuarantorherebywaivesnoticeofacceptanceofthisGuaranteeAgreementandofanyliabilitytowhichitappliesormayapply,presentment,demandforpayment,protest,noticeofnonpayment,noticeofdishonor,noticeofredemptionandallothernoticesanddemands.

SECTION2.03Theobligations,covenants,agreementsanddutiesoftheGuarantorunderthisGuaranteeAgreementshallinnowaybeaffectedorimpairedbyreasonofthehappeningfromtimetotimeofanyofthefollowing:

（a）thereleaseorwaiver,byoperationoflaworotherwise,oftheperformanceorobservancebytheIssuerofanyexpressorimpliedagreement,covenant,termorconditionrelatingtotheSeriesAPreferredSecuritiestobeperformedorobservedbytheIssuer;

（b）theextensionoftimeforthepaymentbytheIssuerofalloranyportionoftheDividends,RedemptionPrice,LiquidationDistributionoranyothersumspayableunderthetermsoftheSeriesAPreferredSecuritiesortheextensionoftimefortheperformanceofanyotherobligationunder,arisingoutof,orinconnectionwith,theSeriesAPreferredSecurities;

（c）anyfailure,omission,delayorlackofdiligenceonthepartoftheHolderstoenforce,assertorexerciseanyright,privilege,powerorremedyconferredontheHolderspursuanttothetermsoftheSeriesAPreferredSecurities,oranyactiononthepartoftheIssuergrantingindulgenceorextensionofanykind;

（d）thevoluntaryorinvoluntaryliquidation,dissolution,saleofanycollateral,receivership,insolvency,bankruptcy,assignmentforthebenefitofcreditors,reorganization,arrangement,compositionorreadjustmentofdebt,oforothersimilarproceedingsaffecting,theIssueroranyoftheassetsoftheIssuer;

（e）anyinvalidityof,ordefectordeficiencyin,anyoftheSeriesAPreferredSecurities;

or

（f）thesettlementorcompromiseofanyobligationguaranteedherebyorherebyincurred.

ThereshallbenoobligationoftheHolderstogivenoticeto,orobtainconsentof,theGuarantorwithrespecttothehappeningofanyoftheforegoing.

SECTION2.04Thisisaguaranteeofpaymentandnotofcollection.AHoldermayenforcethisGuaranteeAgreementdirectlyagainsttheGuarantor,andtheGuarantorwillwaiveanyrightorremedytorequirethatanyactionbebroughtagainsttheIssueroranyotherpersonorentitybeforeproceedingagainsttheGuarantor.SubjecttoSection2.05,allwaivershereincontainedshallbewithoutprejudicetotheHolders’rightattheHolders’optiontoproceedagainsttheIssuer,whetherbyseparateactionorbyjoinder.TheGuarantoragreesthatthisGuaranteeAgreementshallnotbedischargedexceptbypaymentoftheGuaranteePaymentsinfull（totheextentnotpaidbytheIssuer）andbycompleteperformanceofallobligationsoftheGuarantorcontainedinthisGuaranteeAgreement.

SECTION2.05TheGuarantorshallbesubrogatedtoall（ifany）rightsoftheHoldersagainsttheIssuerinrespectofanyamountspaidtotheHoldersbytheGuarantorunderthisGuaranteeAgreementandshallhavetherighttowaivepaymentofanyamountofGuarantyPaymentsinrespectofwhichpaymenthasbeenmadetotheHoldersbytheGuarantorpursuanttoSection2.01;

provided,however,thattheGuarantorshallnot（excepttotheextentrequiredbymandatoryprovisionsoflaw）exerciseanyrightswhichitmayacquirebywayofsubrogationoranyindemnity,reimbursementorotheragreement,inallcasesasaresultofapaymentunderthisGuaranteeAgreement,if,atthetimeofanysuchpayment,anyamountsaredueandunpaidunderthisGuaranteeAgreement.IfanyamountshallbepaidtotheGuarantorinviolationoftheprecedingsentence,theGuarantoragreestopayoversuchamounttotheHolders.

SECTION2.06TheGuarantoracknowledgesthatitsobligationshereunderareindependentoftheobligationsoftheIssuerwithrespecttotheSeriesAPreferredSecuritiesandthattheGuarantorshallbeliableasprincipalandsoledebtorhereundertomakeGuaranteePaymentspursuanttothetermsofthisGuaranteeAgreementnotwithstandingtheoccurrenceofanyeventreferredtoinsubsections（a）through（f）,inclusive,ofSection2.03hereof.
