BeitenactedbytheQueen’smostExcellentMajesty,byandwiththeadviceandconsentoftheLordsSpiritualandTemporal,andCommons,inthispresentParliamentassembled,andbytheauthorityofthesame,asfollows:

(a)theRestrictivePracticesCourtAct1976(c.33),
(b)theRestrictiveTradePracticesAct1976(c.34),
(c)theResalePricesAct1976(c.53),and
(d)theRestrictiveTradePracticesAct1977(c.19).
2Agreementsetc.preventing,restrictingordistortingcompetition
(1)Subjecttosection3,agreementsbetweenundertakings,decisionsbyassociationsofundertakingsorconcertedpracticeswhich—
(a)mayaffecttradewithintheUnitedKingdom,and
(b)haveastheirobjectoreffecttheprevention,restrictionordistortionofcompetitionwithintheUnitedKingdom,
areprohibitedunlesstheyareexemptinaccordancewiththeprovisionsofthisPart.
(2)Subsection
(1)applies,inparticular,toagreements,decisionsorpracticeswhich—
(a)directlyorindirectlyfixpurchaseorsellingpricesoranyothertradingconditions;
(b)limitorcontrolproduction,markets,technicaldevelopmentorinvestment;
(c)sharemarketsorsourcesofsupply;
(d)applydissimilarconditionstoequivalenttransactionswithothertradingparties,therebyplacingthematacompetitivedisadvantage;
(e)maketheconclusionofcontractssubjecttoacceptancebytheotherpartiesofsupplementaryobligationswhich,bytheirnatureoraccordingtocommercialusage,havenoconnectionwiththesubjectofsuchcontracts.
(3)Subsection
(1)appliesonlyiftheagreement,decisionorpracticeis,orisintendedtobe,implementedintheUnitedKingdom.
(4)Anyagreementordecisionwhichisprohibitedbysubsection
(1)isvoid.
(5)AprovisionofthisPartwhichisexpressedtoapplyto,orinrelationto,anagreementistobereadasapplyingequallyto,orinrelationto,adecisionbyanassociationofundertakingsoraconcertedpractice(butwithanynecessarymodifications).
(6)Subsection(5)doesnotapplywherethecontextotherwiserequires.
(7)Inthissection“theUnitedKingdom”means,inrelationtoanagreementwhichoperatesorisintendedtooperateonlyinapartoftheUnitedKingdom,thatpart.
(8)Theprohibitionimposedbysubsection
(1)isreferredtointhisActas“theChapterIprohibition”.
3Excludedagreements
(1)TheChapterIprohibitiondoesnotapplyinanyofthecasesinwhichitisexcludedbyorasaresultof—
(a)Schedule1(mergersandconcentrations);
(b)Schedule2(competitionscrutinyunderotherenactments);
(c)Schedule3(planningobligationsandothergeneralexclusions);
or
(d)Schedule4(professionalrules).
(2)TheSecretaryofStatemayatanytimebyorderamendSchedule1,withrespecttotheChapterIprohibition,by—
(a)providingforoneormoreadditionalexclusions;
(b)amendingorremovinganyprovision(whetherornotithasbeenaddedbyanorderunderthissubsection).
(3)TheSecretaryofStatemayatanytimebyorderamendSchedule3,withrespecttotheChapterIprohibition,by—
(b)amendingorremovinganyprovision—
(i)addedbyanorderunderthissubsection;
(ii)includedinparagraph1,2,8or9ofSchedule3.
(4)Thepowerundersubsection(3)toprovideforanadditionalexclusionmaybeexercisedonlyifitappearstotheSecretaryofStatethatagreementswhichfallwithintheadditionalexclusion—
(a)donotingeneralhaveanadverseeffectoncompetition,or
(b)are,ingeneral,bestconsideredunderChapterIIorthe[1973c.41.]FairTradingAct1973.
(5)Anorderundersubsection
(2)(a)or(3)(a)mayincludeprovision(similartothatmadewithrespecttoanyotherexclusionprovidedbytherelevantSchedule)fortheexclusionconcernedtoceasetoapplytoaparticularagreement.
(6)Schedule3alsogivestheSecretaryofStatepowertoexcludeagreementsfromtheChapterIprohibitionincertaincircumstances.
4Individualexemptions
(1)TheDirectormaygrantanexemptionfromtheChapterIprohibitionwithrespecttoaparticularagreementif—
(a)arequestforanexemptionhasbeenmadetohimundersection14byapartytotheagreement;
and
(b)theagreementisonetowhichsection9applies.
(2)AnexemptiongrantedunderthissectionisreferredtointhisPartasanindividualexemption.
(3)Theexemption—
(a)maybegrantedsubjecttosuchconditionsorobligationsastheDirectorconsidersitappropriatetoimpose;
(b)haseffectforsuchperiodastheDirectorconsidersappropriate.
(4)Thatperiodmustbespecifiedinthegrantoftheexemption.
(5)Anindividualexemptionmaybegrantedsoastohaveeffectfromadateearlierthanthatonwhichitisgranted.
(6)Onanapplicationmadeinsuchwayasmaybespecifiedbyrulesundersection51,theDirectormayextendtheperiodforwhichanexemptionhaseffect;
but,iftherulessoprovide,hemaydosoonlyinspecifiedcircumstances.
5Cancellationetc.ofindividualexemptions
(1)IftheDirectorhasreasonablegroundsforbelievingthattherehasbeenamaterialchangeofcircumstancesincehegrantedanindividualexemption,hemaybynoticeinwriting—
(a)canceltheexemption;
(b)varyorremoveany
