WHEREAStheundersignedwishtoenterintothisAgreementtodefinecertainparametersofthefuturelegalobligations,areboundbyadutyofConfidentialitywithrespecttotheirsourcesandcontacts.ThisdutyisinaccordancewiththeInternationalChamberofCommerce.

WHEREAStheundersigneddesiretoenteraworkingbusinessrelationshiptothemutualandcommonbenefitofthepartieshereto,includingtheiraffiliates,subsidiaries,stockholders,partners,co-ventures,tradingpartners,andotherassociatedorganizations（hereinafterreferredtoas“Affiliates”）.

NOWTHEREFOREinconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,thereceiptsofwhichisacknowledgedhereby,thepartiesherebyagreeasfollows:

1.TERMSANDCONDITIONS

A.Thepartieswillnotinanymannersolicit,noracceptanybusinessinanymannerfromsourcesortheiraffiliates,whichsourcesweremadeavailablethroughthisagreement,withouttheexpresspermissionofthepartywhomadeavailablethesourceand,

B.Thepartieswillmaintaincompleteconfidentialityregardingeachotherbusinesssourcesand/ortheirAffiliatesandwilldisclosesuchbusinesssourcesonlytothenamedpartiespursuanttotheexpresswrittenpermissionofthispartywhomadeavailablethesource,and,

C.Thattheywillnotinanyofthetransactionsthepartiesaredesirousofenteringintoanddo,tothebestoftheirabilitiesassuretheotherthatthetransactioncodesestablishedwillnotbeaffected.

D.Thattheywillnotdisclosenames,addresses,e-mailaddress,telephoneandtele-faxortelexnumberstoanycontactsbyeitherpartytothirdpartiesandthattheyeachrecognizesuchcontractsastheexclusivepropertyoftherespectivepartiesandtheywillnotenterintoanydirectnegotiationsortransactionswithsuchcontractsrevealedbytheotherpartyand

E.Thattheyfurtherundertakenottoenterintobusinesstransactionwithbanks,investors,sourcesoffundsorotherbodies,thenamesofwhichhavebeenprovidedbyoneofthe

F.Partiestothisagreement,unlesswrittenpermissionhasbeenobtainedfromtheotherparty（ies）todoso.Forthesaleofthisagreement,itdoesnotmatterwhetherinformationobtainedfromanaturaloralegalperson.Thepartiesalsoundertakenottomakeuseofathirdpartytocircumventthisclause.

G.ThatintheeventofcircumventionofthisAgreementbyeitherparty,directlyorindirectly,thecircumventedpartyshallbeentitledtoalegalmonetarypenaltyequaltothemaximumserviceitshouldrealizefromsuchatransactionplusanyandallexpenses,includingbutnotlimitedtoalllegalcostsandexpensesincurredtorecoverthelostrevenue.

H.Allconsiderations,benefits,bonuses,participationfeesand/orcommissionsreceivedasaresultofthecontributionsofthepartiesintheAgreement,relatingtoanyandalltransactionswillbeallocatedasmutuallyagreed.

I.ThisAgreementisvalidforanyandalltransactionbetweenthepartieshereinandshallbegovernedbytheenforceablelawinAllCommonwealthCountry’s,EuropeanUnionCountry’s,USACourts,orunderSwissLawinZurich,intheeventofdispute,thearbitrationlawsofstateswillapply.

J.Thesigningpartiesherebyacceptsuchselectedjurisdictionastheexclusivevenue.ThedurationoftheAgreementshallperpetuateforfive（5）yearsfromlastdateofsigning.

2.AGREEMENTTOTERMS

A.SignaturesonthisAgreementreceivedbythewayofFacsimile,Mailand/orE-mailshallbeanexecutedcontract.AgreementenforceableandadmissibleforallpurposesasmaybenecessaryunderthetermsoftheAgreement.

B.AllsignatoriesheretoacknowledgethattheyhavereadtheforegoingAgreementandbytheirinitialsandsignaturethattheyhavefullandcompleteauthoritytoexecutethedocumentforandinthenameofthepartyforwhichtheyhavegiventheirsignature.

WetheundersignedherewithreferredastheBUYER,underpenaltyofperjurydoherebyirrevocablyconfirmandirrevocablyaccepttopayallintermediariesandfeeholdersatthesametimeandinamannerasthesellerisbeingpaidforeachandeverytransactionofthiscontractuptothecompletionofthecontractplusrolloversandextensionsandinaccordancewiththebankdetailstobespecifiedinthehardcopiesofthiscontract.

We,theBUYER,irrevocablyconfirmthatwewillorderanddirectourbanktoendorseautomaticpaymentorderstothebeneficiariesnamedbelow;

furthermore,We,theBUYER,confirmthatallpayordersshallautomaticallytransferfundsasdirectedintoeachbeneficiariesdesignatedbankaccountwithin1（one）dayafterthedateofclosingandcompletionofeachandeveryshipmentoftheproductduringthecontracttermplusany/orextensionsandrolloverofthespecifiedcontract.Forthepurposeofclarity,weconfirmthattheclosingandcompletionofeachandeveryshipmentshallbedeemedtotakeplacewhentheletterofcreditissuedbythebuyerhasbeendrawndownatthecountersoftheissuingbank.

We,BUYER,agreestoprovideallbeneficiarieswithwrittenevidenceofthepayorderslodgedwithourbanktogetherwithacknowledgementsoftheiracceptance.Furthermore,ourbankshallbeinstructedtoprovidedulysignedandstampedacknowledgementofthisinstructionassetoutintheannex.Formingpartofthisagreement.ItisunderstoodthatforthepurposesofthisMasterFeeProtectionAgreement,ourbankshallbethesamebankandthisIMFPAactsasanintegralpartofit.

WetheundersignedbeingBUYERorthesellernamedlegallyauthorizedrepresentativeasstatedwithinthesignedandlegallybindingmaintransaction,contractunconditionallyagreeandundertaketoapproveandoriginateallpaymentsinUSDcurrencytoallbeneficiariesnamedbelowastheirrightfulandpayablecommissions.Thisagreementalsoactsasarecordconfirmingthecommissionamountsforeachnamedbeneficiaryassetoutbelow:

Thismasterfeeprotectionagreementcoverstheinitialcontractandshallincludeanyrenewals,extensions,rollovers,additionsoranynewortransfercontractanyhoworiginatedfromthistransactionbecauseoftheaboveintermediariesorchangingcodesoftheinitialcontractenteredintobetweentheBUYERandSELLER.

Thismasterfeeprotectionagreementandanysubsequentlyissuedpayordersshallbeassignable,transferableanddivisibleandshallnotbeamendedwithouttheexpresswrittenandnotarizedconsentofthereceivingbeneficiary.Allpartiesagreeneithertocircumventnortoattemptcircumventeitherforthetransactionofthiscurrentcontractorinthefutureforaperiodoffive（5）yearsfromthedateoftheexecutionofthisfeeprotectionagreement.Thisdocumentbindsallparties,theiremployees,associates,transfereesandassigneesordesignees.

Allfaxedand/ore-mailedsignaturesshallbeconsideredasoriginalsignaturesforthepurposeofbindingallpartiestothisagreement.Thisdocumentmaybesigned&

inanynumberofcounterpartsallofwhichshallbetakentogetherandshallconstituteasbeingone&

thesameinstrument.

Anypartymayenterintothisdocumentandtheagreementconstitutedtherebybysigninganycounterpartanytime,dateorperiodmentionedinanyprovisionofthisdocumentshallonlybeamendedbyagreementinwritingandsignedoffbyallpartiesconcerned.

Furthermore,weagreethatanyandallcommissionsdueshallbepaidtothebeneficiaryasaresultofanyrenewal,allrolloversandextensionsofthecontractandthatweshalleffectallnecessarydocumentationwithourbankwithoutanyunduedelaystoensuresuchcommissionsandpaidwithinthetermsoftheagreement.

PARTIALINVALIDITY:

Theillegality,invalidityandnon-enforceableprovisionofthisdocumentunderthelawsofanyjurisdictionshallnotaffectitsillegality,validityorenforceabilityunderthelawofanyotherjurisdictionorprovision.

GOVERNINGLAWANDJURISDICTION:

Thisdocumentshallbegoverned&

construedinaccordancewithcurrentEnglishorI.C.C400/500/600signedbetweenpartnersNCNDlaws.

ARBITRATION:

Allpartiesagreetoreferanydisputesbetweenthepartiesarisingoutoforinconnectionwiththisagreementincludinganyquestionsregardingitsexistence,validityorterminationtoarbitrationrulesoftheinternationalarbitrationcentre（I.A.C）.TheappointedarbitratorshallholdtheproceedingsinanycountrychosenbythepartiesandtherulesoftheIACshallapply.

Thisdocumentissignedandacceptedbypartiesnamedbelowastobeincludedinthemaincontract.
