Article1BothPartyAandPartyBagreetousetheaccountwithnameC00000000andaccountnumber0000000000000000astheescrowaccountforstockhousetransactionfund（hereinafterreferredtoasthe“escrowaccount”）,andvoluntarilydeposittheself-ownedtransactionfund（hereinafterreferto“self-ownedfund”）fromPartyBtotheaccountasappointedinBeijingStockHouseSalesContractaswellasentrustPartyCtomonitortheaccount.Ifthetransactionsucceeds,self-ownedfundanditsinterestobtainedduringthedeposittermwillbelongtoPartyA;

ifthetransactionfails,boththeprincipalandinterestintheaccountwillbelongtoPartyB.

PartyAopenstheaccountatICBCwithaccountnamexxxxxxxandaccountnumber00000000000000000000.Ifthetransactionsucceeds,itwillbeservedasreceivingaccountforself-ownedfund.

PartyBopenstheaccountatICBCwithaccountnameHUANGZhihongandaccountnumber0000000000000000.Ifthetransactionfails,theself-ownedfundwillbetransferredtothisaccount.

Duringthetransactionprocessofthestockhouse,PartyAandPartyBcan’tunsubscribethereceivingaccountandpayingaccountabove.Thepartywhounsubscribetheaccountwillbeartheresponsibilityiffundscan’tbetransferredtotheaccount.

Article2Fundsupervisionterm:

fromthedatePartyBdepositsself-ownedfundintotheescrowaccounttothedatebothpartiescompletetheregistrationofpropertyownershiptransferandself-ownedfundistransferredtoPartyA.

Ifthetransactionfails,fromthedatePartyBdepositsself-ownedfundintotheescrowaccounttothedatebothpartiescancelstockhouseonlinecontractandself-ownedfundistransferredtoPartyB.

Article3PartyC’ssupervisionobligation:

duringsupervisionperiod,PartyCshallissueelectronicorderviastockhousetransactionserviceplatformtorequirebanktotransfertheescrowaccountself-ownedfund.ForcapitallossofhousetransactionpartiesthatarecausebyPartyC’sreason,PartyCshallundertakerelevantcompensationobligation.

Ifthefollowingsituationsoccur,PartyCwillissueanelectronicorderviathestockhousetransactionserviceplatformtoreleasethesupervisiontowardstheself-ownedfund,andtransfertheself-ownedfunddepositedbyPartyBintheescrowaccounttotheaccountofPartyB.

1.BothPartyAandPartyBagreetocanceltheBeijingStockHouseSalesContract,andlogouttheregistrationofonlinesignedcontractwithPartyC’sAgreement.

2.DuringtheprocessofpropertytransferbetweenPartyAandPartyB,thetransferregistrationcannotbeprocessedbecauseofunqualifiedconditionsverifiedbyhousepropertyregistrationdepartment.

3.Conditionsthatthetransactionfailsduetolimitationofrightauthorityandothers.

4.Othersituationsthatfailstobeachieved.

Article4AnydisputeoccursbetweenPartyAandPartyBduringthestockhousetransactionshouldbesolvedbybothpartieswithoutinterruptionfromPartyC.PartyCwillnotbearanyotherresponsibilityexceptforsupervisingthefundappointedinthecontract.

Article5Ifanyrightauthorityfreezesordeductsfundfromtheescrowaccount,PartyCwillnotbearanyresponsibilityforanyresultinducedbytheactionoffreeze-upanddeduction,butitisresponsibletoassistthesupervisingbanktoprovethecharacteroftheescrowaccountandfund.

Article6Ifdisputeshappenwhenperformingagreements,threepartiesshouldnegotiatetosettle.Ifnegotiationfails,threepartieswillsettleaccordingto2ndmethod:

1.ToappealtolocalPeople’sCourttowhichPartyCbelongs.

2.TofiletoBeijingarbitrationcommitteeforarbitration.

Article7Theagreementisprintedinquadruplicateandoneisforeachparty,andeachhasequallaweffect.

Article8TheagreementtakeseffectfromthedateofsigningorstampingbybothPartyAandPartyBaswellasstampingbyPartyC.
