1.1EmployerherebyemploysEmployeeandEmployeeherebyacceptsemploymentuponthetermsandconditionshereinaftersetforth.
1.2EmployeerepresentsthatEmployeeisfreetoenterintothisAgreementandtocomplywithallconditionscontainedinthisAgreement.
Article2【
Services&
DutiesofEmployee
2.1EmployeeshallperformalldutiesincidenttohisemploymentanddevotehisbesteffortsnecessarytothebusinessofEmployer.
2.2EmployeeshallworkexclusivelyforEmployerandshallnotengageinanybusinessactivitiesincompetitionwithEmployer'
sbusiness.Thisclauseshallsurviveandcontinueinfullforceandeffectforsuccessive○○○yearsaftertheterminationorexpirationofthisAgreementforanyreasonwhatsoever.
2.3Employeeshallnotdiscloseanybusiness,financial,technicalorotherinformationofEmployerofconfidentialnaturetoanyotherperson,partyorentity.Thisclauseshallsurviveandcontinueinfullforceandeffectforsuccessive○○○yearsaftertheterminationorexpirationofthisAgreementforanyreasonwhatsoever.
2.4Employeeshallobserveallregulations,rules,directionsandinstructionsofEmployerduringthelifeofthisAgreement.
Article3【
Workingtime
3.1Workingtimeshallbeonweekdaysfrom○○○a.mto○○○p.m.Thelimitofworkinghourscanbechangedandextendedbymutualagreement.
3.2Workingtimecanbechangedbymutualagreement.
Article4【
HolidaysandVacation
4.1Employeeshallhavealllocalofficialholidaysaccordingtolocallabourlaw.
4.2Employeeshallbeentitledeachyeartovacationof○○○days,theperiodofwhichmaybedividedatEmployer'
sdiscretion.
Article5【
ProbationPeriod
5.1Employerwillexercise○○○monthsprobationperiodfromthefirstworkingday.
5.2Duringorattheendofthisprobationperiod,EmployerreservestherighttoevaluatetheEmployeeandtoterminatethisAgreementwithpriornoticeandEmployeealsohassamerighttoleavewithpriornotice.
Article6【
Compensation
6.1Employershallpay○○○permonthasmonthlywagetoEmployeeatthe○○○thdayofeachmonthforanyandallservicesrenderedbyEmployee.Duringtheprobationaryperiod,unlessotherwisespeciallyagreedbetweentheparties,Employerwillpay○○○permonthasmonthlywagetoEmployee.
6.2Employermaypaybonus(○○○%ofonemonthsalaryandapplicablefromEmployee'
s○○○workingyear)totheEmployeeattheendofeachcalendaryear,butpaymentofthebonuswillbedecidedentirelyatthediscretionoftheEmployerandaccordingtoEmployee'
sserviceperformance.
6.3RetirementgratuitysystemwillbemanagedaccordingtotheSocialSecurityLawof.○○○
6.4AnygovernmenttaxesandrelatedexpenseswhicharerequiredbylawshallbebornebyEmployeeandbedeductedfromtheEmployee'
smonthlysalary.
6.5EmployeehasnorighttoclaimanyothercompensationwhatsoeverthanthoseexpresslydescribedinthisAgreement.
Article7【
Relationshipbetweentheparties
Therelationshipbetweenthepartiesisthatofemployerandemployee.Employeeisnotauthorizedtomakecontracts,issueguarantees,makecommitmentordoanyotheractwhichwillbind,obligateorrenderEmployerliabletoanyperson,firmorcorporationinanymannerwithoutthepriorwrittenapprovalofEmployerineachinstance.
Article8【
Term
8.1ThisAgreementshallbecomeeffectiveon(○○Date○○Month○○Year)andshallthereaftercontinueinfullforceandeffectforaperiodof○○○year.
8.2ThisAgreementwillbeautomaticallyextendedforsuccessive○○○yearunlessotherwiseeitherpartygiveswrittennoticetoterminateatleast○○○monthpriortotheexpirationofthetermoftheAgreement.
Article9【
Termination
9.1ThisAgreementmaybeterminatedbyeitherpartybygiving○○○monthpriorwrittennotice,shouldtheotherpartyatanytimebreachanytermorconditionofthisAgreement.
9.2DuringthetermofthisAgreement,theEmployerreservestherightstoterminatethisAgreementbygiving○○○monthpriorwrittennoticeatanytimewhenEmployerdeterminesthatEmployeehasbecomeunabletoperformeffectivelyhisdutieshereunderbecauseofanyphysicalormentalcondition.
9.3Suchterminationshallnotaffectanyrightsandobligationswhichhaveaccruedtoeitherpartyuptothedateofsuchtermination.
Article10【
Damage
10.1EmployeeshallindemnifyandsaveharmlesstheEmployerfromanydamageswhichtheEmployermaysustain,inanymannerthroughthemisconductornegligenceofEmployee.
10.2EmployeeshallberesponsibleforallcompensationforanypropertydamageormonetarylosscausedbyEmployeeand,ifnecessary,EmployercansubtractthesumforcompensationfromEmployee'
scompensation.
Article11【
Assignment
ThisAgreementispersonalinitscharacter,andanyattemptbyeitherpartytoassignortransferthesamewithoutthepriorwrittenconsentoftheotherpartyshallbenullandvoidandshallconstituteabreachhereof.
Article12【
EntireAgreement
ThisAgreementsetsforththeentireunderstandingbetweenthepartiesrelatingtothesubjectscontainedhereinandmergesallpriordiscussionsbetweenthem.NooralexplanationororalinformationbyeitherpartyheretoshallalterthemeaningorinterpretationofthisAgreement.Nomodification,alteration,additionorchangeinthetermshereofshallbebindingoneitherpartyheretounlessreducedtowritinganddulyexecutedbyanauthorizedofficerofeachparty.
Article13【
SettlementofDisputeandGoverningLaw
13.1ThisAgreementshallbeinterpretedandgovernedbythelawsof○○○.
13.2Alldisputes,controversies,ordifferenceswhichmayarisebetweentheparties,outoforinrelationtoorinconnectionwiththisContract,orforthebreachthereof,shallbefinallysettledbyarbitrationinSeoul,KoreainaccordancewiththeArbitrationRulesoftheKoreanCommercialArbitrationBoard.Theawardrenderedbythearbitrator(s)shallbefinalandbindinguponbothpartiesconcerned.
INWITNESSWHEREOF,thePartiesheretohavedulyexecutedthisAgreementintwocounterparts,eachofwhichmaybeconsideredasoriginal,asofthedatefirsthereabovewritten.
