Iftheregisteredcapitalispaidininstalments,thecontributiontothefirstinstalmentshallnotbelessthan15%ofitssubscribedcapital.Itisnotlessthanthestatutoryminimumamountofregisteredcapital;

thefirstinstalmentshallbepaidwithinthreemonthsupontheissuanceofbusinesslicense.TherestpartofthecapitalcontributiontimeshallbeconformedbytheprovisionsoftheCompanyLaw,therelevantforeigninvestmentlawsandtheregulationsontheAdministrationofCompanyRegistrationRegulations.Otherlaws,administrativeregulationsshallpaythewholecapitalbyshareholderswhenthecompanyfounded,withitsprovisions.

Generally,thecompanyinthebusinessperioddoesnotreduceitsregisteredcapital.

Article13

Theboardofshareholders/shareholdershallperformthefollowingfunctionsandpowers:

（1）Todecideonthebusinesspolicyandinvestmentplanofthecompany;

（2）Toelectandrecalldirectorandsupervisorwhosepostsarenottakenbytherepresentativesofthestaffandworkers,andtodecideonmattersconcerningtheremunerationofdirectorsandsupervisors;

（3）Toexamineandapprovereportsoftheexecutivedirector;

（4）Toexamineandapprovereportsofthesupervisor;

（5）Toexamineandapprovetheannualfinancialbudgetplanandfinalaccountsplanofthecompany;

（6）Toexamineandapproveplansforprofitdistributionofthecompanyandplansformakinguplosses;

（7）Toadoptresolutionsontheincreaseorreductionoftheregisteredcapitalofthecompany;

（8）Totheissuanceofcorporatebonds

（9）Toadoptresolutionsonmatterssuchasthemerger,division,transformation,dissolutionandliquidationofthecompany;

（10）Toamendthearticlesofassociationofthecompany.

Asspecifiedintheprecedingparagraphmattersneedallshareholdersagreed,andbyalltheshareholdersinthedecidedtofilesignature,stamp.

Article16

Theshareholdersmeetingshallbeconvenedatleasttimeseveryyear.Theshareholdersrepresentone-tenthormoreofthevotingrights,one-thirdormoreofthedirectors,supervisorswouldproposetoconveneaninterimmeeting,andtheinterimmeetingshallbeconvened.

CHAPTER5boardsofdirectors/executivedirector

（6）Toformulateplansfortheincreaseorreductionoftheregisteredcapitalandissuanceofcompanybondofthecompany;

（7）Toformulateplansforthemerger,division,transformationanddissolutionofthecompany;

（8）Todecideontheestablishmentofthecompany'

sinternalmanagementorgans;

（9）Todecideonappointmentanddismissthecompany'

smanagerandthematteronthemanager'

sremuneration,and,uponrecommendationofthemanager,todecideonappointmentanddismissthecompany'

sdeputymanager（s）andpersonsinchargeofthefinancialaffairsofthecompanyandthemattersconcerningtheirremuneration;

（10）Toformulatethebasicmanagementsystemofthecompany.
