Definitions

在包含专用条件和本通用条件的合同条件（“本合同条件”）中，以下措辞和用语的含义以下所述。

除非上下文中还有要求，指当事人和当事各方的词包含企业和其余法律实体。

IntheConditionsofContract（"theseConditions"）,whichincludeParticularConditionsandtheseGeneralConditions,thefollowingwordsandexpressionsshallhavethemeaningsstated.Wordsindicatingpersonsorpartiesincludecorporationsandotherlegalentities,exceptwherethecontextrequiresotherwise.

1.1.1合同

1.1.1TheContract

1.1.1.1“合同（Contract）”指合同协议书、中标函、招标函、本合同条件、规范、图纸、

资料表、以及在合同协议书或中标函中列明的其余进一步的文件（若有时）。

1.1.1.1"Contract"meanstheContractAgreement,theLetterofAcceptance,theLetterofTender,theseConditions,theSpecification,theDrawings,theSchedules,andthefurtherdocuments（ifany）whicharelistedintheContractAgreementorintheLetterofAcceptance.

1.1.1.2“合同协议书（ContractAgreement）”指第款【合同协议】中所说明的合同协

议（若有时）。

1.1.1.2"ContractAgreement"meansthecontractagreement（ifany）referredtoinSub-Clause1.6[ContractAgreement].

1.1.1.3“中标函（LetterofAcceptance）”指雇主对招标文件签订的正式接受函，包含其

后所附的备忘录（由合同各方达成并签订的协议构成）。

在没有其中标函的状况下，“中标函”

一词就指合同协议书，颁发或接收中标函的日期就指两方签订合同协议书的日期。

1.1.1.4“招标函（LetterofTender）”指名称为招标函的文件，由承包商填写，包含已署名的对雇主的工程报价。

1.1.1.4"LetterofTender"meansthedocumententitledletteroftender,whichwascompletedbytheContractorandincludesthesignedoffertotheEmployerfortheWorks.

1.1.1.5“规范（Specification）”指合同中名称为规范的文件，及依据合同规定对规范的增添和改正。

此文件详细描绘了工程。

1.1.1.5"Specification"meansthedocumententitledspecification,asincludedin

theContract,andanyadditionsandmodificationstothespecificationinaccordancewiththeContract.SuchdocumentspecifiestheWorks.

1.1.1.6“图纸（Drawings）”指合同中规定的工程图纸，及由雇主（或代表）依据合同颁发的对图纸的增添和改正。

1.1.1.6"Drawings"meansthedrawingsoftheWorks,asincludedintheContract,

andanyadditionalandmodifieddrawingsissuedby（oronbehalfof,theEmployerinaccordancewiththeContract.

1.1.1.7“资料表（Schedules）”指合同中名称为资料表的文件，由承包商填写并随招标函提交。

此文件可能包含工程量表、数据、列表、及费率和/或单价表。

1.1.1.7"Schedules"meansthedocument（s）entitledschedules,completedbytheContractorandsubmittedwiththeLetterofTender,asincludedintheContract.

1.1.1.8“招标文件（Tender）”指招标函和合同中规定的承包商应随招标函提交的其余所有文件。

1.1.1.8"Tender"meanstheLetterofContractorsubmittedwiththeLetterofT

Tenderandallotherdocumentswhichtheender,asincludedintheContract.

1.1.1.9“招标函附录（AppendixtoTender）”指名称为招标函附录并已填写完成的文件，

附于招标函以后并构成招标函的一部分。

1.1.1.9"AppendixtoTender"meansthecompletedpagesentitledappendixto

tenderwhichareappendedtoandformpartoftheLetterofTender.

1.1.2当事各方和当事人

1.1.2PartiesandPersons

1.1.2.1“一方（Party）”指雇主或承包商（依据上下文而定）。

1.1.2.4“工程师（Engineer）”指雇主为合同之目的指定作为工程师工作并在招标函附录中指明的人员，或由雇主依照第3.4款【工程师的撤换】随时指定并通知承包商的其余人员。

1.1.2.4"Engineer"meansthepersonappointedbytheEmployertoactastheEngineerforthepurposesoftheContractandnamedintheAppendixtoTender,

orotherpersonappointedfromtimetotimebytheEmployerandnotedtotheContractorunderSub-Clause3.4[ReplacementoftheEngineer].

1.1.2.5“承包商的代表（Contractor’sRepresentitive）”指承包商在合同中指定的或由承包商依照第4.3款【承包商的代表】随时指定的代表承包商的人员。

1.1.2.5"Contractor'sRepresentative"meansthepersonnamedbytheContractor

intheContractorappointedfromtimetotimebytheContractorunderSub-Clause4.3[Contractor'sRepresentative],whoactsonbehalfoftheContractor.

1.1.2.6“雇主的人员”指工程师，第3.2款【工程师的受权】中所指的工程师助理以及所有其余职员、劳工和工程师或雇主的其余雇员；以及所有其余由雇主或工程师作为雇主的人员通知给承包商的人员。

1.1.2.8"Subcontractor"meansanypersonnamedintheContractasasubcontractor,oranypersonappointedasasubcontractor,forapartoftheWorks;andthelegalsuccessorsintitletoeachofthesepersons.

1.1.2.9“争端判决委员会”指合同中这样命名的一个或三个当事人，或依照第款【争

端判决委员会的任命】或依照第20.3款【未能赞成争端判决委员会的任命】指定的其余人员（一个或多个）。

1.1.2.9"DAB"meansthepersonorthreepersonssonamedintheContract,or

1.1.3日期、查验、限时和达成

1.1.3Dates,Tests,PeriodsandCompletion

1.1.3.1“基准日期”指提交招标文件截止日前28天的当天。

1.1.3.2“动工日期”指依照第8.1款【工程的动工】通知的日期。

1.1.3.3“完工时间”指在招标函附录中说明的,依照第8.2款【完工时间】的规定，由动工

日期算起到工程或某一区段（视状况而定）完工的日期（包含依照第8.4款【完工时间的延伸】决定的任何缓期）。

1.1.3.4“完工查验”指在雇主接完工程或某区段

（视状况而定）前依照第

9款【完工查验】

进行的查验，此查验可在合同中说明、或由两方磋商决定、或以改正的形式被指示进行。

1.1.3.4"TestsonCompletion"meansthetestswhicharespecifiedintheContractoragreedbybothPartiesorinstructedasaVariation,andwhicharecarried.outunderClause9[TestsonCompletion]beforetheWorksoraSection（asthecasemaybe）aretakenoverbytheEmployer.

1.1.3.5“接收证书”指依照第10条【雇主的接收】颁发的证书。

1.1.3.5"Taking-OverCertificate"meansacertificateissuedunderClause10

[Employer'sTakingOver].

1.1.3.6“完工后的查验”指合同中规定的，在雇主接收了工程或某区段（视状况而定）后，

依照特别应用条款的规定进行的查验（若有时）。

1.1.3.6"TestsafterCompletion"meansthetests（ifany）whicharespeckedinthe

ContractandwhicharecarriedoutinaccordancewiththeprovisionsoftheParticularConditionsaftertheWorksoraSection（asthecasemaybe）aretakenoverbytheEmployer.

1.1.3.7“缺点通知期”指依据招标函附录中的规定，从工程或区段依照第10.1款【工程

或区段的接收】被证明完工的日期算起，到依照第款【达成收尾工作和维修缺点】

通知工程或该区段（视状况而定）中的缺点的限时（包含依照第11.3款【缺点通知期的延伸】决定的任何缓期）。

1.1.3.7"DefectsNotificationPeriod"meanstheperiodfornotifyingdefectsintheWorksoraSection（asthecasemaybe）underSub-Clause11.1[CompletionofOutstandingWorkandRemedyingDefects],asstatedintheAppendixtoTender

1.1.3.8“履约证书”指依照第11.9款【履约证书】颁发的证书。

1.1.3.8"PerformanceCertificate"meansthecertificateissuedunderSubClause

1.1.3.9“日”指一个阳历日，而“年”指365天。

1.1.3.9"day"meansacalendardayand"year"means365days.

1.1.4款项与支付

1.1.4MoneyandPayments

1.1.4.1“接受的合同款额”指雇主在中标函中对实行、达成和维修工程所接受的金额。

1.1.4.1"AcceptedContractAmount"meanstheamountacceptedintheLetterofAcceptancefortheexecutionandcompletionoftheWorksandthe

1.1.4.2“合同价钱”指第14.1款【合同价钱】中定义的价钱，包含依据合同所做的调整。

1.1.4.2"ContractPrice"meansthepricedefinedinSub-Clause14.1[TheContractPrice],andincludesadjustmentsinaccordancewiththeContract.

1.1.4.3“花费”指承包商在现场内或现场外正当发生（或将要发生）的所有开销，包含管理费和近似支出，但不包含利润。

1.1.4.3"Cost"meansallexpenditurereasonablyincurred（ortobeincurred）bytheContractor,whetheronorofftheSite,includingoverheadandsimilarcharges,butdoesnotincludeprofit.

1.1.4.4“最后支付证书”指依照第14.13款【最后支付证书的颁发】颁发的支付证书。

1.1.4.4"FinalPaymentCertificate"meansthepaymentcertificateissuedunderSub-Clause14.13[IssueofFinalPaymentCertificate].
