甲方受
公司委托，由甲方同乙方经过友好协商，同意按下列条件及条款签订本专有技术合同。
本合同由
公司与乙方执行。
AndwhereasNanfangTechnologyCo.，Ltd.wishestoutilizetheknow-howpossessedbyPartyBtomanufacture，sellandexportthecontractproducts;
PartyA，authorizedbyNanfangTechnologyCo.，Ltd.，heldfriendlydiscussionswithPartyBandhaveconcludedunderthefollowingtermsandconditionsthiecontract.
第一条定义
1. Definitions
1．1专有技术，原指生产合同产品，甲方所需要的乙方所拥有和提供的全部生产技术及加工工艺。
该生产技术和加工工艺包括全部设计、制造、操作图纸及技术资料、制造工艺、生产程序和生产技术细节。
1.1 "
Know-how"
shallmeanallthemanufacturingtechnologyandprocessengineeringtomanufacturethecontractproductswhicharerequiredbyPartyAandwhichPartyBpossesses.Suchtechnologyengineeringshallincludetechnicaldetailsofalldesigns，operationdrawings，technicaldocumentations，manufacturingengineering，procedureandtechniques.
1．2合同产品，指
和
产品，该产品符合本合同附件一所规定的技术条件和技术标准。
也即甲方按照乙方提供的专有技术及设备进行制造和生产的产品。
1.2 "
Contractproducts"
shallrefertotheSIO2andITOconductivecoatingglassproductswhichareinconformitywiththetechnicalspecificationsandstandardsasspecifiedinAppendix1ofthiscontract，e.g.theproductsmanufacturedbyPartyAwiththeknow-howandequipmentsuppliedbyPartyB.
1．3技术资料，指制造合同产品所需要的全部“专有技术”，以及乙方在生产合同产品的过程中，所使用的全部有关设计和制造图纸，加工技术和工艺文件等资料。
具体内容及要求详见本合同附件二。

TechnicalDocumentations"
shallmeanalltheknow-hownecessarytomanufacturethecontractproductsandallthedesigns，drawings，processingtechniques，andengineeringdocuments，etc.thatPartyBusesinmanufacturingthecontractproducts.ThecontentsandrequirementsofsuchtechnicaldocumentationsaresetforthinAppendix2ofthiscontract.
1．4考核产品，指甲方用乙方提供的专有技术和专用设备所生产和制造的合同产品。
该产品经过验证符合并且达到本合同附件一所规定的技术条件和技术标准。

TestProducts"
shallmeanthecontractproductsmanufacturedbyPartyAwiththeknowhowandspecialequipmentsuppliedbyPartyBwhich，whentested，shallmeetthetechnicalspecificationsandstandardsasspecifiedinAppendix1ofthiscontract.
1．5工艺文件，指生产合同产品所需要的全部加工方法、加工手段、工艺过程卡片、工艺图纸、工序卡片等全套资料。
具体内容详见本合同附件二。

shallmeanthecompletesetofprocessingmethods，meansofprocessing，engineeringcards，drawings，workprocedures，etc.whicharenecessarytomanufacturethecontractproducts.DetailsaresetforthinAppendix2ofthecontract.
1．6工艺守则，指生产合同产品的全部生产和加工过程所必须遵循的原则。

shallmeanthoseregulationswhichshouldbefollowedwhenmanufacturingandprocessingthecontractproducts.
第二条合同内容和范围
2. Contents&
ScopesofContract
2．1乙方同意向甲方转让，甲方同意从乙方取得合同产品的专有技术。
甲方采用乙方的专有技术和主要设备，能够在甲方工厂生产出合格的合同产品。
其产品规格、型号、产量及技术条件和技术标准详见本合同附件一。
2.1 PartyBagreestotransfertoPartyAandPartyAagreestoprocurefromPartyBtheknowhowtomanufacturethecontractproducts.PartyAshall，initsownfactory，usetheknow-howandequipmentsuppliedbyPartyBtomanufacturequaliliedcontractproductsofwhichthespecifications，types，quantity，technicalspecificationandstandardsarespecifiedinAppendix1ofthecontract.
2．2乙方向甲方提供在甲方工厂生产合同产品的全部完整工艺文件和资料，能正确指导合同产品的生产。
详见本合同附件二。
2.2 PartyBshallprovidetoPartyAthecompletesetofengineeringdocumentsandtechnicaldocumentationstobeusedforthemanufactureofcontractproductsinPartyA'
sfactory.Suchengineeringdocumentsandtechnicaldocumentationsshallcorrectlydirectthemanufacture.DetailsaresetforthinAppendix2ofthecontract.
2．3乙方在提供技术资料的同时，还要提供全部技术标准。
2.3 TherelatedtechnicalstandardsshallbesubmittedbyPartyBatthesametimethetechnicaldocumentationisprovided.
2．4乙方向甲方提供用于在甲方工厂生产合同产品的全部专有技术资料必须是完整的技术资料。
2.4 Thetechnicaldocumentationcoveringtheknow-howtomeanufacturethecontractproductsshallbecomplete.
2．5乙方在向甲方提供技术的同时，并为甲方提供和选择生产合同产品所必须的关键设备。
这些设备的具体要求和规格详见“设备引进合同”。
设备合同的交付规定和交付办法，按设备合同的规定执行。
详见“生产设备引进合同”。
2.5 Inadditiontoprovidingtheknow-how，PartyBshallalsoselectandprovidetoPartyAthekeyequipmentnecessaryforthemanufactureofcontractproducts.Therequirementsandspecifica-tionsarespecifiedinthe"
EquipmentPurchaseContract"
（EPC）ofwhichthedeliveryandpaymentaresubjecttotheprovisionsthere-of.
2．6为了保证合同产品的生产，乙方同意甲方采用部分中国国产设备，和乙方选择提供的设备配套共同生产合同产品。
详见本合同附件三。
2.6 Toensurethemanufactureofcontractproducts，PartyBagreestotheintroductionofsomedomesticequipmentbyPartyAbobeusedwiththeequipmentprovidedbyPartyBinthemanufacture.DetailsofsuchdomesticequipmentaresetforthinAppendix4ofthecontract.
2．7乙方按照本合同附件四所规定的条件和要求，在乙方工厂为甲方培训技术人员，以保证所培训的人员能够掌握这些专有技术，生产合同产品。
2.7 PartyBshall，accordingtotheconditionsandrequirementsasspecifiedinAppendix4，rendertechnicaltrainingtoPartyA'
spersonnelinthefactoryofPartyBsoastoensurethatthepersonnelcanmastertheknow-howandbeabletomanufacturethecontractproducts.
2．8乙方按合同附件五所规定的条件，派遣称职的专家到甲方工厂进行技术指导、技术服务。
2.8 PartyBshall，accordingtotheconditionsasspecifiedinAppendix5，assigncompetentex.pertstoPartyA'
sfactorytorendertechnicalsupervisionandtechnicalservice.
第三条价格
3. ContractPrice
3．1按第二条所规定的合同内容和范围，乙方所提供的合同产品的专有技术包括工厂设计图纸，全部制造图纸，工艺文件，技术服务和技术培训等的全部资料总价格为
美元。
其中技术转让费为

3.1 AccordingtothecontractcontentsandscopesasspecifiedinChapter2，thetotalpriceoftheknow-howtomanufacturecontractproductsprovidedbyPartyBincludingthedesigns，drawings，engineeringdocuments，technicalserviceandtrainingshallamountto_________ofwhich_________shallbetransferfeeand_________shallbetrainingfee.
3．2上述合同的价格为固定价格，包括本合同第二条所规定的全部技术资料运抵
费用。
该价格包括乙方在本合同中所承担的其他义务的全部费用在内。
3.2 TheabovecontractpriceisfixedandshallincludetheexpensestoshipallthetechnicaldocumentationtoShenzhenasspecifiedinChapter2ofthecontract.SuchcontractpriceshallalsoincludetheexpensesforPartyBtocarryouttheothercontractobligationsofthiscontract.
3．3本合同内的一切费用均以美元计算和结算。
3.3 AllthecalculationsandpaymentofexpensesofthiscontractshallbeinU/S/Dollars.
3．4设备引进合同的总价格为

其具体执行办法按设备合同的规定执行。
3.4 Thetotalpriceoftheequipmentshallbe_________.TheexecutionshallbesubjecttotheprovisionsoftheEPC.
第四条支付与支付条件
4. Payment&
PaymentConditions
4．1本合同项下的一切费用，用M/T信汇方式支付。
甲方通过
银行，乙方通过指定的外国银行进行支付。
凡发生在中国境内的银行费用，由甲方负担，凡发生在中国境外的一切银行费用，由乙方负担。
4.1 ThepaymentofalltheexpensesunderthiscontractshallbemadebyM/TthroughBankofChina，ShenzhenBranchandthebankdesignatedbyPartyB.AllthebankexpensesoccuringinsideChinashallbebornebyPartyAandthoseoutsideChinashallbebornebyPartyB.
4．2本合同第三条3．1款所规定的总价格
美元，由甲方按照下列比例，方式支付给乙方：

（1）按本合同附件二的规定，乙方应于合同生效后两个月内交付所有技术文件。
技术文件交付的清单和技术文件的交付空运提单各一式四份。
（1）ThetechnicaldocumentationsasspecifiedinAppendix2ofthecontracttobedeliveredwithin2monthsafterthecontracttakeseffect;
thedetailedlistofsuchtechnicaldocumentationsandtheairmillofladinginfourcopiesrespectively.
（2）乙方说明按本合同附件二规定，应于合同生效后两个月内交完所有技术文件的确认函正本一份。
（2）OneoriginalcopyoftheletterofconfirmationofPartyBtocompletethetechnicaldocumentationsasspecifiedinAppendix2ofthecontractwithin2monthsafterthecontracttakeseffect.
（3）即期汇票正、副本各一份。
（3）Sightdraftoneoriginalandonecopy.
（4）金额
美元的商业发票四份。
（4）Commercialinvoiceof_________infourcopies.
4．2．2合同总值

美元，甲方在收到全部技术文件及技术培训开始前15天内用M/T信汇方式支付给乙方。

4．2．3合同总值
美元，甲方在完成设备安装、调试合格、正式投入生产、生产出合格产品，双方签署了合格证书、并在收到乙方的下列单据后，经审查无误，30天内以M/T信汇方式支付给乙方：

4．3设备合同总值
万美元（大写），其支付和支付办法，按设备合同的规定执行。
4.3 PaymentandtermsofpaymentoftheEPCamountingto_________shallbesubjecttotheprovisionsthereof.
第五条技术文件及设备的交付
5. DeliveryofTechnicalDocumentations&
Equipment
5．1乙方应按本合同附件二规定的内容和交付日期，将技术文件交付甲方。
5.1 PartyBshalldeliverthetechnicaldocumentationstoPartyAinaccordancewiththecontentsandscheduleasspecifiedinAppendix2ofthecontract.
5．2设备和设备技术文件的交付，要严格按照设备合同的交付规定执行。
5.2 ThedeliveryoftheequipmentandequipmenttechnicaldocumentsshallbesubjecttothetermsofdeliveryoftheEPC.
5．3每批技术资料发运后的两个工作日内，乙方应用电话将发运日期，发运数量，包装件数和重量，空运提单号，合同号，班机号和预计抵达时间，通知甲方，并同时用航空挂号信将下列单据寄交甲方：
