Instruction

ThecontractisasampleforTechnologyDevelopmentContractprintedbyMinistryofScienceandTechnologyofthePeople’sRepublicofChina.Thetechnicalcontractregistryorganscanrecommendthesampletothepartiesconcernedintechnologycontractsforreference.

1.Thecontractisappliedforthetechnologydevelopmentcontractsinwhichonepartyentruststheotherpartytoresearchanddevelopnewtechnologies,products,crafts,materialsornewvarietiesandseries.

2.Ifthereareseveralrepresentativesineitherparty,PartyAorPartyBcouldberespectivelylistedascommonentrustingpartyorcommonentrustedpartyinthe“EntrustingParty”or“EntrustedParty”provisions（newpage）accordingtotheirownrelationsinthecontract.

3.Anyconditionsnotstipulatedherewillbelistedintheappendixinaccordancewithtotheparties’negotiations.Andtheappendixformsanindispensablepartofthiscontract.

4.Asforthetermsandconditionsnoneedtobefilledinthiscontractagreeduponbytheparties,theyshouldbeindicatedwiththewordsuchasN/A.

Article9AsfortheliabilityforrisksinvolvedinafailureorpartialfailureinresearchanddevelopmentcausedbyinsurmountabletechnicaldifficultiesunderthecurrenttechnologyandconditionoccurringintheprocessofperformanceoftheContact,itshallbeundertakenbythetwopartiesinaccordancewiththefollowingstipulations:

Onceonepartydiscoversthatthesituationislikelytocauseafailureorpartialfailureinresearchanddevelopment,theDiscoverershallinformtheotherpartyofthesituationwithin_____daysandtakeappropriatemeasurestoreducelosses.Ifonepartyfailstoinformtheotherpartyinduetimeandtakeappropriatemeasuresandasaresultthelossesareaggravated,theresponsiblePartyshallbeartheliabilityfortheaggravatedpartofthelosses.

Article10IntheperformanceoftheContract,thetechnologywhichistheobjectofaresearchanddevelopmenthasbeenmadepublicbyothers（includingtheformofpatent）.OnepartyshallnotifytheotherpartytorescindtheContractwithin_____days.Ifonepartyfailstoinformtheotherpartyinduetimeandasaresulttheotherparty’slossesoccur,theotherpartyhasrighttoclaimcompensationforitslosses.
