TERMSANDCONDITIONS

1.合同概述

OVERVIEWOFAGREEMENT

本合同条款是规定XXXXXX公司拟于系统集成项目中提供客户服务及“产品”的相关规范。

有关“项目”所提供的特定服务及/或“产品”内容，请详见“工作说明书”及本合同“附件”规定。

TheseTermsandConditionssetoutthetermsunderwhichXXXXXXwillsupplyservicesandProductstoClientinasystemsintegrationproject.Thespecificservicesand/orProductstobedeliveredfortheProjectaresetoutinaStatementofWorkandtheScheduleswhichareincorporatedintheAgreement.

2.定义

DEFINITIONS

2.1“验收测试”是指依照双方同意并规定于“需求定义”内的客观标准，证明“系统”或“模块”符合规格的测试。

"AcceptanceTest"meanstestsbasedonobjectivecriteriaagreedanddocumentedintheRequirementsDefinitiondemonstratingthattheSystemorModulesmeettheSpecifications.

2.2“修改”是指将非XXXXXX公司所提供零件、电路板及次装配与“设备”组合，或修改其它非XXXXXX公司制作的设备或“软件”。

"Alterations"meanstheincorporationofnon-XXXXXXsuppliedcomponents,boardsandsubassembliesintoEquipment,aswellasmodificationstoequipmentorSoftwareotherthanthosemadebyXXXXXX.

2.3“附加装置”是指（但不限于）任何非XXXXXX公司所提供的设备、软件、零件或装置，且其由XXXXXX公司以外的人将其与XXXXXX公司的“产品”相连接。

"Attachments"means,butisnotlimitedto,anyequipment,software,componentsordevices,notprovidedbyXXXXXX,whichareconnectedtoXXXXXXProductsbyanyoneotherthanXXXXXX.

2.4“变更请求”是指任一当事人用来请求变更“工作说明书”的文件。

"ChangeRequest"meansadocumentusedbyeitherpartytorequestchangestotheStatementofWork.

2.5“客户审查期”是指“工作说明书”内所规定应交付工作项目送交客户后的审查期。

如“工作说明书”内未就个别应交付的工作项目订定审查期，则“客户审查期”应为五（5）日。

"ClientReviewPeriod"meanstheperiodforreviewsetoutintheStatementofWorkfollowingdeliverytoClientofadeliverable.IfnoperiodissetoutintheStatementofWorkforaparticulardeliverable,thentheClientReviewPeriodshallbefive（5）workingdays.

2.6“客户化软件”是指于“项目”期间依据约定“规格”所开发的软件及/或先前存在软件的修订版。

"CustomizedSoftware"meanssoftwareand/ormodificationstopre-existingsoftwarepreparedduringaProjectaccordingtoagreedSpecifications.

2.7“设备”是指本合同“附件”所规定提供作为“项目”一部份的设备。

"Equipment"meanstheequipmentsuppliedaspartofaProjectasspecifiedinaScheduletotheAgreement.

2.8“安装日期”是指XXXXXX公司完成“产品”安装的日期；或，如“产品”将由客户自行安装，则为“产品”装运后第十日。

"InstallationDate"meansthedateXXXXXXcompletesinstallationofaProductor,ifProductsaretobeinstalledbyClient,thetenthdayfollowingshipment.

2.9“模块”是指“系统”其可分离且可辨识部份。

"Module"meansadiscreteandidentifiablepartoftheSystem.

2.10“验收后支持期间”是指“验收测试”完成后，XXXXXX公司将以收费方式派遣“项目团队”成员提供客户顾问与协助服务约定期间。

"PostAcceptanceSupportPeriod"meansanagreedperiodoftimefollowingcompletionofAcceptanceTestswhenXXXXXXmakesavailable,atacharge,membersoftheProjectTeamtoprovideconsultancyandassistancetoClient.

2.11“产品”是指“设备”、“软件”、文件（包括手册）及培训教材。

"Products"meansEquipment,Software,documentation（includingmanuals）andtrainingmaterials.

2.12“产品支持服务”是指就标准“产品”所提供的各种类型安装、维护及支持服务。

"ProductSupportServices"meansvariousformsofinstallation,maintenanceandsupportforstandardProducts.

2.13“项目”是指“项目服务”订购单或“工作说明书”及相关“附件”内所规定，经XXXXXX公司于本合同下接受的“产品”、服务、工作及应交付工作项目。

"Project"meanstheProducts,services,tasksanddeliverablesdescribedinanorderforProjectServicesorStatementofWorkandrelatedScheduleswhichisacceptedbyXXXXXXunderthisAgreement.

2.14“项目管理计划”是指为管理“项目”而依据“工作说明书”所订定的详细计划。

“项目管理计划”于“项目”进行期间将斟酌考虑条件变化因素而更新。

”项目管理计划”的修改不得增加“项目”范围。

"ProjectManagementPlan"meansthedetailedplan,basedontheStatementofWork,foradministeringaProject.TheProjectManagementPlanisupdatedduringthecourseoftheProjecttotakeaccountofevolvingcircumstances.AmendmentoftheProjectManagementPlancannotincreasethescopeoftheProject.

2.15“项目范围审查”是指设计阶段结束时所进行“项目”剩余工作范围的审查。

"ProjectScopeReview"meansthereviewofthescopeoftheremainingtasksinaProjectconductedattheendofthedesignphase.

2.16“项目服务”是指“项目团队”提供符合约定“规格”的应交付工作项目服务。

"ProjectServices"meanstheProjectTeam'seffortstoprovidedeliverableswhichmeettheagreedSpecifications.

2.17“项目团队”是指受XXXXXX公司管理指挥以提供“项目服务”的团队。

“项目团队”可能包括客户的人员及经XXXXXX公司同意或指派的次承包商。

"ProjectTeam"meanstheteammanagedbyXXXXXXwhichprovidesProjectServices.TheProjectTeammayincludeClientpersonnelandsubcontractorsapprovedorappointedbyXXXXXX.

2.18“专有信息”是指“软件”、诊断、文件（包括手册）及任何其它经书面注明为对XXXXXX公司、其授权人或客户具机密性的信息。

"ProprietaryInformation"meansSoftware,diagnostics,documentation,includingmanuals,andanyotherinformationidentifiedinwritingasconfidentialtoXXXXXX,itslicensors,orClient.

2.19“需求定义”是指就新系统的需求为文档，包括验收标准及验收程序。

“需求定义”可能包含于“工作说明书”之内或于“项目”初期以应交付工作项目报告的形式呈现。

"RequirementsDefinition"meansthedocumentdefiningtherequirementsforthenewsystemincludingtheacceptancecriteriaandAcceptanceTestprocedures.TheRequirementsDefinitionmaybeincludedintheStatementofWorkormaybeproducedasadeliverablereportatanearlystageoftheProject.

2.20“附件”是指议定的“工作说明书”及规范供应作为“项目”一部份的“产品”、服务、工作及应交付工作项目的其它附件。

"Schedule"meanstheagreedStatementofWorkandotherattachmentsspecifyingProducts,services,tasksanddeliverablestobesuppliedaspartoftheProject.

2.21“软件”是指计算机程序的计算机语言及与其相关文件，但不包含维修诊断法。

XXXXXX公司所提供的原始码亦包含于“软件”范围内。

此外，使设备依照公布的规格运作但未嵌入电路的微码，亦包含于“软件”范围内。

"Software"meanstheobjectcodeversionofcomputerprogramsandanyrelateddocumentation,excludingmaintenancediagnostics.SoftwarealsomeansthesourcecodeversionwhereprovidedbyXXXXXX.Softwarealsomeansmicrocode,notembeddedinacircuitelement,thatenablesequipmenttofunctionaccordingtoitspublishedspecifications.

2.22“软件处理器”（SPU）是指控制及执行“软件”的设备。

"SoftwareProcessingUnit（SPU）"meansequipmentwhichcontrolsandexecutesSoftware.

2.23“规格”是指双方就“客户化软件”及“需求定义”所规定的“项目”其它组件所约定规格。

”规格”应依照本合同中的变更控制条款进行修改。

"Specifications"meanstheagreedspecificationsforCustomizedSoftwareandotherelementsoftheProjectsetoutintheRequirementsDefinition,asmodifiedinaccordancewiththechangecontrolprovisionsofthisAgreement.

2.24“工作说明书”是指双方同意就需求、工作及应交付“产品”及服务所议定界定“项目”范围的明确说明。

"StatementofWork"meansaspecificagreedstatementofrequirements,tasksanddeliverableProductsandservicesdefiningthescopeofaProject.

2.25“系统”是指XXXXXX公司所交付，且将于客户化及集成服务后依照“规格”进行测试的“产品”组合。

"System"meansthecombinationofProductsdeliveredbyXXXXXXwhicharetobetestedfollowingcustomizationandintegrationservicesforcompliancewiththeSpecifications.

3.生效日

EFFECTIVEDATE

本合同自双方当事人正式授权的代表签署本合同之时起生效。

本合同于其依本合同条款终止前均继续有效。

ThisAgreementwillbecomeeffectivewhensignedbydulyauthorizedrepresentativesofbothpartiesandwillcontinueineffectuntilterminatedaccordingtoitsterms.

PARTI-PROJECTORGANIZATION/SYSTEMSINTEGRATIONANDCUSTOMIZATIONSERVICES

4.系统集成服务/工作说明书/订购程序

SYSTEMSINTEGRATIONSERVICES/STATEMENTOFWORK/ORDERINGPROCEDURES

4.1XXXXXX公司将提供“附件”所列服务及“产品”。

XXXXXX公司于“项目”所提供服务的种类，依个案而有所不同，但一般应包含如下服务：

XXXXXXwillprovidetheservicesandProductslistedintheSchedules.ThenatureofservicesprovidedbyXXXXXXinaProjectwillvaryfromprojecttoprojectbutexamplesofsuchservicesinclude:

-将客户需求书面化；

DocumentingtheClient'srequirements.

-系统功能设计及技术设计；

Functionalandtechnicaldesignofsystems.

-场地需求审查及提供建议；

Reviewandrecommendationofsiterequirements.

-协调“产品”提供与客户场地；

CoordinationofthesupplyofProductstoClient'ssite.

-“产品”开发；

DevelopmentofProducts.

-由XXXXXX公司非专属“项目”人员进行品质管理审核；

QualityassurancereviewsbyXXXXXXpersonnelnotinvolvedintheProjectonafulltimebasis.

-“产品”安装与集成；

InstallationandintegrationofProducts.

-支持或进行“验收测试”；

SupportfororconductingofAcceptanceTests.

-评估培训需求，并培训客户员工；

EvaluationoftrainingrequirementsandtrainingofClient'sstaff.

-于“验收后支持期间”内支持“客户化软件”及集成服务；

SupportofCustomizedSoftwareandtheintegratedsystemduringaPostAcceptanceSupportPeriod.

-“产品”持续性维护及支持服务；

On-goingmaintenanceandsupportofProducts.

-项目管理。

ProjectManagement.

4.2“工作说明书”及其它“附件”界定“项目”的范围，其内容包含：

EachProjectisdefinedinaStatementofWorkandtheotherScheduleswhichinclude:

-XXXXXX公司所提供而客户支付对价的“产品”及服务；

TheservicesandProductstobesuppliedbyXXXXXXandpaidforbyClient.

-参与“项目”的当事人责任；

TheresponsibilitiesofthepartiesparticipatingintheProject.

-协助当事人计划“项目”的预定时间表；

AnestimatedtimetabletoassistthepartiesinplanningtheProject.
