　　Whereas,theprojectcontemplatedbythisAgreementisofmutualinterestandbenefittoUniversityandtoSponsorandwillfurtherinstructionalandresearchprojectobjectivesofUniversityinamannerconsistentwithitsstatusasanon-profit,tax-exempteducationalinstitution

　　1STATEMENTOFWORK?

　　TheUniversityagreestouseitsbesteffortstoperformtheprojectasdescribedinAppendixAhereof

　　2PRINCIPALINVESTIGATOR/PROJECTDIRECTOR?

　　TheprojectwillbedirectedbyPI/PDName?

If,foranyreason,sheisunabletocontinuetoserveasprincipalinvestigator/projectdirectorandamutuallyacceptablesuccessorisnotavailable,Universityand/orSponsorshallhavetheoptiontoterminatesaidprograminaccordancewithClause15-TERMINATION

　　3PERIODOFPERFORMANCE?

　　TheprojectshallbeconductedduringtheperiodofStartDateandEndDateandwillbesubjecttorenewalonlybymutualagreementoftheparties

　　4PROJECTCOSTSANDPAYMENT?

　　Inconsiderationoftheforegoing,SponsorwillpayUniversityforcostsincurredintheperformanceoftheproject,withoutanitemizedaccountingPaymentshallnotexceedthetotalestimatedcostofEnterAmount?

Sponsorshallmakepaymentwithinthirty30daysofthereceiptofaninvoicefromUniversityorshallpay$uponthefullexecutionofthisagreementand$onorabout[date]

　　BriefprogressreportsoftheprojectwillbemadeperiodicallybyUniversitytoSponsorandafinalreportwillberenderedoncompletionoftheproject?

DuringthetermofthisAgreement,representativesofUniversitywillconsultand/ormeetwithrepresentativesofSponsortodiscussprogressandresults,aswellasongoingplansoftheprojectandUniversitywillprovideprojectinformationtoSponsorasreasonablyrequested

　　6FACILITIES?

　　TheUniversitywillprovidetheutilitiesandoffice,laboratoryandfieldspaceneededfortheproject

　　7PROPERTY?

　　AllequipmentdetailedintheprojectbudgetandpurchasedfromthisfundshallbethepropertyoftheUniversity

　　8PUBLICITY?

　　SponsorwillnotusethenameofUniversity,norofanymemberofUniversity’sprojectstaff,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofanauthorizedrepresentativeofUniversity?

UniversitywillnotusethenameofSponsor,noranyemployeeofSponsor,inanypublicity,advertising,ornewsreleasewithoutthepriorwrittenapprovalofSponsor

　　9INSURANCE?

　　Universityrepresentsthatithasadequateliabilityinsurance,suchprotectionbeingapplicabletoofficers,employees,andagentswhileactingwithinthescopeoftheiremploymentbyUniversity?

TheUniversityhasnoliabilityinsurancepolicyassuchthatcanextendprotectiontoanyotherperson

　　10BACKGROUNDINTELLECTUALPROPERTY?

　　BackgroundIntellectualPropertymeanspropertyandthelegalrightthereinofeitherorbothpartiesdevelopedbeforeorindependentofthisAgreementincludinginventions,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyinformationembodyingproprietarydatasuchastechnicaldataandcomputersoftwareBothpartiesagreetoprovidetheBackgroundIntellectualPropertynecessarytocompletetheobjectivesoftheproject?

BothpartiesshallretainallrightstotheirrespectiveBackgroundIntellectualPropertyprovidedforthispurpose?

Neitherpartyshallassumeanyrightsintheotherparty’sBackgroundIntellectualPropertyprovidedforthisprojectotherthantherighttousesaidBackgroundIntellectualPropertytoachievetheobjectivesofthisproject

　　11PROJECTINTELLECTUALPROPERTY?

　　ProjectIntellectualPropertymeansthelegalrightsrelatingtoinventionsincludingSubjectInventionsasdefinedin37CFR401,patentapplications,patents,copyrights,trademarks,maskworks,tradesecretsandanyotherlegallyprotectableinformation,includingcomputersoftware,firstmadeorgeneratedduringtheperformanceofthisAgreement

　　OwnershipofProjectIntellectualPropertyshallvestinthepartywhosepersonnelconceivedthesubjectmatteranddiligentlypursuedreducingthesubjectmattertopractice,andsuchpartymayperfectlegalprotectionthereininitsownnameandatitsownexpense?

JointlymadeorgeneratedProjectIntellectualPropertyshallbejointlyownedbythePartiesunlessotherwiseagreedinwritingThePartiesagreetodisclosetoeachother,inwriting,eachandeveryInventionwhichmaybepatentableorotherwiseprotectableundertheUnitedStatesPatentlawsinTitle35,UnitedStatesCodeThePartiesacknowledgethattheywilldiscloseInventionstoeachotherandtheawardingagencywithintwo2monthsaftertheirrespectiveinventorsfirstdisclosetheinventioninwritingtothepersonsresponsibleforpatentmattersofthedisclosingparty?

AllwrittendisclosuresofsuchInventionsshallcontainsufficientdetailoftheinvention,identificationofanystatutorybars,andshallbemarkedconfidential,inaccordancewith35USC205SponsorshallreceivethefirstoptiontonegotiateforalicensetocommercializetheProjectIntellectualPropertyofUniversity,subjecttoanyrightsoftheGovernmenttherein?

SponsorisherebygrantedanexclusiveoptiontonegotiatethetermsforalicensetoProjectIntellectualPropertyofUniversity,foraninitialoptionperiodofthree3monthsaftersuchinventionhasbeenreportedtoSponsor?

ThetermsofsubsequentlicensingagreementsforUniversityownedand/orJointlyownedIntellectualPropertywillbenegotiatedingoodfaithandbymutualagreementbythePartiestothisAgreement

　　12CONFIDENTIALITY/PUBLICATIONS?

　　DuringthetermofthisAgreement,andforaperiodoffive5yearsthereafter,eachpartywillmaintaininconfidenceallconfidentialBackgroundIntellectualPropertyandProjectIntellectualPropertyofaparty,aswellasallotherConfidentialInformationofapartydisclosedbythatpartytotheotherinconnectionwiththisProject?

Neitherpartywilluse,discloseorgrantuseofsuchConfidentialInformationexceptasrequiredtoperformunderthisAgreement?

EachpartywilluseatleastthesamestandardofcareasitusestoprotectitsownConfidentialInformationtoinsurethatstudents,interns,employees,agentsandconsultantsdonotdiscloseormakeanyunauthorizeduseofsuchConfidentialInformation?

Anystudent,intern,employee,agentorconsultantofthereceivingpartymustbenotifiedoftherestrictionsontheuseofthedisclosingparty’sConfidentialInformationandmustagreewiththoserestrictionsbeforebeingallowedaccesstotheConfidentialInformation?

EachpartywillpromptlynotifytheotherupondiscoveryofanyunauthorizeduseordisclosureoftheConfidentialInformation

　　Eitherpartymaypublishitsresultsfromthisproject?

However,thepublishingpartywillprovidetheotherpartyathirty30dayperiodinwhichtoreviewproposedpublications,identifyproprietaryorconfidentialinformation,andsubmitcomments?

Thepublishingpartywillnotpublishorotherwisediscloseproprietaryorconfidentialinformationinaccordancewiththeproceduresdescribedinthisarticleandthepublishingpartywillgivefullconsiderationtoallcommentsbeforepublication?

Furthermore,uponrequestofthereviewingparty,publicationwillbedeferredforuptosixty60additionaldaysforpreparationandfilingofaPatentapplicationwhichthereviewingpartyhastherighttofileortohavefiledatitsrequestbythepublishingparty

　　AnyagreementtochangethetermsofthisAgreementinanywayshallbevalidwhenthechangeismadeinwritingandapprovedbyauthorizedrepresentativesofthepartieshereto

IntheeventofearlyterminationofthisAgreementbySponsor,SponsorshallpayallcostsaccruedbyUniversityasofthedateofthenoticeoftermination,includingnon-cancelableobligations,whichshallincludeallnon-cancelablecontractsandfellowshipsorpostdoctoralassociateappointmentscalledforinAppendixA?

Inaddition,SponsorwillpayallotherreasonablecostsincurredbytheUniversityduringthetimeperiodbetweenthenotificationdateandtheterminationdate,whicharenecessarytoterminatetheproject?

AnyobligationofsponsorforfellowshipsorpostdoctoralassociatesshallendnolaterthantheendofUniversity’sacademicyearfollowingtermination?

ReimbursementforincurredcostsandobligationswillnotexceedthetotalestimatedprojectcostasshowninClause4PerformancemaybeterminatedbyUniversityuponathirtydayadvance,writtennoticeifcircumstancesbeyonditscontrolprecludecontinuationoftheproject?
