　　BuyershallhavetherighttothematerialormakeafurtherpriceadjustmentinadditiontothosestipulatedintheprovisionofPRICEADJUSTMENTFORNONCONFORMANCETOSPECIFICATIONhereinbefore.IfBuyerdecidestorejectthematerial,sellershallrefundBuyerthetotalamountpaidbyBuyer,orwithBuyer’sagreement,replacetherejectedmaterialwithnewoneinaccordancewiththecontractualspecification.Sellershallbearthecost,insuranceandlandoroceanfreightforreplacingandreceivingtherefurnishedmaterialandallexpansesandchargesrequiredtoreturntherejectedmaterialbacktoSeller,whichwillbemadeafterthereplacementdelivery.

　　（15）.ClaimofNonshipmentandshipmentdelay:

　　IncasetheSellersfailtoshipthewholelotorpartofthegoodswithinthetimestipulatedintheContract,theBuyersshallhavetherighttocancelthepartoftheContractwhichhasnotbeenperformedfollowingtheexpiryofthestipulatedtimeofshipment,unlessthereexistsaForceMajeurecauseortheContractstipulationhasbeenmodifiedwiththeBuyers'writtenconfirmation.

　　Ifthebuyeragreestoacceptdelayshipment,thesellershouldpay0.05%ofthesalescontractamountofthedelayedportionforeachday’sdelaywhendelayiswithintheperiodofthebuyer’swrittenconfirmation,maximumoftheliquidateddamagesshallbe5%ofthesalescontractamountofdelayedport.

　　CertificateofquantityandqualityissuedbyMillionLink（China）InvestmentLtdisforpayment.ThethirdpartyincludingSGS/AlexStewart/’scertificateatloadingportordischargingportorbuyerswarehousewithin30daysafterthecargoarrivalifanyshouldbefinalsubjectthecertificateclearlycertifythatthecargoisexactlywhatthesellershipped.

　　Quality/quantity/weightdiscrepancyandclaims:

　　Incasethequality/quantity/weightarefoundbythebuyertobenotinconformitywiththecontract,thebuyermaylodgeclaimwiththeinspectioncertificateissuedbythethirdpartyinspectioncompanywithin30daysafterthecargoarrivedtheportofdestination.Inspectionchargesshouldbepaidbythebuyer.Iftheinspectioncertificateshowsthatthecargodoesnotcomplywiththecontract,inspectionchargesshouldbeontheseller’s

　　Weightfranchise:

weightwillbedeterminedbyweightscaleatdischargingport/buyer'swarehousewith0.5%franchiseagainstthethirdparty'scertificateifany.Thesellershouldcompensatethepartwhichisoverthe0.5%franchiseiftheweightislowerthantheweightofthirdparty'scertificate;andlikewisethebuyershouldpaythepartwhichishigherthanthe0.5%franchiseiftheweightishigherthantheweightofthirdparty'scertificate.

　　（17）.Shipmentinformation:

　　Within24hoursafterthecargoisloadedonboard,SellershalltransmitSeller’ssignedinvoicetoBuyerbyfacsimile.TheinvoiceshallcontainBuyer’spurchaseordernumber,Seller’sinvoicenumber,nameofvessel,departureportandtime,estimatedtimeofarrival,descriptionandquantityofthecargoshipped,numerationofpackage,grossweight,tradeterms（FOB/CFR/CIFetc.）andinvoicevalue,etc.SuchfacsimileshallbesenttotheattentionofBuyer’sTransportationDepartment（FaxNo.）.

　　（18）.Exportandimportlicense:

　　Buyerandsellershallattheirownexpensesecuretheimportandexportlicenserespectively.

　　（19）.Conditionofselectingcarryingvessel:

　　Ifthebuyerselectsacarryingvessel,thebuyershouldguaranteethatthefreightandchargesconcernedisnothigherthantheseller’sshippingfreightandchargesifthefreightand/orchargespaidbytheselleronthepricetermsCNF/CFR/CIFetc.;OnthepricetermsFOB,Fordeliveringthecargoontime,thesellerhasrighttochooseshippinglineifthebuyerfailstobookthevessel;OnthepricetermsFOB,iftheshippinglinechosenbythebuyercollectschargessuchasTHCetc.fromtheseller,theamountshouldbeconfirmed
