LoanCommitment

下面我们介绍贷款承诺。

1.Aloancommitmentisapromisetolenduptoaprespecifiedamounttoaprespecifiedcustomeratprespecifiedterms.Suchapromiseistenableforaprespecifiedtimeperiod（nottobeconfusedwiththematurityoftheloan）.Thetermsusuallyspecifyhowtheinterestrateontheloanwillbecomputed,thematurityoftheloan,andtheusetowhichborrowedfundswillbeput.Thebank’scompensationforsellingthecommitmentcomesinavarietyofforms,usedinvariouscombinations.Itcantaketheformofacommitmentfeethatisexpressedasapercentageofthetotalcommitmentandpaidupfrontbytheborrowerwhenthecommitmentisnegotiated.Itcanalsotaketheformofausagefeethatisleviedontheusedportionoftheeditline（forexample,25to50basispointsperyear）.

Tenable:

betenablefor, 意思是 可保持或持续一段时间。

这项承诺可维持到某一特定时间（注意不可与贷款的到期日相混淆）。

2.Quiteoften,commitmentandusagefeesareemployedsimultaneously.Alsofrequentlyusedareservicingfeesontheborrowedamountto,coverthebank’stransactionscosts,andcompensatingbalancerequirementsthataredepositbalancetheborrowermustkeepwiththebankduringtheperiodoftheircommitmentrelationship.Thesebalancesarecomputedasfractionsofthetotalcommitmentandthebankpaysbelow—marketinterestratesonthesebalances.Thefollowingtableisadetaileddescriptionofanactualloancommitmentcontract.Thiscontractillustratesarelativelyrecentinnovationinloancommitments,namelyofferingthecustomerachoiceamongratebases.Inthiscase,BlockbusterEntertainmentcanborrowattheprimerate,theLIBORplus0.5percent,ortheCDrateplus0.625percent.Thechoiceincreasesthecustomer’sflexibilityandthereforeenhancesthecommitment’svalue.

UsesofLoanCommitments

    Mostbusinessloansaremadeunderloancommitments.Theseincludeconstructionandlanddevelopmentloans,aswellasloanstofinanceleveragedbuyouts（LBOs）andmergersandacquisitions（M&A）.Loancommitmentsalsoincludebackuplinesofcreditoncommercialpaper（thebankagreestolendtothecustomerasanalternativetoitsissuingpaper）andissuancefacilities（calledNIF,inwhichthebankagreestobuytheshort-termnote,ofaborrowerifthelatterisunabletoselltheminthemarkets）.Roughly80percentofallcommerciallendinginthe

Afixed-rateloancommitmentgivesthecustomertherighttoborrowataninterestratethatisknowninadvanceandhenceeliminatesallinterestrateandavailabilityuncertainty.Themorepopularvariable-rate（orfixedformula）loancommitmentdoesnotholdtheborrowingratefixed.Rather,itdeterminestherateaccordingtoaformulathatinvolvessomeindexrate.Twocommonformulasare:

additiveandmultiplicative.Theadditiveversionofthevariable-rateloancommitmentstipulatesaborrowingratethatisanindexrateatthetimeoftakedownplusafixedadd-on.Thelessfrequentlyusedmultiplicativeversionstipulatesaborrowingratethatisanindexrateatthetimeoftakedowntimesaconstant.Commonlyusedindexratesaretheprimerate,theCDrate,theLIBOR,andthecommercialpaperrate.Customersmayalsobeofferedachoiceofformulawithinagivencommitment,forexample,primeplus10basispointsortheCDratetimes1.1.
