RECITALS:

WHEREAS,Companyisinthebusinessofsellingandservicing__________equipment;

and

WHEREAS,Buyerdesirestopurchasesuchequipment.

NOW,THEREFORE,inconsiderationofthemutualagreementsandcovenantscontainedthereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichherebyareacknowledged,itismutuallyagreedandcovenantedbyandbetweenthepartiestothisAgreement,underseal,asfollows:

1.SaleofEquipment.CompanyherebysellstoBuyerandBuyerherebypurchasesfromCompanytheequipmentdescribedonExhibitAattachedheretoandincorporatedherein,andlicensesthesoftwarecontainedtherein（hereinafter"

Equipment"

）.SuchEquipmentshallbeshippedFOBInstallationSite（ashereinafterdefinedinParagraph6）,freightpre-paidandabsorbedbyCompany.

2.PurchasePrice.BuyershallpaytoCompanyfortheEquipmentandforallobligationsspecifiedherein,asfullandcompleteconsiderationtherefore,thesumof__________________（$__________）（hereinafter"

PurchasePrice"

）.

3.Payment.PaymentofthePurchasePriceshallbemadebyBuyertoCompanyinaccordancewiththefollowingschedule:

A.TenPercent（10%）ofthePurchasePricewithinthirty（30）daysaftertheexecutionofthisAgreement;

B.EightyPercent（80%）ofthePurchasePricewithinthirty（30）daysafterDeliveryoftheEquipment（asdefinedinParagraph7oftheAgreement）;

C.TenPercent（10%）ofthePurchasePricewithinthirty（30）daysafterBuyer'

sAcceptanceoftheEquipment.

IntheeventthatBuyerdoesnotaccepttheEquipment,Companyshallrefundallpriorpaymentswithinfifteen（15）daysofreceiptofnotificationfromBuyerthatitdoesnotaccepttheEquipment.

AllinvoicessubmittedtoBuyerbyCompanyshalllisttheitemsofEquipmentpurchasedthereunderinthesamesequenceusedinBuyer'

sPurchaseOrderforsuchEquipment.Buyer'

sPurchaseOrderNumbershallappearonallinvoicessubmittedtoBuyerhereunder.

4.Taxes.Buyerrepresentsthatitisatax-exemptcorporationunderSection501（c）（3）oftheInternalRevenueCodeoftheUnitedStates,asamended,andunderapplicablelawsoftheStateofMaryland.TheStateofMarylandtax-exemptnumberforBuyeris________________.CompanyshalltakeallactionrequiredtocausethepurchaseoftheEquipmenthereundertobetreatedasatax-exempttransaction,andinnoeventshallBuyerberesponsibleforanysales,use,property,grossreceipts,orsimilartaxesleviedagainstanypartytothisAgreement.

5.SiteEvaluation.AtnocostorexpensetoBuyer,CompanyshallfurnishBuyerwithsitepreparationstudies,whichshallinclude,butnotbelimitedto,power,airconditioning,andoperationalconsiderationswithrespecttotheEquipment.Company'

spersonnelshallcoordinatetheiractivitieswithandavoidinterferencewithBuyer'

semployeesandconstructioncontractorsworkingtopreparetheInstallationSite（ashereinafterdefined）forreceiptoftheEquipment.Apre-installationinstructionmanualwillbeprovidedtoBuyerbyCompanyuponrequest.

6.SitePreparation.BuyershallberesponsibleforpreparingasitesuitablefortheinstallationandoperationoftheEquipment（hereinafter"

InstallationSite"

7.Delivery.DeliveryoftheEquipmenttoBuyerbyCompany,atCompany'

ssolecostandexpense,shallbemadewithintwo

（2）weeksafterreceiptofapurchaseorder（hereinafter"

DeliveryDate"

）.TheEquipmentshallbepackagedappropriatelyandallcartonsshallbeclearlystampedwithBuyer'

sPurchaseOrderNumber.BuyermustbeabletoidentifyeasilyallitemsoftheEquipmentcontainedwithineachcarton.DeliveryoftheEquipmentinanundamagedconditiontoBuyer'

sInstallationSiteshallconstitute"

Delivery"

toBuyer.RiskoflossduringtransitshallremainwithCompany.

Apackingslipindicatingeachitemanditemquantityshippedshallaccompanyeveryshipment.Thepackinglistshallbeattachedtotheexteriorofoneofthecontainersineachshipmentinaconspicuousmanner.

Thepurchaseordernumbermustalsoappearonallpackingslips,invoicesandcorrespondence.

Allitems"

notfound"

shallbenotedandtheanticipatedavailabilityoftheitemsshallbeindicatedclearlyonthepackinglist.NosubstitutionsshallbemadewithoutpriorauthorizationbyBuyer'

sCorporatePurchasing.

8.Installation.CompanyshallinstalltheEquipmentattheInstallationSiteinaccordancewiththeinstallationschedulesetforthinExhibitBattachedheretoandincorporatedherein（the"

InstallationSchedule"

）,andconnectthesametothesafetyswitchesorelectricaloutletstobeprovidedandinstalledbyBuyer.CompanyshallberesponsibleforallcostsassociatedwithdeliveryandinstallationoftheEquipment.TimeisoftheessencetothisAgreement.

CompanyshallcomplywithallpermitsandlicensesrequiredbyFederal,State,orlocalauthoritiesinconnectionwiththedeliveryandinstallationoftheEquipment.

9.TestingandCertification.UponcompletionofinstallationoftheEquipment,CompanyshallperformprescribedteststodeterminethattheEquipmentisoperatinginconformancewithCompany'

spublishedperformancespecificationsfortheEquipmentandanyotherrequirementsagreedtobytheparties（hereinafter"

Specifications"

）,acopyofwhichareattachedheretoandincorporatedhereinasExhibitC.Athreeconductor（grounded）powercord,nolessthan18AWG,withanapprovedhospitalgradeplugcap,isrequired.Forportableormobileequipment,thepowercordistobepermanentlyattached;

ifportableequipmentisprovidedwithoutapermanentlyattachedpowercord,Buyermay,initsdiscretion,attachsuchpermanentcord.SaidmodificationtotheEquipmentwillnotaffecttheWarrantyprovidedhereunder.Groundingresistanceistobelessthan0.5ohmstoanyexposedconductivesurface.Leakagecurrentistobenomorethan50microamperes（10microamperesiftheEquipmentisspecifiedasbeingpatient-isolated）betweenanypatientleadandgroundoranyotherpatientlead,withtheEquipmentonoroff,groundedorungrounded,andcorrectorreversedpolarity.WhenCompanyissatisfiedthattheEquipmentisoperatinginconformancewiththeSpecifications,Companyshallproduce,documentandpresenttoBuyeroperationalverificationdata（hereinafter"

EquipmentTurnover"

）.IntheeventtheEquipmentoranyfeatureoroptionthereofrequirescertificationunderFederallaw,CompanywillcompleteandfileallnecessaryreportsregardingCompany'

smanufacture,assembly,installationorotheractivityrelatingtotheEquipment.

10.Acceptance.“Acceptance"

oftheEquipmentshallbedeemedtooccuronthedatewhen,inthereasonableopinionofBuyer,theEquipmentconformstotheSpecifications,andhascontinuouslyoperatedincompliancewiththeSpecificationsforthirty（30）daysafterEquipmentTurnover.CompanyshallpresentBuyerwithaFinalCertificateofAcceptance（attachedheretoasExhibitG,andincorporatedhereinbyreference）immediatelypriortotheexpirationofthe30thday.FinalacceptanceoccurswhenBuyerexecutesandreturnstoCompanythesignedFinalCertificateofAcceptance.

（2）copiesofoperatorandserviceinstructionmanualsaretobeprovidedtoBuyerbyCompany,thelattertoincludeelectricalandmechanicalschematics,andpartsandcurrentpricelists.

11.Training.PriortoAcceptanceoftheEquipmentoratsuchothertimeasthepartiesmaymutuallyagree,Companyshallprovide,atnocostorexpensetoBuyer,traininginoperationoftheEquipmentforemployeesdesignatedbyBuyer.SuchtrainingisdescribedonExhibitDattachedheretoandincorporatedherein.

12.Software.CompanyherebygrantstoBuyeraLIMITED,NONEXCLUSIVELICENSEand/orSUBLICENSE（hereinafter“License”）tousethesoftwareidentifiedinExhibitAhereof（hereinafter“Software”）inconnectionwiththesaleofEquipment.

A.LicenseFee.AnychargefortheLicenseisincludedinthePurchasePricesetforthinParagraph2ofthisAgreement.

B.Updates.DuringtheWarrantyPeriod,orforaslongasBuyerpurchasesanymaintenancesupportservicesfromCompany,CompanyshallprovidetoBuyer,withoutadditionalcharge,anyandallroutineSoftwarechangesandupdatesintendedtoprovidegeneralimprovementstotheperformanceoftheEquipmentthatareannouncedbyCompanyorthatarerequiredtocomplywithapplicablefederalstatuesandregulations.

C.Term.ThisLicenseshallcommenceupondeliveryoftheEquipmenttotheBuyerandshallcontinueforaslongasBuyerretainsfulllegalrightandtitletooperatetheEquipment.

D.SecurityPatches.CompanyandBuyeragreeontheimportanceofinstallinguptodatethirdpartysecuritypatchestohelpmaintainnetworkandcomputerworkstationsecurity.CompanyandBuyerwillworkcooperativelytoinsurethatallnecessarythirdpartyoperatingsystemsecuritypatchesareinstalledandtestedasquicklyaspossible.Buyermayinstallany/allthirdpartysecuritypatchesastheydeemnecessary.IntheeventthatinstallationofaparticularpatchcausesasubsequentdefectorerrorintheoperationofCompanysuppliedsoftware,BuyermustremovethepatchandcontacttheCompany.Companywillthenapplybesteffortstoinstallandtestpatch（es）andcorrectanydefe
